The state of the process of formation of such a legal creating as “the right to reorganize economic organizations” occurs through the gradual accumulation, unification, specialization and structuring of the necessary array of regulatory rules and procedures in this area and affects the determination of the place of this legal phenomenon in the system of national law. It is established, that (1) reorganization legal relations are public relations, regulated by the norms of law that arise in the field of economic management in relation to the organization (including managing the activities) and the continuous implementation of economic activities; characterized by a special subject composition (economic organizations), a combination of organizational and property elements; reflection of private and public interests (its balancing), a significant degree of regulation, both by the state and by the subjects of these relations; (2) reorganization legal relations belong to economic legal relations by branch affiliation and constitute a kind of organizational and economic legal relations by nature. It is substantiated, that by branch affiliation (identification), on the basis of clarification of the economic and legal nature of reorganization relations and compliance of the legal instruments (method) of Economic Law, the reorganization of economic organizations is an institute of Economic Law, such a legal creating that unites an interconnected set of economic and legal norms that are intended to regulate relations that develop in the field of termination and incorporation of economic organizations by reorganization in forms: merger, accession, division, spin-off, transformation. It is determined, that in a structured form the economic and legal institute “reorganization of economic organizations” consists of interrelated and at the same time separate groups of economic and legal norms that are intended to regulate economic relations in the field of: 1) termination and incorporation of an economic organization through reorganization in appropriate forms (merger, accession, division, spin-off, transformation); 2) transfer of property rights and obligations from the legal predecessor (predecessors) to the legal successor (successors) on the basis of universal legal succession; 3) protection of the legitimate rights and interests of participants (shareholders), creditors, the state during the reorganization; 4) procedure for issuing and registering the issue of shares of joint-stock companies, which are incorporated by merger, division, spin-off, transformation, or to which accession is carried out; 5) state registration of termination and incorporation of an economic organization (economic organizations) by merger, division, transformation, or state registration of termination of an economic organization by accession and modification of constitutional documents, or state registration of incorporation of an economic organization by spin-off and modification of constitutional documents; 6) invalidating the reorganization procedure (nullity of the reorganization procedure). In addition, within these groups there is a further differentiation of norms depending on the forms of reorganization (merger, accession, division, spin-off, transformation) and the subject composition of reorganization relations

Globalization, macroeconomic processes, and a quickly changeable competitive environment require a new level of development of national markets, which become more integrated. This all predetermines a requirement in defense of the interests of economic entities in relation to strengthening their positions on the proper markets through the introduction of different methods and instruments of an economic and legal character, in particular via the application of reorganization procedures. It is justified, that reorganization of economic organizations, as a legally effective form of solving economic and legal tasks for the preservation of the subject of economic activity and strengthening of the position on the proper market, ahead of a number of relevant objective economic (expansion of economic activity by means of application of synergy effect; diversification of production, capital and activity; increase of own capital; acquisition of assets at a price lower than the replacement cost; competitive advantages in creating barriers to eliminating potential competitors entering the market; additional advantages – possession of licenses, patents, know-how of other economic entities, which are at the disposal of another enterprise; loss of production or partial curtailment of activity; change of criteria of the form of doing business) and legal (the relevant requirements in the sphere of antimonopoly and competition legislation, tax legislation, legislation on the procedure and registration of shares issue, legislation on protection of legal rights and interests of creditors, participants (shareholders), employees, etc.) factors (prerequisites). It is proposed to consider the economic and legal prerequisites for reorganization of economic organizations as a complex set of interrelated economic and legal preliminary conditions, the presence of which directs the business entity to choose such an effective legal instrument as a reorganization to strengthen positions on the proper market, to deepen and expand the specialization of production costs, and, as a result, to increase competitiveness of manufactured products, to perform works, to provide services, {"references":["Kipa, M. Taking into account Provisions of the Association Agreement between Ukraine and the EU in the field of legislation on companies and corporate governance, which leads to the regulation of the activities of corporations, in particular the regulation of the processes of reorganization of economic organizations at the national level to the requirements of international standards and a gradual rapprochement with the rules and recommendations of the EU, a comparative legal research of the process of merger and accession of economic organizations today seems necessary and actual. It is distinguished, general and distinctive qualifying signs of merger and accession of economic organizations, which will be used to improve the concepts provided to these processes. It is substantiated that mergers and accessions are independent forms of reorganization of economic organizations. The comparative legal analysis of legislation of Ukraine with the legislation of the EU, the Member States of the EU (Belgium, Germany, France), Great Britain and the USA on the issues of reorganization in the form of merger and accession is provided and the following main conclusions are made: in the legislation of the EU and in the legislation of the EU Member States there are two ways of merging: (1) “merger by acquisition”/ “merger to an existing company” and (2) “merger by the formation of a new company”/ “merger to a new company”, which in its essence corresponds to such domestic forms of reorganization as “accession” and “merger”, accordingly; in the legislation of the EU, Great Britain, as well as EU member states, such a category as “accession” is not allocated as an independent legal form of reorganization of the company, but is considered as a kind of “merger” category; in US Law, merger processes of two or more corporations are indicated by terms such as “merger” and “consolidation”; US Tax Law applies the concept of “corporate reorganization”, which has 7 types of reorganizations (A-G), among which there are one of the types – a type A “statutory merger or consolidation”, which in its essence corresponds to the processes of merger and accession, which is inherent in domestic legislation; in the legislation of foreign countries, the concepts of “merger”, “consolidation”, “amalgamation”, “acquisition”, “takeover” are similar to each other; in economic essence relate to the forms of business consolidation; act as an instrument to increase the competitiveness of the company; from a legal point of view differ from each other – according to the procedure; in the legislation and practice of foreign countries, the variety of processes such as “merger”, “consolidation”, “amalgamation”, “acquisition”, “takeover” is covered by a single economic and legal phenomenon, as “Merger and Acquisition” or M&A, which by the legal nature of the concluded agreements is much wider than such domestic forms of reorganization of economic organizations as “merger” and “accession” and is not always accompanied by the implementation of reorganization process, Враховуючи Положення Угоди про асоціацію між Україною та ЄС в сфері законодавства про компанії та корпоративне управління, що зумовлює привести регулювання діяльності корпорацій, зокрема регулювання процесів реорганізації господарських організацій, на національному рівні до вимог міжнародних стандартів і поступове зближення з правилами та рекомендаціями ЄС, то порівняльно-правове дослідження процесів «злиття» та «приєднання» господарських організацій на сьогоднішній день убачається необхідним та актуальним. Виокремлено, загальні та відмінні кваліфікуючи ознаки злиття та приєднання господарських організацій, які будуть використовуватися для удосконалення визначення понять даним процесам. Обґрунтовано, що злиття та приєднання є самостійними формами реорганізації господарських організацій. Надано порівняльно-правовий аналіз законодавства України із законодавством ЄС, держав-членів ЄС (Бельгії, Німеччини, Франції), Великої Британії та США щодо питань реорганізації в формі злиття та приєднання та зроблені наступні основні висновки: в законодавстві ЄС та в законодавстві держав-учасниць ЄС розрізняють два способи злиття: (1)“merger by acquisition” (злиття шляхом придбання)/“merger to an existing company” (злиття з існуючою компанією) та (2)“merger by the formation of a new company” (злиття шляхом заснування нової компанії)/“merger to a new company” (злиття в нову компанію), що за своєю сутністю відповідає таким вітчизняним формам реорганізації як «приєднання» та «злиття», відповідно; в законодавстві ЄС, Великої Британії, а також держав-учасниць ЄС така категорія як «приєднання» не виділяється в якості самостійної правової форми реорганізації компанії, а розглядається як різновид категорії «злиття»; в законодавстві США процеси об’єднання двох або більше корпорацій позначаються такими термінами як «merger» (злиття) та «consolidation» (консолідація); в податковому законодавстві США застосовують поняття “corporation reorganization” (корпоративна реорганізація), яка має 7 типів реорганізацій (A-G), серед яких виділяють один із типів – тип A “a statutory merger or consolidation” (передбачене законом злиття або консолідація), котрий за своєю суттю відповідає процесам злиття та приєднання, які притаманні вітчизняному законодавству; поняття “merger” (злиття), “consolidation” (консолідація) або“amalgamation” (об’єднання), “acquisition” (придбання), “takeover” (поглинання) за економічною суттю відносяться до форм укрупнення бізнесу; виступають інструментом підвищення конкурентоспроможності компаній; з юридичної точки зору, відрізняються один від одного – за процедурою; в законодавстві та практиці зарубіжних країн розмаїття таких процесів як: “merger” (злиття), “consolidation” (консолідація), “amalgamation” (об’єднання), “acquisition” (придбання), “takeover” (поглинання) охоплюються єдиним економіко-правовим явищем – як “Merger and Acquisition”або“M&A” («Злиття та Поглинання»), яке за правовою природою укладених угод є значно ширшим, аніж такі вітчизняні форми реорганізації господарських організацій як «злиття» та «приєднання» та не завжди супроводжується здійсненням процесу реорганізації

In addition, within these groups there is a further differentiation of norms depending on the forms of reorganization (merger, accession, division, spin-off, transformation) and the subject composition of reorganization relations, Стан процесів формування такого правового утворення, як «право реорганізації господарських організацій», відбувається шляхом поступового накопичення, уніфікації, спеціалізації та структурування необхідного масиву нормативних правил та процедури у цій сфері, а також впливають на визначення місця даного правового явища в системі національного права. Встановлено, що реорганізаційні правовідносини – 1) це врегульовані нормами права суспільні відносини, які виникають в сфері господарювання щодо організації (в тому числі й управління) та безперервного здійснення господарської діяльності; характеризуються особливим суб’єктним складом (господарські організації), поєднанням організаційного та майнового елементів; відображенням приватних та публічних інтересів (їх збалансування), значним ступенем регулювання як з боку держави, так і з боку суб’єктів цих відносин; 2) за галузевою приналежністю відносяться до господарсько-правових відносин, а за характером становлять різновид організаційно-господарських правовідносин. Обґрунтовано, що за галузевою приналежністю (ідентифікацією), на підставі з’ясування господарсько-правової природи реорганізаційних відносин та відповідності юридичного інструментарію (методу) господарського права, реорганізація господарських організацій становить інститут господарського права, таке правове утворення, яке об’єднує взаємопов’язану сукупність господарсько-правових норм, котрі призначені врегулювати відносини, що складаються у сфері припинення та створення господарських організацій шляхом реорганізації в формах злиття, приєднання, поділу, виділу, перетворення. Визначено, що у структурованому вигляді господарсько-правовий інститут «реорганізація господарських організацій» складається із взаємопов’язаних, і в той ж час відокремлених груп господарсько-правових норм, які призначені врегулювати господарські відносини у сфері: 1) припинення та створення господарських організацій шляхом реорганізації у відповідних формах (злиття, приєднання, поділ, виділ, перетворення); 2) передачі майна, прав та обов’язків від правопопередника (правопопередників) до правонаступника (правонаступників) на підставі універсального правонаступництва; 3) захисту законних прав та інтересів учасників (акціонерів), кредиторів, держави під час здійснення реорганізації; 4) порядку здійснення емісії та реєстрації випуску акцій акціонерних товариств, які створюються шляхом злиття, поділу, виділу чи перетворення, або до яких здійснюється приєднання; 5) державної реєстрації припинення та створення господарської організації (господарських організацій) шляхом злиття, поділу, перетворення, або державної реєстрації припинення господарської організації шляхом приєднання та внесення змін в установчі документи, або державної реєстрації створення господарської організації шляхом виділу та внесення змін в установчі документи; 6) визнання реорганізації недійсною або відміненою (скасованою). Крім того, в межах названих груп відбувається подальша диференціація норм залежно від форм реорганізації (злиття, приєднання, поділ, виділ, перетворення) та суб’єктного складу реорганізаційних відносин

Die Tendenz zur funktionalen Spezialisierung wie sie an der spät-federmesserzeitlichen Fundstelle LeCloseau beobachtet werden konnte, insbesondere am Mangel an retuschierten Elementen, am Fehlen von Feuerstellen und an derLage der Fundstelle nur wenige hundert Meter von einem genutzten Feuersteinaufschluss entfernt, scheint sich auch durch dieErgebnisse der ersten techno-funktionalen Studien zu bestätigen. Die Untersuchung der Stelle 36 zeigt, dass die Bearbeitung vonFeuerstein sehr verschwenderisch war und überwiegend darauf ausgerichtet, schmlae Klingen zu gewinnen, Grundformen, die mitden Anforderungen für Jagdwerkzeuge, d.h. Spitzen, kompatibel sind. Die hier gefundenen rückengestumpften Spitzen warenwährend des Herstellungsprozesses zerbrochen und zeigen, dass sie vor Ort hergestellt wurden. Zusammen mit Spuren, die auf dieBearbeitung fester Pflanzen mit kleinem Querschnitt hindeuten, sind sie der einzige signifikante Hinweis auf Aktivitäten vor Ort.Die Ergebnisse der anderen Stellen deuten darauf hin, dass diese funktionale Ausrichtung keine Ausnahme ist, sondern eingemeinsames Muster für die spät federmesserzeitliche Fundstelle Le Closeau darstellt. Es wird daher vorgeschlagen, dass diesegroße Fundstelle in erster Linie durch die Anhäufung isolierter spezialisierter Aktivitäten entstanden ist. Darüber hinaus könntediese Anhäufung sogar zur internen Strukturierung der Stellen selbst beitragen, wenn man die beobachtete Autonomie einigerder Feuersteinkonzentrationen bedenkt, die Stelle 36 ausmachen. Sowohl die Organisation als auch die Entstehung der FundstelleLe Closeau scheinen einzigartig zu sein und unterstreichen die verschiedenen Nutzungsformen, die zu den vielen großen federmesserzeitlichenFreiluftfundstellen beitragen. Obwohl diese großen allerødzeitlichen Fundstellen zumindest auf den ersten Blicknicht besonders variabel erscheinen, scheinen sie in Wirklichkeit sehr unterschiedlichen Siedlungsmustern zu entsprechen, die von großen, in komplementären Einheiten organisierten Lagerplätzen (vgl. Rekem, De Bie & Caspar 2000) bis hin zu Abfolgen vonkleinen Basislagern (vgl. Chaloignes, Marchand et al. 2009) oder sogar zu Ansammlungen von spezialisierten Aktivitäten reichen.Es hat den Anschein, dass bestimmte Merkmale der federmesserzeitlichen Siedlungsstrategien, wie z. B. die wiederholte Nutzungeiner Stelle und diskrete Siedlungsstrukturen, ein klares Verständnis des Status einer Stelle erschweren. In diesem Zusammenhangist es unerlässlich, dass interdisziplinäre Ansätze die petrographische, technologische, Ausstattungs- und Funktionsanalysenkombinieren, zum Standard werden. Es ist sehr wahrscheinlich, dass die Entwicklung eines integrierten und interdisziplinärentechno-funktionalen Ansatzes unsere kollektiven Interpretationen der federmesserzeitlichen Wirtschaftsweise verändern wird., Already perceived through certain characteristics of the site, notably via the scarcity of retouched elements, theabsence of hearths, and the localization of the site a few hundred metres from an exploited flint outcrop, the trend towardsfunctional specialization seen in the late Azilian loci of Le Closeau seems to be equally confirmed by the results of the firsttechno-functional studies. The study of locus 36 indicates that flint production was very wasteful and predominantly orientedtowards obtaining small blades, blanks that are compatible with the requirements for hunting implements, i.e., points. Thebacked points found were broken during the manufacture process and demonstrate that these were produced on site. Alongwith traces indicating the working of rigid plants with small cross-sections, they provide the only significant evidence of transformationactivities. The results from other loci suggest that this functional orientation is not an exception but rather a sharedpattern across the late Azilian loci at Le Closeau. It is therefore proposed that this large site was generated primarily by theaccumulation of isolated specialized uses, and furthermore, said accumulation could even contribute to the internal formationof the loci themselves given the observed autonomy of some of the flint concentrations that constitute locus 36. Both the siteoperation and site formation at Le Closeau seem quite original and underline the various modes of occupation that contributeto the many large Azilian open-air sites. Although these large sites of the Allerød appear, at least at first glance, not to beparticularly variable they actually seem to correspond to very distinct occupational situations, ranging from large campsitesorganized into complementary loci (the Rekem site in Belgium, (De Bie & Caspar 2000)), to successions of small-scale residentialcamps (the scenario proposed for the Chaloignes site (Marchand et al. 2009)), or even to accumulations of specialized visits. Itwould seem that certain characteristics of Azilian occupation strategies, such as repeated site use and discrete habitationstructures, do not favour a clear comprehension of site status. In such a context, it is imperative that interdisciplinary approachescombining petrographic, technological, refit, and functional analyses become standard practice. It is quite likely that thedevelopment of an integrated and interdisciplinary techno-functional approach will profoundly transform our collectiveinterpretations of Azilian economics.

Globalization, macroeconomic processes, and a quickly changeable competitive environment require a new level of development of national markets, which become more integrated. This all predetermines a requirement in defense of the interests of economic entities in relation to strengthening their positions on the proper markets through the introduction of different methods and instruments of an economic and legal character, in particular via the application of reorganization procedures. It is justified, that reorganization of economic organizations, as a legally effective form of solving economic and legal tasks for the preservation of the subject of economic activity and strengthening of the position on the proper market, ahead of a number of relevant objective economic (expansion of economic activity by means of application of synergy effect; diversification of production, capital and activity; increase of own capital; acquisition of assets at a price lower than the replacement cost; competitive advantages in creating barriers to eliminating potential competitors entering the market; additional advantages – possession of licenses, patents, know-how of other economic entities, which are at the disposal of another enterprise; loss of production or partial curtailment of activity; change of criteria of the form of doing business) and legal (the relevant requirements in the sphere of antimonopoly and competition legislation, tax legislation, legislation on the procedure and registration of shares issue, legislation on protection of legal rights and interests of creditors, participants (shareholders), employees, etc.) factors (prerequisites). It is proposed to consider the economic and legal prerequisites for reorganization of economic organizations as a complex set of interrelated economic and legal preliminary conditions, the presence of which directs the business entity to choose such an effective legal instrument as a reorganization to strengthen positions on the proper market, to deepen and expand the specialization of production costs, and, as a result, to increase competitiveness of manufactured products, to perform works, to provide services, Глобалізація, макроекономічні процеси та швидко змінюване конкурентне середовище вимагають нового рівня розвитку національних ринків, які стають більш інтегрованими. Це все зумовлює потребу в захисті інтересів господарюючих суб'єктів щодо зміцнення своїх позицій на відповідних ринках шляхом впровадження різних методів та інструментів економіко-правового характеру, зокрема шляхом застосування процедур реорганізації. Обґрунтовано, що реорганізації господарських організацій, як юридично дієвій формі розв’язання економічних та правових завдань, задля збереження суб’єкта господарювання та зміцнення позиції на відповідному ринку передує низка відповідних об’єктивних економічних (розширення господарської діяльності шляхом застосування ефекту синергії; диверсифікація виробництва, капіталу та діяльності; збільшення власного капіталу; придбання активів за ціною нижчою за вартість заміщення; конкурентні переваги із створення бар’єрів для усунення виходу на ринок потенційних конкурентів; додаткові переваги – заволодіння ліцензіями, патентами, ноу-хау інших суб’єктів господарювання, які є в розпорядженні іншого підприємства; збитковість виробництва або часткове згортання діяльності; зміна критеріїв форми ведення бізнесу) та правових (вимоги в сфері антимонопольно-конкурентного законодавства; податкового законодавства; законодавства про порядок здійснення емісії та реєстрації випуску акцій; законодавства щодо захисту законних прав та інтересів кредиторів, учасників (акціонерів), працівників, тощо) чинників (передумов). Запропоновано під економіко-правовими передумовами реорганізації господарських організацій розуміти складний комплекс взаємопов’язаних економічних та правових попередніх умов, наявність яких спрямовує суб’єкта господарювання обирати такий дієвий юридико-правовий інструмент як реорганізація задля зміцнення позиції на відповідному ринку, поглиблення та розширення спеціалізації виробництва, зниження виробничих витрат, і, як наслідок, зростання конкурентоспроможності виготовленої продукції, виконаних робіт, наданих послуг

Mediante una investigación descriptiva, se estudió tres experiencias turísticas comunitarias en las comunidades indígenas de la Provincia de Chimborazo y se analizó su relación con los fundamentos de la Economía popular y solidaria. Para el efecto, se usó una propuesta teórico-metodológica centrada en la etnografía que propició el análisis de los procedimientos y estrategias concebidas o inducidas del funcionamiento turístico comunitario, valorando mediante una escala numérica aspectos como: valor turístico potencial, infraestructura y planta turística; organización y calidad de la oferta, valoración de productos de turismo comunitario, actividades económico-sociales ligadas a la organización turística que dinamizan la economía de las comunidades investigadas, de este análisis se desprende que el turismo comunitario influye en el crecimiento de la economía local de las comunidades investigadas, evidenciado mediante reducción del flujo migratorio, capacitación a los comuneros para la administración de los productos turísticos, mejoramiento de la infraestructura y servicios básicos, creación de cajas de ahorro y crédito comunitario basado en la asociatividad y solidaridad, acciones que promueven y consolidan el sistema de economía social y solidaria y la integración de formas de organización económica que fortalece espacios de comercialización de bienes como estrategia para mejorar las condiciones de vida de los pueblos. Through descriptive research, three community tourism experiences were studied in the indigenous communities of the Province of Chimborazo and their relationship with the foundations of the Popular and Solidarity Economy was analyzed. For this, a theoretical-methodological proposal focused on ethnography was used, which led to the analysis of the procedures and strategies conceived or induced of the community tourism operation, evaluating through a numerical scale aspects such as: potential tourist value, infrastructure and tourist facilities; organization and quality of the offer, valuation of community tourism products, economic-social activities linked to the tourist organization that stimulate the economy of the communities investigated, from this analysis it is clear that community tourism influences the growth of the local economy of the communities investigated, evidenced by reducing the flow of migration, training community members to administer tourism products, improving infrastructure and basic services, creating of savings and community credit funds based on associativity and solidarity, actions that promote and consolidate the social and solidarity economy system and the integration of forms of economic organization that strengthen spaces for the commercialization of goods as a strategy to improve the living conditions of the villages.

Os territorios ou rexións, como conxunto coherente de lugares, poñen de manifesto o feito de que un espazo xeográfico distínguese dos seus veciños por medio dunha serie de características diferenciais. Por iso, podemos diferenciar dentro dunha mesma rexión determinadas áreas naturais, áreas homoxéneas ou áreas polarizadas que delimitan as notas singulares e as propias ambigüidades internas de cada rexión. Neste traballo inténtanse reflectir os contrastes dentro do marco natural de Galicia arredor da súa organización económica. Chégase nel a conclusións como o predominio das aglomeracións de microempresas e supervivencia.

This article considers the urgent scientific and practical task of developing analytical tools to justify the choice and transformation of a business model for an economic organization in a rapidly changing business environment. The mathematical apparatus of cognitive modelling is proposed to use to solve this problem, which makes it possible, based on the analysis of cause- effect relationships between the most significant conditions and factors affecting the economic efficiency and competitiveness of doing business, to improve the reasonableness and reduce the subjectivity of the decisions made by its owners and top managers. An algorithm to justify the choice of a business model for an organization based on the construction and analysis of fuzzy cognitive maps (FCM) of business models is proposed. A common list of business factors (concepts) and a set of causality relations between each pair of concepts has been defined, and a basic FCM of the business model is developed as the basis for constructing FCM models of specific businesses. An example of the application of the developed toolkit in a strategic analysis of the conditions and factors of an organization undertaking the production of furniture, carried out to justify a change in competitive strategy and the associated transformation of the business model, is considered. The analysis has been performed using specialized cognitive modelling software developed at the department of information technologies in economics and management, branch of the National Research University Moscow Power Engineering Institute in Smolensk. The proposed toolkit improves methods and algorithms for intelligent decision-making support in the management of economic and social objects and can find practical application in the strategic management of commercial organizations in various fields, as well as be used by professional consultants in the preparation of recommendations for business model change.
