Anonim şirketlerin haklı sebeple feshine ilişkin yasal düzenleme, 6102 sayılı Türk Ticaret Kanunu (`TTK`) m. 531 ile getirilmiştir. Bu düzenleme azınlık hakkı niteliğinde olup, sermayenin onda birini ya da halka açık anonim şirketlerde yirmide birini temsil eden pay sahiplerine tanınmıştır. Tanınan bu hak çerçevesinde söz konusu pay sahipleri anonim şirketin feshini haklı sebebin varlığı halinde talep edebilecektir. Ancak bu noktada mahkeme dava neticesinde, şirketin feshine karar vermek zorunda olmayacaktır. Mahkeme yargılama sonunda bu çalışmamızın da konusunu oluşturan fesih dışı alternatif çözümlere karar verebilecektir. TTK m. 531 ile hâkim haklı sebebin varlığına rağmen davacıların paylarının gerçek değerinin ödenmesi suretiyle şirketten ayrılmalarına veya duruma uygun ve kabul edilebilir bir başka çözüme karar verebilecektir. Söz konusu çalışmamızın içeriği de hâkimin TTK m. 531 kapsamında verebileceği fesih dışı alternatif çözümlere ilişkindir. Bu çalışmamızda söz konusu maddenin hâkime tanıdığı takdir yetkisinin tüm hukuki boyutları ile incelenmesi amaçlanmıştır. Bu doğrultuda söz konusu dava ticaret hukuku çerçevesinde incelenecek ve dava neticesinde gidilebilecek alternatif çözüm yolları detaylıca ele alınacaktır. Sonuç olarak bu hukuki kurum ve sonuçları üzerinde detaylıca durulmuş olacaktır. The dissolution of joint stock corporations by just (good) cause is regulated in the Art. 531 Turkish Commercial Code (`TCC`) number 6102. This regulation is based on minority rights, and it is granted to shareholders representing one tenth of the capital or one twentieth for publicly open joint stock corporations. The said shareholders may demand liquidation of joint stock corporations for just cause based on such right granted. However, the court will not have to decide on liquidation of corporations as a result of the case. The court, upon judgment, may decide on alternative solutions other than liquidation which also constitutes the subject of this study. As per Art. 531 of TCC, despite the existence of a just cause, the judge may decide on plaintiffs to leave the corporation upon payment of real value of their shares or any other just and acceptable solution. The content of our said study is about alternative solutions other than liquidation which may be decided by the judge under Art. 531 of TCC. This study aims to examine judicial discretion granted to judges by the said article with all legal aspects. In this respect, the said case will be examined based on commercial law and alternative solutions which may be applied as a result of the case will be dealt with in detail. Consequently, this legal body and its results will be discussed in detail. 131

Günümüz dünyasında küreselleşme ile birlikte bir çok teşebbüs, coğrafya ve zaman sınırlamaları engel olmaksızın birbirleri ile işbirliği içerisine girerek ticari faaliyet gösterebilmektedir. Bu işbirliklerinin bir türü de ortaklık şeklinde yapılabilmektedir. Böylece iki veya ikiden fazla teşebbüs, diğer seçenekler bir yana, bir anonim şirket kurarak veya halihazırda kurulu bir anonim şirkette pay iktisabı ile ortaklık kurabilmektedir. Bu çerçevede, ilgili teşebbüsler birbirleri ile `Pay Sahipleri Sözleşmeleri` akdederek ortaklıkları süresince hem aralarındaki ilişkiyi hem de kendilerinin şirket ile olan ilişkisini düzenlemeyi amaçlamaktadırlar. Pay sahipleri sözleşmeleri kapsamında düzenlenen en önemli konulardan biri de pay devirlerinin kısıtlanmasına ilişkindir. Pay devir kısıtlamaları, zaman zaman anonim şirketler hukukuna aykırı bir durum yaratmakta ve kanunen anonim şirketlerin tasarlandığı yapıdan sapmalara sebep olmaktadır. Buna ilaveten pay devir kısıtlamalarına ilişkin hükümler çoğu kez esas sözleşmelere de dercedilmekte ve bu sayede ilgili kısıtlamaların şirketin korporatif yapısının bir parçası haline getirilmesi amaçlanmaktadır. Ancak bu gibi işlemler esasen anonim şirketler hukukuna aykırı durumlara sebebiyet verebilmektedir. Çalışmamız kapsamında, anonim şirketlerde pay devir kısıtlamalarına ilişkin pay sahipleri sözleşmeleri ve esas sözleşme hükümleri incelenmiş, İsviçre Hukuku ve Alman Hukuku örnekleri değerlendirilmiş ve bu kapsamda uygulamada fazlasıyla rastlanan pay devir kısıtlamaları borçlar hukuku ve şirketler hukuku açısından irdelenmiştir. In today's global world, enterprises are able to conduct commercial activities in collaboration with each other without the interference of geographical and time constraints. Joint ventures are a type of these collaborations. Thus, two or more enterprises can form partnerships by establishing a new joint stock company or by acquiring shares in an already established joint stock company. In this respect, enterprises aim to regulate the relationship between each other and the company during their partnerships by executing `shareholders' agreements`. Among all, one of the most important topics of such shareholders' agreements are related to the share transfer restrictions. Share transfer restrictions cause, from time to time, certain contradictions with the joint stock company law and give rise to deviations from the structure of joint stock companies as designated by law. Additionally, share transfer restrictions are mostly included in the articles of association and in this respect it is aimed to make such restrictions a part of corporate structure of the company. However, such circumstances may give rise to certain contradictions with the joint stock company law. Within the scope of our work, provisions of shareholders' agreements and articles of association regarding share transfer restrictions are reviewed, Swiss law and German law examples are overviewed and the share transfer restrictions are examined within the context of contracts and corporate law. 151

6102 sayılı Türk Ticaret Kanunu (`TTK`), Türkiye Büyük Millet Meclisi tarafından 13 Ocak 2011 tarihinde kabul edildikten sonra 14 Şubat 2012 tarihinde Resmi Gazete'de yayınlanmış ve 1 Temmuz 2012 tarihinde yürürlüğe girmiştir.TTK kapsamında sunulan yeni hukuki müesseseler arasından şüphesiz en çok ilgi çeken konulardan biri TTK'nın 195 ila 209'uncu maddeleri arasında düzenlenen şirketler topluluğu hukukudur. Şirketler topluluğu yapısı altında; hâkim ve bağlı şirketlerin belirlenmesi, ilgili hukuki mekanizmaların harekete geçirilmesi ve sorumluluk tespiti gibi birçok konu açısından öncelikle göz önünde bulundurulması gereken husus hâkimiyet kavramıdır. TTK tahtında açık bir hâkimiyet tanımı bulunmamakla birlikte m. 195 çerçevesinde hâkimiyetin paysahipliği haklarına, sözleşmeye ya da başka bir yola dayalı olarak elde edilebileceği belirtilmiştir.Bu çalışmada, TTK'da belirtilen sistem uyarınca paysahipliği haklarına dayalı hâkimiyet tesisi konusunu detaylı şekilde incelemeye çalışacağız. The Turkish Commercial Code No. 6102 (`TCC`) was enacted by the Turkish Grand National Assembly on 13 January 2011, published in the Official Gazette on 14 February 2012, and entered into force on 1 July 2012. One of the most attractive subject matters which were introduced under the TCC is the group of companies law, regulated between article 195 and 209. Within the scope of group of companies structure, the term of dominance should be primarily taken into consideration in terms of several subject matters such as determination of dominant and subsidiary companies, activating relevant legal mechanisms and examination of liabilities. Even though the TCC does not contain an explicit definition of dominance, it is specified within the framework of article 195 that dominance shall be created through shareholding rights, agreements or other ways.In this study, we aim to examine the creation of dominance through shareholding rights in detail which is regulated under the TCC. 130
