The authors comment on the standards of review used by Delaware courts to determine whether corporate directors have violated their fiduciary duties. The authors assert that fewer standards which were more in line with policy goals would work better than the many standards currently in use.

The legal system should abide by rules of optimal deterrence when defining remedies for corporate misconduct. Optimal deterrence creates a situation where all involved citizens can act for the public welfare. Corporations should be held liable for misconduct and be punished when convicted. However, the legal system should ensure benefits corporations provide to society are not undermined by excessive punishment. Rules finding corporate officers personally responsible for corporate misdeeds should be carefully written if used at all.

Many corporate law ambiguities are the result of the inherent tension between allowing corporate managers broad discretion for the purpose of long-term wealth maximization and curtailing that power to protect shareholder rights. The corporate form is socially beneficial because of its unique ability to balance risk and wealth maximization. The inherent tension creates a need for creativity and for technical ability in those who adjudicate issues of corporate law.

Professor Scheppele's contractarian approach to the ethics of insider trading does not succeed in removing the issue's inherent ambiguity. The value of her approach is that it shows the importance of considering legal issues from the viewpoint of those with the least power. However, Scheppele fails to consider the ethical nature of trading securities on a public market, and her 'thought-experiment' methodology does not supplant the utilitarian concerns involved in securities disclosure issues.

Curriculum ideologies are educational theories applied in everyday pedagogical practice. In this study, to better meet the learning needs of their students, four middle school teachers used a variety of ideologies as a professional toolbox. When confronted with school district standardization, these teachers adapted; however, as predicted by earlier studies, adjustments required the loss of previously successful curriculum. As predicted by Feldhusen, these losses affected teachers of high-level students (honors and gifted and talented) the most. In this district, two such teachers opposed standardization; nevertheless, even with resistance, they lost ideological-based curriculum choices. What are teachers of high-level students to do? Any standardization program will threaten and/or change eclectic ideological praxes. With such a dichotomy, a split is revealed between teacher beliefs and practices. In this study, an honors teacher could not bear the split and decided to stop teaching rather than give up her curricular eclecticism.
