Function over form: a reassessment of standards of review in Delaware corporation law.

The authors comment on the standards of review used by Delaware courts to determine whether corporate directors have violated their fiduciary duties. The authors assert that fewer standards which were more in line with policy goals would work better than the many standards currently in use.
