The dividend payouts of private firms: evidence from tax court decisions

The effect of the accumulated earnings tax (AET) on the dividend payouts of private companies is examined. Using a trade-off model that incorporates external financing cost and agency cost, it is shown that companies optimize their dividend policy by executing a trade off that allows lower agency costs to be balanced against the AET and external financing costs. Data from tax court records provide support for this trade-off model.
