The role of employee shareholder director on corporate governance : between duality and legitimacy

L’actionnariat salarié (AS) octroie une participation des actionnaires salariés à double titre : par le partage du profit et par le partage du pouvoir. La première (participation financière) a été largement étudiée dans la recherche académique. La deuxième, lorsqu’elle suppose la présence d’un administrateur représentant l’AS à la gouvernance, est encore peu étudiée. Cette étude, menée dans dix entreprises françaises ayant mis en place ce dispositif en confirme la nature duale. Si elle contribue à l’amélioration de la gouvernance par son rôle disciplinaire, partenarial, cognitif et comportemental, elle est aussi source d’enracinement, plaçant le mandat au centre de tensions de rôles spécifiques. The financial part is one of the two dimensions of employee share ownership. But in the other hand, it also supposes a power sharing, offered by the employee shareholder representation in governance bodies. The first part has widely been studied in the literature, but not the second. Thus, this study aims to analyze the role of the presence of the employee shareholder director on corporate governance. By a qualitative examination of Ten French Companies, the research reveals the dual nature of this role. Such participation helps indeed to improve disciplinary, partnership, cognitive and behavioral functions of governance, but also allows the entrenchment of Board Director.
