Abstract

The article discusses cross species merger statutes of the U.S. which allows one form of business organization to merge with another form of business organization. It presents information on the concerns related to the U.S. federal income tax for such conversions. It informs about cases related to limited liability companies (LLCs) with more than one member that are classified as partnerships for federal income tax purposes, and depicts the impact of liabilities on incorporation transactions.
