Abstract
- The article discusses the situation that has arisen in the wake of the end of World War I, where many holders of U.S. Liberty bonds have been convinced to exchange their bonds for investments in fraudulent concerns. The article addresses the available means of redress through the legal system. The article discusses the difficulty of the American system, which is decentralized through the states, and looks to the British model of preventing fraud in the control and management of companies. The implications on business and investment of the British Companies Act of 1908 are discussed. The article debates the possibility of federal legislation mirroring the British model, and confronts some of the constitutional and state rights issues that may arise in such an undertaking.
