Abstract

The capital companies in order to carry out the activity for which they have been authorized to function have 3 categories of organs: management, administration and control. The management of the companies is carried out by the general meeting, which can be ordinary or extraordinary. The control of the companies is carried out by censors or auditors, as the case may be. The joint stock companies can be managed in a unitary system (of France origin) or in a dualistic system (of German origin). The unitary system assumes the existence of the Board of Directors that holds the role of administrator of the company. The Board may appoint directors to whom the powers of administration are delegated. In the dualistic system, the management of joint stock companies is carried out by the Directorate verified by the Supervisory Council. In the dualist system, the Supervisory Council holds, mainly the role of the Board of Directors in the unitary system. The administration of the companies represents a very important aspect in the entrepreneurship, because the way a company is managed depends to a large extent on the success of the respective business. In this context, the choice of the management mode of the company must be based on a very precise analysis of the specifics of the company, the object of activity, the available human resources, etc. The study will reveal, by comparative analysis of the two management systems their advantages and disadvantages, in the context of the business conduct by the entrepreneurs.
