In this article, the author presents his views regarding the proprietary remedies for the breach of the fiduciary duties. Topics discussed include proprietary claims, sale of the shares and stocks and rise of personal obligations due to the fiduciary duties. He also discusses various reasons for claiming a proprietary remedy.
