Judgment 582/2023 of 20 April held that an investment agreement clause guaranteeing a new shareholder a minimum investment return constitutes prohibited financial assistance. The Supreme Court therefore confirms that the restrictive interpretation of a prohibitive rule does not extend, in particular, to interpreting the forms in which prohibitive financial assistance can be granted, which are open-ended under the Spanish Companies Law.
