This Essay deals with the issue of sanctioning responsibility of legal entities, defendingthe thesis that this does not imply an exception to the application of the personalityprinciples of penalties or guilt. Legal entities will respond when they have actedfraudulently or illegally, which will occur when the actions of their representativeshave been so, since the will of the Legal entities is the will of such representatives.In addition, it also addresses the joint responsibility of legal entities and their managers,analyzing their relationship to the principle of non bis in idem and the conditionsthat might be required for their admission. En este artículo se aborda el tema de la responsabilidad sancionadora de las personasjurídicas, defendiendo la tesis de que esto no implica hacer una excepcióna la aplicación de los principios de personalidad de las penas o de culpabilidad.Las personas jurídicas responderán cuando hayan actuado dolosa o culposamente,lo que ocurrirá cuando así haya sido la actuación de sus representantes, dado quela voluntad de la persona jurídica es la de sus titulares. Además, se abordatambién la responsabilidad conjunta de las personas jurídicas y de susadministradores, analizando su relación con el principio de non bis in idem y lascondiciones que podrían exigirse para su admisión.

Originally confused, it is only with the adoption of the Code of Offenses and Penalties of 3 Brumaire Year IV, that the civil responsibility and criminal responsibility were for the first time clearly distinguished.
