Despite the relevance of the role of the independent board member, research on their individual characteristics for their activities in the Brazilian context is scarce. Through a qualitative research, guided by oral history, 30 members were interviewed, including fifteen presidents and fifteen independent directors, belonging to companies listed on B3's New Market, located in the south and southeast regions of Brazil, among the months from July to November 2017. The interview guide included nominal, cognitive and behavioral aspects and the results found through content analysis. The results indicate that the characteristics of independent performance, credibility and trajectory and accumulation of experiences are essential in the process of choosing a board member among several others and that they are all complementary to each other. This research theoretically contributed to map the characteristics that can break with personalism, in the nominations of independent board members., Apesar da relevância do papel de conselheiro de administração independente, são escassas as pesquisas acerca de suas características individuais para suas atividades no contexto brasileiro. Por meio de uma pesquisa de abordagem qualitativa, orientada pela história oral, foram entrevistados 30 membros, sendo quinze presidentes e quinze conselheiros de administração independente, pertencentes às empresas listadas no Novo Mercado da B3, localizadas nas regiões sul e sudeste do Brasil, entre os meses de julho a novembro de 2017. O roteiro de entrevistas contemplou aspectos nominais, cognitivos e comportamentais e os achados foram tratados por meio da análise de conteúdo. Os resultados indicaram que as características de atuação independente, credibilidade e trajetória e o acúmulo de experiências são essenciais no processo de escolha do conselheiro dentre várias outras e que todas são complementares entre si. Esta pesquisa contribuiu teoricamente para mapear as características que rompem com o personalismo, nas indicações de conselheiros independentes., A pesar de la relevancia de consejero de administración independiente, la investigación sobre sus características individuales para sus actividades en el contexto brasileño es escasa. A través de una investigación cualitativa por la historia oral, se entrevistó a 30 miembros, incluidos quince presidentes y quince consejeros, pertenecientes a empresas que figuran en el Novo Mercado de B3 en las regiones sur y sureste de Brasil, entre los meses de julio a noviembre de 2017. El guión de la entrevista incluía aspectos nominales, cognitivos y de comportamiento, y los resultados se trataron mediante análisis de contenido. Los resultados indicaron que las características de desempeño independiente, credibilidad y trayectoria y la acumulación de experiencias son esenciales en el proceso de elegir un consejero entre varios otros y que todos son complementarios entre sí. Esta investigación contribuyó teóricamente a mapear las características que rompen con el personalismo, en las indicaciones de los consejeros independientes.

Resumo O objetivo foi analisar as práticas de GRHI para expatriação em duas multinacionais brasileiras, late movers. A pesquisa segue uma abordagem qualitativa. Como técnicas de coleta de dados, adotaram-se entrevistas, análise documental e observação. Os resultados do estudo constatam que há semelhanças nas práticas de recrutamento e seleção, treinamento, compensação, desenvolvimento na carreira e na avaliação de desempenho nas duas multinacionais. O ponto crucial da pesquisa reside na evidência que que ambas multinacionais não proporcionam programas de repatriação pautados no desenvolvimento de carreira do expatriado. Abstract The goal was to analyze the practices of IHRM for expatriation in two late movers brazilian multinational companies. The research follows a qualitative approach. As a data collection technique, interviews, documental analysis and observation were adopted. The results of the study verify that there are similarities in recruiting and selection practices, compensation, career development and performance assessment in both multinational companies. Resumen El objetivo fue analizar las prácticas de Gestión de Recursos Humanos Internacional (G.RR.HH.I.) para la expatriación en dos multinacionales brasileñas, late movers. La investigación sigue un abordaje cualitativo. Como técnicas de recogida de datos, se adoptaron entrevistas, análisis documental y observación. Los resultados del estudio constatan que existen semejanzas en las prácticas de reclutamiento y selección, entrenamiento, compensación, desarrollo en la carrera y en la evaluación de desempeño en las dos multinacionales. El punto crucial del estudio reside en la evidencia que ambas multinacionales no proporcionan programas de repatriación pautados en el desarrollo de la carrera del expatriado.

- Abstract
The goal was to analyze the practices of IHRM for expatriation in two late movers brazilian multinational companies. The research follows a qualitative approach, which typology is classified as a study of multiple cases. It is of exploratory and descriptive nature. As a data collection technique, interviews, documental analysis and observation were adopted. The results of the study verify that there are similarities in recruiting and selection practices, compensation, career development and performance assessment in both multinational companies. The key point of this research lies in the evidence that neither the multinational companies provide repatriation programs based on the career development of the expatriate, nor do they contemplate a specific process to evaluate the expatriate’s performance.

The understanding the conduct (misbehaviors) committed in organizations has attracted over decades many debates and research. The study aims to characterize international publications that had addressed the 'unethical shortcuts' committed in/by organizations theme. This research is configured as an exploratory-descriptive study, and to clarify that, a systematic search was carried out on the Web of Science of keywords related to the theme, thereafter it was followed by bibliometric analysis. Therefore, it was used the VOSviewer software for data analysis and, the Iramuteq software for content analysis. 327 publications were found, and the international potential of the studies was verified as well, confirming that the research covered have a high degree of impact. The research presents some of the terms used in the theme; international journals, universities, and the most influential networks of quotation. Beyond that, the content analysis into identified 4 classes, called: unethical behavior, ethical dilemmas, research on ethics, and corporate crimes. The research has a gap in relation to research related to the factors that lead executives to commit this inappropriate behavior. [ABSTRACT FROM AUTHOR]

- Abstract
O Conselho de Administração é uma obrigação para as grandes empresas no Brasil e no Mundo. Porém, muitos conflitos de interesses podem acontecer entre os conselheiros e os acionistas e dirigentes das empresas. Este estudo tem por objetivo analisar o perfil do conselheiro de administração no Brasil, levando em conta sua formação somada à sua experiência profissional, para que se possa conhecer se esses conselheiros possuem visão de líderes estratégicos. A amostra totaliza 240 empresas listadas nos níveis diferenciados de governança corporativa da BM&F BOVESPA, e disponibilizados em websites das empresas. A pesquisa utiliza a técnica de análise multivariada de variáveis que exercem influência (variáveis independentes: x) sobre outro fator (variável dependente: y) é a de regressão. O resultado mostrou que as variáveis estatisticamente mais significantes foram número de experiências em outros conselhos, experiência em diretorias, experiência anterior como CEO e a constância que exerce a função de conselheiro. O resultado apontou para um perfil de liderança estratégica do Conselheiro de Administração, pelo menos nos limites dessa amostra.

- Abstract
This essay aims to discuss the ontological, epistemological and methodological Management for the Development of regionalism. This course deals with the process of planning, organization, direction and control of actions, policies, projects and programs that are intended to stimulate or develop within a group or community awareness of belonging to a region. A fundamental ontological question of discipline refers to the concept of "being regional" in its essence, because the region can be understood as a social construction. Among the epistemological issues it raises, the most salient is the attempt to ensure objectivity when considering the region as a deception or an intellectual construct. Among the methodological issues are: the complexity of its subject, the difficulty of experimentation and quantification and expression of values., Este ensaio tem como objetivo discutir os fundamentos ontológicos, epistemológicos e metodológicos da Gestão para o Desenvolvimento da Regionalidade. Essa disciplina trata do processo de planejamento, organização, direção e controle de ações, políticas, projetos e programas que têm como propósito estimular, criar ou desenvolver no âmbito de um grupo ou comunidade a consciência de pertencer a uma região. A questão ontológica fundamental dessa disciplina refere-se à concepção do "ser regional" em sua essência, pois a região pode ser entendida como construção social. Dentre as questões epistemológicas que suscita, a mais saliente está na tentativa de garantir a objetividade ao se considerar a região como um artifício ou uma construção intelectual. Dentre as questões metodológicas estão: a complexidade de seu objeto, a dificuldade para experimentação e quantificação e a expressão de valores.

En los últimos años, los casos de fraudes ocuparon los medios de comunicación. Puede contribuir a esta situación la velocidad con la que se producen cambios en el ambiente organizacional y como los controles internos no logran acompañarlos con la misma velocidad, aumentan las probabilidades de que se practiquen actos ilícitos. Por otro lado, el avance tecnológico contribuye a la informatización y posibilita mejorar la detección de los fraudes. Esta investigación se propuso verificar de qué forma las empresas previenen los fraudes y para esto se realizó un estudio de campo en las empresas de autopiezas de la región del ABC a partir de un criterio de estratificación basado en la lista del Sindipeças. Como resultado se constató que se utilizan algunos controles internos. Sin embargo el asunto fraude todavía no se trata con la transparencia y cuidado necesarios y las empresas deberían incorporarlo como riesgo inherente al negocio., Nos últimos anos, os casos de fraudes têm ocupado os meios de comunicação. O que pode contribuir para esta situação é a velocidade das mudanças no ambiente organizacional e os controles internos não estarem conseguindo acompanhar a mesma velocidade, aumentando assim o potencial de práticas de atos ilícitos. Por outro lado, o avanço tecnológico contribui para a informatização, possibilitando melhoria na detecção das fraudes. Esta investigação se propôs a verificar como as empresas praticam a prevenção às fraudes e, para tanto, efetuou-se um levantamento de campo junto as empresas de auto-peças da região do ABC a partir de um critério de estratificação tendo por base a lista do Sindipeças. Como resultado verificou-se que são utilizados alguns controles internos. Porém, o assunto fraude ainda não é tratado com a transparência e cuidados necessários e as empresas necessitariam incorporá-lo como risco inerente ao negócio., For many years the fraud cases have been occupying the communication means. This article presents a field research about organizational culture and social network that was carried out in Service Company. The central question of this research is: How the values of organizational culture are interconnected with social networks? The goal was verify if there is an influence of the culture of the organization in the characteristic of the Social Groups, with emphasis in centrality. The national and international literature focuses that that to work with centrality means to identify the position of the actors are in relation to the exchanges and network communication; The centrality in the network brings the idea of power, that means, as much centered the person is, it has a better position in relation to exchanges and communication as highlight Hanneman e Riddle (2005). Regarding the methodological procedures this is a exploratory study with quantitative nature. The research was made with two set of questions that were elaborated by Nelson (2006) and Nelson e Vasconcelos (2007). The first is related to the organizational culture and is called Aggregated Values Profile (AVP), that identify the presence and priorities attributed inside the organization in relation to the subjects: Work "task"; "social" Relations; "power" Control and Cognitions "thoughts". The second related to the formed network, whose tools are made by the presentation of a list with all the participants of the research and was asked to each member, information about the nature of nearest contact and each name. The places for name and position came already filled by the researchers, the place for approval and for the number of E-mails received and sent were filled by chance from the respondent, and the field dependency was answered considering the scale 1 to 6, where 1 represents "fill" and 6 represents "a lot" dependency from another person. It was taken a sample of 58 respondents, all of them workers from the Service Company were the research was carried out. The data were worked out by the a non-parametric statistical technique, from Mann Whitney, to the cultural values, and the data for Social Network the numbers were found trough Ucinet 6.0 Software, from Borgatti, Everett and Freeman (2002). The results shows that the central points, that means, those that have a higher number of contact in the network, are more aligned with the values of the organizational culture. That means that they can influence and participate in the dissemination of values that are found in the organizational culture. What one can perceive when analyzing the list of the names and position of the workers is that that the four more centralized actors in the network have management position or have some kind of leadership in the researched organization. The first is manager of the personnel department, the second element is more central manager of the legal department, the third element most central and suboperations manager and works closely with the Operations Manager, the fourth element is operational supervisor. The benefits and the minimization of the costs in the social interactions if the company make use of those central elements in Coaching Program e or Mentoring, or in other changing actions, can help in bringing the workers out of the area of comfort and help in disseminate quickly the Mission, Vision and Values or the Organization.
