- Abstract
The article by Lukasevych-Krutnyk I.S. is dedicated to defining the peculiarities of the contract for the supply of energy and other resources through an attached network and its place in the system of civil contracts through the prism of the provisions of the Concept of the Renewal of the Civil Code of Ukraine. It is noted that the recodification of Book 5 of the Civil Code of Ukraine envisages a comprehensive review of the norms of individual types of contracts, introduction of new contractual constructions into the system of civil contracts, and exclusion of certain contractual obligations. However, there is no mention of the contract for the supply of energy and other resources through an attached network in the list of contractual obligations that do not correspond to the modern dynamics of contractual relations. Therefore, it is evident that the investigated contractual structure will remain in the updated version of the Civil Code of Ukraine as one of the types of purchase and sale agreements. The application of general provisions on the contract of sale to the contract for the supply of energy and other resources through an attached network is fundamental for determining the legal nature of this contract and its civil regulation. The classification of the contract for the supply of energy and other resources through an attached network as contracts for the transfer of property, namely the contract of sale, is due to the fact that under this contract, goods are transferred from one party to another. However, the contract for the supply of energy and other resources through an attached network has several features that allow it to be identified as an independent type of purchase and sale agreement. Firstly, the subject matter of the contract is electrical or thermal energy, gas, or other resources. Secondly, the method of contract performance - continuous transfer of energy and other resources to the consumer is carried out only through the attached network. Thirdly, the transfer of energy resources entails a range of rights and obligations of the parties to the contract, which are not characteristic of other types of purchase and sale agreements. The system of civil contracts in the Russian Federation is of great importance for practice and is the subject of many years of detailed study of Russian legal science. The classification of contracts in civil law still causes controversy and debate among scientists, and so far no one has been able to propose a universal classification. The situation with the classification of contracts in the trade turnover of the Russian Federation is also difficult. Even the identification of such a category and this name raises questions and creates various opposing points of view among scientists. Indeed, in any textbook on corporate and trade law of the Russian Federation it is very difficult to find the term agreement in trade turnover, as well as to distinguish the types of such agreements. More and more often we come across concepts such as a commercial agreement or a trade agreement, however, such concepts should not be fully identified, although they have similar features. Perhaps there cannot be a uniform and accurate classification due to the fact that contract law is a very dynamically developing industry, which is constantly changing from a practical point of view, and practice, as we know, acts and does not think about fitting into the usual format, theories and classifications. In this article, a team of authors provides a unique systematization of the types of contracts used in trade turnover on the territory of the Russian Federation, analyzes and characterizes and assesses the relevance of various forms of concluding commercial contracts, and also highlights the prospects for the development of national contract law, which functions and is the most important component of trade turnover.

The Marriage Act 1836 is usually described as introducing 'civil marriage' in England and Wales. Yet scholars are divided as to whether 'civil' only denotes a marriage in a register office or can also include those in registered places of worship. This reflects the fundamental ambiguity of the 1836 Act. This article will show how that ambiguity had its roots in the claims that marriage was a 'civil contract', advanced by Dissenters as part of their campaign for reform, with such claims being made in support of very different potential reforms. It explains how the 1836 Act sought to accommodate these different demands by saying nothing about the nature of marriages celebrated in register offices or registered places of worship, and how – at least in the first twenty years of the Act's operation – couples had a choice as to how secular, or how sacred, these different forms might be. The paper records the evolution of atmo-technics: alongside the dehumanization of the patient/sufferer, acts of resilience were reported and recorded. The rapid development of insurance relations in the world in general and in Ukraine in particular indicates, among other things, the need to improve the definition of key features of reinsurance in the Ukrainian legal sources of insurance regulation. An additional incentive for improvement is also the shortcomings of reinsurance as a legal term used in the legislation of Ukraine, as well as the corresponding ways of improving these formulations. Given the current reform of the regulation of the insurance market by, in particular, the preparation of a new version of the Law of Ukraine "On Insurance", as well as the forthcoming recodification of civil and commercial legislation, it is important to focus on avoiding recurrence of these shortcomings. The purpose of the article is a legal analysis of the definition of reinsurance in the current legislation of Ukraine, as well as in the draft new version of the Law of Ukraine "On Insurance" on the way to reform the regulation of insurance services market in Ukraine. The results of the research formulated in the article will allow to draw conclusions about the conformity of the definition of reinsurance terminology in the perspective draft of the new version of the Law of Ukraine "On Insurance" to the practice of reinsurance as a type of legal relationship and contract. The content of the contract is considered as a new basic element of the contract in the French civil code، after the which the French legislator introduced as a reform to the civil code of 1804، and particularly to the contract law and of the obligations’ general and evidence rules. According to the ordinance n° 2016-131 dated February 10، 2016. And came into effect on 10 february 2016. And the most important of which may be the addition of the article (1182) to the civil code، which determined such three basic elements to the validity of the contract as the consent، the capacity to contract، and the licit and certain content of the contract. And cancelled the old article (1108) .. And although the English common law has not included the cause as an independent basic element of the contract، but it made up for it by the element of the consideration، and such other doctrines as illegality، frustration. Whereas the Iraqi Civil law No. (40) of 1951 is still abide by the element of cause as an independent basic element of the contract، as wll as the elements of the consent and object. But the alternatives are available to get rid of the element of cause.

13. Choosing between civil contract and employment contract

The requalification of the civil contract as an employment contract is the work of unlocking its true legal nature, thus removing the improper (or deliberately misleading) terms used by the parties and revealing the true understanding between them. The requalification can be performed by a fiscal control body, as representative of the third party – namely the state – damaged by the non-payment of contributions and fees, according to the true legal nature of the relationship between the parties. The requalification can be performed by a labour control body, which seeks to eliminate the risk of undeclared work and prevents the employer from abusing the worker. Or it can be carried out by the courts themselves, most often at the request of the worker, who seeks to open the way for the benefits deriving from the protective rules of labour law, inaccessible to the worker who concludes a mere civil contract. The current set of regulations on requalification of the employment contract is far from ideal. Therefore, a number of improvements to ensure coherence in the system would be welcome. The paper aims to identify the relation between the current rules in civil law, labour law, and fiscal law and to include some de lege ferenda proposals in order to make the Romanian legislation more prepared to fight against undeclared work, by still observing the parties right to freely contract.

14. LEGAL TREATMENT OF COMMERCIAL CONTRACTS, CIVIL CONTRACTS AND COMMERCIAL TRANSACTIONS IN THE REPUBLIC OF MACEDONIA.

The legal contractual obligations in comparative law have been regulated in various demeanours. A unified regulation system prevails, upon which both, commercial contracts and civil contracts are regulated by a unified normative legal act. This concept prevails in modern legislation due to the increasing dynamics of movement of goods and services, and it has allowed for the infiltration of numerous civil law rules into the commercial law therein. Contracts, being specific agreements provide for movement of goods and provision of services. Such movements may be however realised, both, in cases when commercial entities appear as contracting parties, and in cases when noncommercial entities appear as non-commercial parties. Nevertheless, depending on the participating parties, the contractual objective shall come into light. If natural persons appear as contracting parties or in one hand we have a natural person and a legal entity on the other, the purpose shall not be to exercise commercial activity, but it shall rather be the movement for consumption purposes, then we are dealing with civil contracts. If the contract is concluded between subjects of commercial law, and the purpose within the contract is the exercise of commercial activity, so as to parties wishing to attain certain profit at each stage of movement, then we are dealing with a commercial contract. In these contracts, the participation alone of commercial entities shall determine the nature and purpose of such contracts. Otherwise, all contracts concluded by commercial entities cannot be treated as commercial, if their purpose is not the exercise of the activity of the contracting party. Contracts concluded between business entities are also deemed commercial contracts, even though their priority is not the exercise of a certain business activity, but it rather has an indirect impact on the business activity of the contracting parties. Few instances of such contracts may be: a Lease Contract for leasing out objects for warehousing purposes or a Lease Contract for various transportation means, an Insurance Contract for insuring the property of the business entities, etc. In all the cases above there are commercial access contracts. Such variations in the Macedonian legislation are defined by the Law on Obligations. This law, in terms of legal regulation regulates in a unified fashion civil contracts and commercial contracts, keeping the civil contracts in its main focus. In principle, the law provides for commercial contracts. Based on this definition, in legal theories other distinctions are made in the perspective of enhancing the conclusion of contracts, the form of conclusion of contracts, enactment of various legal institutes, statutory deadlines, and alike. Commercial contracts defined by the Law on Obligations do not extend to public sector entities. Hence, all these put forward the dilemma onto considering contracts concluded between business entities and a public sector entity. This relationship is, in principle, not regulated by the Law on Obligations in the same fashion as the European Union addresses it through its Directive 2011/7. The adoption of this Directive has been a result of unsettlement of payments, in particular when participants in the role of a debtor were public entities, against private sector entities. This Directive seeks to harmonise the rights of Member States, although in terms of its incorporation into legal systems, the Member States themselves have to decide upon the incorporation trend. This implies that Member States have alternatives to, either amend their general normative acts regulating legal contractual obligations, or adopt particular acts. The Directive does not use the term "commercial contract"; it uses the term "commercial transaction" instead. This term entails a transaction between enterprises, or between enterprises and public entities, based on which movement of goods or provision of services is exercised at a certain rate. The Republic of Macedonia as a country aspiring for Euro-Atlantic integrations has incorporated the Directive 2011/7 within the Macedonian legal system by adopting a particular law, i.e. the Law on Financial Discipline. The adoption of this law was a result of the scarcity of provisions on the legal treatment of legal contractual obligations between private and public entities. The Law on Obligations addresses the general aspects of obligations between legal entities, by not addressing the contract nature when concluded between private sector entities and public sector entities. All these have triggered the necessity of adopting the new Law on Financial Discipline. The Law on Financial Discipline endeavours to harmonise the national legal content with that of the EU Directive, thereby focusing on the relations between private sector economic operators and the relations between private sector entities and public sector entities respectively. Pursuant to this law, "commercial transaction" entails transactions conducted between private sector economic operators, or more precisely, the transaction between public sector entities and private sector economic operators, which relates to delivery of goods and provision of services, as well as exercise of operations involving specific costs. Public sector entities include bodies of state administration and local government units, funds, agencies, directorates, public enterprises and business companies established by the state and municipal authorities, etc. Economic operators in the private sector include individual merchants and business companies founded under the Law on Business Companies established by natural persons or private legal entities. This Law, despite the use of the term "commercial transaction" in many of its provisions, depending on the issue it regulates, does not abandon the term "commercial contract". Hence, by discussing the term of payment of monetary liabilities determined in commercial transactions among private sector economic operators or transactions between public sector entities and private sector operators, discussions are being made of the term of payment of monetary liabilities in cases where the contracts themselves contain void provisions. From this provision, the legislator is not making a clear distinction between the terms "transaction" and "contract". What I would like to emphasise here is that the terminology difference between the terms "commercial contract" and "commercial transaction" is enormous. Commercial transactions may be also conducted based on both, the contracts and the legal provisions. The breakdown of the bankruptcy assets of bankruptcy creditors is always done resting on legal provisions, by not needing conclusion of a contract. 16. The agreement as a universal means of legal regulation of property relations

Problem statement. The participants of the civil circulation are given the opportunity to conclude a contract which constitutes a fundamental framework of civil relations. The interests of the parties are realized through the conclusion and implementation of contracts. The agreement is a universal means of legal regulation of property relations, which provides the achievement of objectives defined by the parties. The purpose of the contract may be economic, social or other, while remaining expressed in legal terms, that is legal. Civil contracts are concluded for the purpose of transferring items of property, execution of work or providing services. Analysis of recent research works and publications. The modern theory of civil contract has been presented in the works by V.Lutsya, I. Zhylinkova, M. Sibilova and other authors. The aim of this work is define the specific features of a civil contract as a regulator of civil relations, the order of its conclusion, modification and termination, the correlation of terms and conditions that constitute its content. The main research material. A contract is an agreement between two or more parties on the establishment, modification or termination of civil rights and obligations. The agreement is a unity of the subjective element - the will and the objective element - declaration of intent. The free declaration of intent (will) of the parties to a contract is one of the manifestations of freedom of agreement as one of the principles of civil law. The parties are free to conclude a contract, to choose a contracting party and determine the contract terms and conditions on the basis of the law and customs of business conduct, the principle of prudence, integrity and fairness. The concurrence of the wills of the parties - the expression of will by one party and counter-declaration by the other - creates an agreement that gives rise to a contractual relationship. That is a contract provides for expression of the will of each party and its concurrence. The agreement is the result, in which the will of the parties finds its general expression that is only in the legal sense of an "act of volition". Conclusions. Civil rights and obligations are always placed in the specific time frame. Therefore it is important to establish the moment when they arise. The agreement enters into force and becomes binding on the parties after its conclusion. If the transfer of property is essential for concluding the contract, it is considered to be in force immediately upon the transfer of property. The parties are granted the right to extend the contract conditions on their relations that had been established before concluding the contract. The agreement, which must be notarized, comes into force immediately upon its notarization.

Objective: to study the legal nature, to reveal the peculiarities of the subject and other essential terms of corporate contracts as a technique and means of legal regulation of corporate relations. Methods: general and specific methods of cognition: dialectical, formal logic (analysis, synthesis, modeling), structural and systemic-functional methods, as well as comparative legal, logical, legal, historical, legal, grammatical methods and systemic interpretation. Results: it is concluded that the object of corporate contracts includes terms about the features of implementation of corporate rights for shares and share in capital assets; conditions (order) of the implementation of corporate rights and approval of other actions related to company management, activity, reorganization and liquidation; the passive duty of corporate organizations to refrain from committing any action (authority), arising from the nature of corporate agreements, as well as the active responsibilities associated with the certain implementation of corporate rights, certified by stocks (shares), rights to stocks (shares). In addition to the subject, the content of corporate contractsincludes other essential (necessary) conditions stipulated by the corporate legislation norms and the agreement of the participants of economic entity. Scientific novelty:for the first time, taking into account modern achievements of civilistic jurisprudence and practice, the authors investigate the relationship between the concepts of a civil contract and corporate contract, give the definition of corporate contract, show the specificity of the subject and other material terms of corporate contracts. Practical significance: the findings can be taken into account in the further research of corporate law issues as sub-branch of civil law, used in law making and enforcement activities, in the educational process as a teaching material in civil law.

Objective: to study the legal category of sanction. Methods: dialectical, systematic, and logical methods of analysis, synthesis. Results: the study of the legal category of "sanction" has shown that a sanction can be applied on a regulatory or contractual basis (if stipulated by a civil agreement), and as the measures of liability and protection. One of the promising directions of its use is the motivating one - sanctions can provide the legal consequences favorable for those who observe the behavior stipulated by the law. The following is offered as the direction of development of domestic legislation on sanctions: verification of compliance of the sanctions amount and terms with the offences gravity; introduction of previously non-existent sanctions (for example, speculation on food and currency markets); the use of discretionary sanctions as a means of positive legal stimulation of the economy. Scientific novelty: the conclusion is made about the nature of the sanctions; it is proved that the sanction is a legal means, the use of which enables the victim to protect their violated (challenged) rights provided for by the legislation and (or) the agreement, and implies adverse consequences of property and (or) organizational nature for the offender. The sanctions application has its own peculiarities. Their use is aimed at curbing the illegal actions of the offender (debtor), to stimulate them to the proper performance of statutory or contractual duties; often sanctions are aimed at compensating for damage caused to the creditor. A peculiar feature of the sanctions is that they are a necessary component of the legal system. Practical value: the results obtained can be used to conduct economic and legal research relating to the economics and entrepreneurship, in treaty practice, in teaching the disciplines of Civil Law, Business Law, Commercial Law, etc.

19. The Relationship between the Employment Contract and other Civil Contracts

The employment relationship is a contractual one and as such must have all the basic elements of an enforceable contract to make it legally binding. In strict contractual terms, the offer is made by the employer and formally accepted by the employee. Once the acceptance has taken place, there is a legally binding agreement and an action will lie against the party who breaches that agreement, even though it may only just have come into existence. An employment contract, however, is unlike most other contracts. Although the parties will have negotiated the main terms, we shall see that a large number of terms will be implied into the agreement from all sorts of different sources and will not have been individually negotiated by the parties at all. This is what makes an employment contract so different from other contracts. We think this article is an important step in the disclosure of the problem eraised by these two concepts.

Problem statement. The transition to a market economy in Ukraine and the formation of production relations on the basis of private property have led to a qualitative change in the essence of wage labor. Employers, wanting to make more profit from their activities, reduce health and safety expenditure and avoid the requirements of labor rights legislation, so the issue of safe and proper working conditions is gaining more and more importance every year. The purpose of the article. Based on the legislative and regulatory framework in Ukraine, make an analysis of the provision of labor protection in different forms of employment. Research results. Existing forms of employment and their legal framework are considered. The parties and the subject of the contract are identified. A comparison for the terms of labor protection, namely, the creation of working conditions in accordance with regulatory and legal acts, ensuring compliance with the requirements of legislation regarding the rights of employees and their social guarantees. The form and conditions under which involvement in increased hazardous works is a violation of the law are indicated. Object of study. Requirements for compliance with labor protection and the responsibility of the parties regarding the safety of work under various forms of employment. Subject of study. Regulatory and legal framework of Ukraine. Research methods. Analysis and generalization of data during the study of literary sources, methods of empirical research − when comparing and comparing different forms of employment. Practical value. Перехід до ринкової економіки в Україні та формування виробничих відносин на засадах приватної власності викликали якісні зміни суті найманої праці. Роботодавці, бажаючи отримати більший прибуток від своєї діяльності, зменшують витрати на охорону праці та оминають додержання вимог законодавства щодо прав працівників у галузі охорони праці, тому питання організації безпечних і належних умов праці з кожним роком набуває більших масштабів. Мета статті − спираючись на законодавчу та нормативно-правову базу України, зробити аналіз забезпечення охорони праці за різними формами працевлаштування. Результати дослідження. Розглянуто існуючі форми працевлаштування та їх правову базу. Визначено сторони та предмет договору. Виконано порівняння умов залучення до роботи за різними формами з огляду на недоліки і переваги щодо охорони праці, а саме створення умов праці відповідно до нормативно-правових актів, забезпечення додержання вимог законодавства щодо прав працівників та їх соціальні гарантії. Позначено форму та умови, за якими залучення до робіт підвищеної небезпеки є порушенням законодавства. Об’єкт дослідження. Вимоги до додержання охорони праці та відповідальність сторін щодо безпеки виконання робіт за різними формами працевлаштування. Предмет дослідження. Нормативно-правова база України. An employment contract is decisively characterized by the relationship of subordination between the parties, which distinguishes it from a civil contract. The reclassification of a civil contract as having the legal nature of an employment contract can be done by the labour law court, by the fiscal control body and, more recently, even by the labour inspector. The paper analyzes the criteria under which such reclassification can intervene, what are its traps and its effects. It is shown that the importance of the topic is due to issues not only of economic and professional, but also of a reputational nature. The correct definition of the supplier is one of the main conditions for the implementation of procurement activities and the implementation of the contract for the supply of goods for state and municipal needs. The employment relationship is a contractual one and as such must have all the basic elements of an enforceable contract to make it legally binding. In strict contractual terms, the offer is made by the employer and formally accepted by the employee. Since the late 1980s, Miki Kratsman’s photographic work has been produced mainly in what are commonly called the “Occupied Territories.” As a Jewish Israeli citizen and through his work in these regions, Kratsman exposes the nonexternality of the occupation, and the implication of Israeli Jews in it through their actions and interactions with others. Readers of the newspapers where most of Kratsman’s photos have first been published can always indifferently turn the page or whiz by any photograph they encounter. Yet if they choose to pause and observe, Kratsman’s photos share the complexity of the entangled relations between Israelis and Palestinians. In this paper, Azoulay re-visits with Kratsman one single contact sheet of photos from Qabatiya that in the winter of 1988 seemed to be a miss on the part of an alert photojournalist present near a “crucial event”—a lynching that Palestinians had carried out a day earlier of a fellow Palestinian they suspected of collaborating with Israelis. Approached as an archival document, the contact is reconstructed not as a miss, but as a treasure to explore the modus operandi of the Israeli regime of occupation. [ABSTRACT FROM AUTHOR]

28. Terms and Periods in Civil Contracts: Some Issues.

Annotation. The relevance of study of such general categories of civil law as terms and periods is due to the controversy of issues on their concepts and legal essence, their classification and role in specific civil law institutes. The article explains the view of the civil law terms as a temporary (temporal) form of the emergence and development of contractual civil legal form of existence and implementation (execution) of subjective rights and duties constituting the content of these relations. Comparing the provisions on terms enshrined in the Civil and Commercial Codes of Ukraine the author concludes that the terms on the time of contractual obligations performance can refer to the essential terms, in case it is required by law for a particular type of contract or by the nature of relations between the parties. Special attention is paid to the study of essence of so-called «reasonable» terms, the application thereof being subject to consider specific circumstances of the activities of the parties to contractual obligations. Understanding the legal nature of this agreement makes it possible to identify the main problems: the lack of legal regulation, the lack of a unified practice of authentication and verification of the parties to the agreement. In this article, on the basis of civil law, the main ways of solving problems associated with the procedure for concluding an agreement in electronic form are highlighted for further consideration of disputes in courts.

Введение: охрана и защита трудовых прав граждан является одной из главных задач государственной политики Российской Федерации. Несмотря на то, что договор подряда, как и трудовой договор, регулирует отношения сторон по выполнению работ, отождествлять указанные договоры нельзя. Различия между трудовым договором и договором подряда весьма существенны. Цель: исследовать и провести сравнительный анализ договора подряда и трудового договора, рассмотреть их практическое значение и проблемы в их разграничении. Методологическая основа: методы анализа и синтеза, индукции и дедукции, используется необходимая аргументация, обобщение, а также сравнительно-правовой анализ. Результаты: разграничение договора подряда и трудового договора можно провести по различным критериям: по субъектному составу, предмету договора, рабочему времени, выполнению возложенных обязанностей, оплате работ, условиям работы, предоставлению социальных гарантий. Выводы: трудовой договор и договор подряда при всех внешних сходствах имеют кардинальные различия как в регулировании правоотношений между сторонами, так и в предмете, основных условиях, обязанностях и ответственности сторон. На первый взгляд оба типа договорных отношений могут показаться близкими, но на практике имеются фундаментальные отличия, не позволяющие поставить знак равенства в их применении. Если в договоре подряда имеется график рабочего времени, подрядчик подчиняется правилам внутреннего трудового распорядка имеют место трудовые отношения, замаскированные договором подряда. В случае отсутствия таковых условий наличествуют подрядные отношения., Background: the safety and protection of labor rights are one of the main tasks of the state policy of the Russian Federation. Although a contract of work like an employment contract, regulates the relations between the parties to perform work, these contracts cannot be identified. There are significant differences between the contract of work and labor and the contract of employment. Objective: to research and make a comparative analysis of the work contract and employment contract; to consider their practical significance and problems in their differentiation. Methodology: methods of analysis and synthesis, induction and deduction, the necessary argumentation, generalization, and comparative legal analysis are used. Results: the difference between a work contract and an employment contract can be carried out according to various criteria: subject composition, subject of the contract, working time, the fulfillment of assigned duties, payment for work, working conditions, social benefits. Conclusions: the work contract and the employment contract, with all the similarities, have crucial differences both in the regulation of legal relations between the parties and in the subject matter, basic conditions, duties, and responsibilities of the parties. At first glance, both types of contractual relations may seem to be close; however, in practice, there are fundamental differences that do not allow to put an equal sign in their application. If there is a working time schedule in the work contract, the contractor obeys the rules of the internal labor schedule - then there are employment relations that are disguised by the parties to the work contract. In the absence of such circumstances contractual relations take place.

Ariella Azoulay's concept of 'the civil contract of photography' innovatively responds to the long tradition of social contract theory inaugurated by Thomas Hobbes. I argue that a comparative analysis between Hobbes and Azoulay (through a Schmittian lens) exposes both Azoulay's debt to 'the monster of Malmesbury', while simultaneously exposing to view the profound limits this debt imposes on Azoulay's ethical project to wrest the concept of citizenship free from the ideology of the nation state. In the ambience of the legal framework established by the new Civil Procedure Code, this study proposes an analysis of some aspects referring to the determination of the jurisdiction of courts which settle civil disputes in matters of performance of civil contracts, in relation to the procedural provisions instituted by the new Civil Procedure Code. In order to achieve the proposed approach, the study analyses both the problems of determining the jurisdictions of the courts which settle disputes derived from the performance of civil contracts depending on the value of the object of the civil contract and the problems of determining the jurisdictions of the courts which settle the requests concerning the obligations to do or not to do, non-assessable in cash, having a contractual source. There are also analyzed the modalities for determining the jurisdictions of the courts which settle disputes derived from the tenancy contract, with its varieties, and, respectively, the leasing contract. Starting from a case of the jurisprudence of the Cluj Court of Appeal, this study probes into the different aspects of the contract of lease for lands pertaining to the State's private domain (that is, under the Local Council's management) through which the lessees, in consideration of certain special criteria, procure the right to employ the land for a fixed term of 99 years, in order to build individual housing units. The fundamental issue that needs to be addressed is whether the lesser can one-sidedly increase the rent due to the fact that a third party buyer, to whom the initial lessee sold the building, failed to comply with the special conditions that led to the initial abatement of rent. It is reasonable to assume that such a decision would be illegal taking into account that the lease contract has a civil nature and not an administrative one (as a result the lesser cannot unilaterally alter the contract) and, on the other hand, the fact that this type of contract does not retain its intuitu personae nature throughout its period of enforcement (considering the provisions under art. 41 of Law no. 50/1991 on construction permits), even though that attribute was essential at the moment when the contract was concluded. The research analyses the grounds for separation of employment relationship and independent contractors in civil relationship as it is established in legal provisions and court practice of the Republic of Lithuania. Firstly, criteria for separation of civil and labour legal relationship are analysed. Secondly, Lithuanian judicial practice is examined. Since employment contracts are closely related to undeclared work, thirdly, practise of recognizing of undeclared work is used as criteria for identification of employment relationship. The criteria of illegal and undeclared work revealed in court practice are discussed. Разнообразие видов трудовых договоров вызывает сложность в определении характерных черт каждого вида. В статье рассмотрены отличительные признаки каждого вида трудового договора. Сравнивается заключение договора гражданско-правового характера с физическим лицом и трудовых договоров с надомным и дистанционным работником. Рассмотрены как схожие, так и отличительные признаки каждого договора; отличительные признаки трудового договора с дистанционным и надомным работником., Introduction. Today there are various types of labor contracts execution of any type of contract has certain peculiarities. Civil contract is one more form of execution of contract with a physical person. Such contract has also its distinguishing peculiarities. The goal of the research is to reveal similar and distinguishing features of the studied types of labor contracts in order to effectively use them in the economic affairs of an enterprise. The authors of economic publications often compare civil contracts with execution of labor contract. The definitive features of execution of civil contracts with a physical person and execution of labor contract with a remote worker and an outworker are also considered in the paper. The distinguishing peculiarities of labor contract execution with a remote worker and an outworker are revealed. A comparative analysis of the data of two types of contracts and execution of contract with a physical person under the civil contract is carried out. Results. Certain aspects (components) for the notion “remote worker” and the notion “outworker” are presented. On the results of the comparative analysis, a table comprising the distinguishing characteristics of each notion in the revealed peculiar features was drawn up., №1(41) (2019)

In light of the question of whether justice is the differentia specifica of the state, this paper reviews Smith's views on justice and social contract theory. The paper finds that Smith did not regard justice, what supposedly motivates agents to enter into a social contract with the sovereign, as the core of the polity. He rather explicitly criticized social contract theory à la John Locke. Smith argued that the state is not only based on the protection of rights, but is also founded on the principle of authority, which stems from the admiration of high-rank agents who have desirable traits. В статье проведено комплексное научно‑практическое исследование сложного корпоративного обязательства, являющегося основанием возникновения внешнего корпоративного контроля, которое устанавливается в результате заключения договора между контролирующим и подконтрольным хозяйственными товариществами или обществами. Недостаточная изученность данной проблематики свидетельствует, что имеющиеся доктринальные представления нуждаются в теоретической ревизии, а названное сложное обязательственное правоотношение — в новом научном осмыслении. Обращается внимание на то, что термин «внешний контроль» принято выводить из ст. 67.3 ГК РФ, в которой называется три случая контроля над корпорацией: 1) преобладающее участие в уставном капитале хозяйственного товарищества или общества; 2) наличие заключенного договора между контролирующим и подконтрольным хозяйственными товариществами или обществами; 3) наличие любой иной возможности определять решения, принимаемые хозяйственным товариществом или обществом. Автор настоящей статьи приходит к выводу о том, что внешний контроль над корпорацией — это основанная на корпоративной субординации возможность воздействия лица, не являющегося участником корпорации, на принятие стратегически значимых решений по управлению корпорацией, формирование финансово‑хозяйственной политики корпорации на рынке, в результате реализации которой происходит ограничение или полное отрицание автономии воли корпорации при решении вопросов, входящих в сферу интереса контролирующего лица. Необходимость конвергенции правового регулирования российской и европейской правовых систем, потребность в формировании правового режима ответственности участников юридических лиц за неправомерные действия в отношении корпораций, значимость введения в отечественный гражданский оборот аналога доктрины «снятия корпоративной вуали» требуют легитимации внешнего корпоративного контроля через его легальную дефиницию, The article presents a comprehensive scientific and practical study of a complex corporate obligation, which is the basis for the emergence of external corporate control, which is established as a result of the conclusion of an agreement between the controlling and controlled economic partnerships or companies. Insufficient study of this problem shows that the existing doctrinal ideas need a theoretical revision, and called a complex legal relationship, — a new scientific understanding. Attention is drawn to the fact that the term “external control” is derived from Art. 67.3 of the civil code, which refers to three cases of control over the Corpora‑ tion: 1) the predominant participation in the authorized capital of a business partnership or company; 2) the presence of a contract between the controlling and controlled business part‑ nerships or companies; 3) the presence of any other possibility to determine the decisions taken by a business partnership or a company. The author of this article comes to conclusion that the external control over the Corporation is a possibility of in‑ fluence of a person who is not a participant of the Corporation on making strategically important decisions of the Corporation management, the formation of financial and economic policy of the Corporation at the market, as a result of implementation of which there is a restriction or complete denial of autonomy of the will of the Corporation in solving issues within the sphere of interest of the controlling person. The need for convergence of legal regulation of the Russian and European legal systems, the need for the formation of a legal regime of liability of par‑ ticipants of legal entities for unlawful acts against corporations, the importance of introduction into the domestic civil turnover of the doctrine of “removal of the corporate veil” require the legit‑ imization of external corporate control through its legal definition., №4(45) (2018)

Problem statement. The participants of the civil circulation are given the opportunity to conclude a contract which constitutes a fundamental framework of civil relations. The interests of the parties are realized through the conclusion and implementation of contracts. The agreement is a universal means of legal regulation of property relations, which provides the achievement of objectives defined by the parties. The purpose of the contract may be economic, social or other, while remaining expressed in legal terms, that is legal. Civil contracts are concluded for the purpose of transferring items of property, execution of work or providing services. Analysis of recent research works and publications. The modern theory of civil contract has been presented in the works by V.Lutsya, I. Zhylinkova, M. Sibilova and other authors. The aim of this work is define the specific features of a civil contract as a regulator of civil relations, the order of its conclusion, modification and termination, the correlation of terms and conditions that constitute its content. The main research material. A contract is an agreement between two or more parties on the establishment, modification or termination of civil rights and obligations. The agreement is a unity of the subjective element - the will and the objective element - declaration of intent. The free declaration of intent (will) of the parties to a contract is one of the manifestations of freedom of agreement as one of the principles of civil law. The parties are free to conclude a contract, to choose a contracting party and determine the contract terms and conditions on the basis of the law and customs of business conduct, the principle of prudence, integrity and fairness. The concurrence of the wills of the parties - the expression of will by one party and counter-declaration by the other - creates an agreement that gives rise to a contractual relationship. That is a contract provides for expression of the will of each party and its concurrence. The agreement is the result, in which the will of the parties finds its general expression that is only in the legal sense of an "act of volition". Conclusions. Civil rights and obligations are always placed in the specific time frame. Therefore it is important to establish the moment when they arise. The agreement enters into force and becomes binding on the parties after its conclusion. If the transfer of property is essential for concluding the contract, it is considered to be in force immediately upon the transfer of property. The parties are granted the right to extend the contract conditions on their relations that had been established before concluding the contract. The agreement, which must be notarized, comes into force immediately upon its notarization.

В статье рассмотрены теоретические подходы к моделированию выбора работодателем формы договора, выявлены основные факторы, определяющие этот выбор. Учет параметров сделки, связанных с ней трансакционных издержек и особенностей локального рынка труда позволит работодателю сравнить ожидаемые выгоды и издержки при различных формах контракта и сделать обоснованный выбор. : The article analyzes theoretical approaches to modeling of choice of form of contract by employer and identifies the main factors that determine this choice. The following parameters are considered: the parameters of the transaction, the transaction costs associated with it and the peculiarities of the local labor market. Accounting for these factors will allow the employer to compare the expected benefits and costs with the various forms of the contract and make an informed choice.

The purpose of this article is the research of development of the contract and finishing a position that it is the major case for emergence of the civil rights and duties, the arrangement of the parties directed to establishment, changing or the termination of the civil rights and duties. In the article the conclusion is drawn that development, evolution, the civil-law contract are a consequence of society’s change, the economic relations which, in turn, demand from the law, and is more concrete – from the contract law, more flexible application of new, not defined, mixed contracts and improvement of the existing contractual designs. Evolving of the contract is also a consequence of transitivity in the legal sphere.Change of society is characterized by essential change, transformation of all or most social institutes, values and norms which cause emergence of new social structures and changes in the organization of management of society. The transitive society are inherent discrepancy of social institutes to real public requirements that, in turn, causes: social frustration, marginalization of the population, change in social structure, deformation, improvement; changes in the organization of management of society, and also change of standard regulation.The important contribution in the development of the civil contract has findings of Ukrainian sovereignty and returning from socialist system of managing to market. Of course, such process is followed by not only positive changes, but also negative, such as criminalization of the economic relations, oligarchization, financial pyramids and so forth. But it is importantthe fact that in Ukraine the right of a private ownership was renewed, that is in Soviet period was considered as inadmissible.As fundamental category in a contract law and in development of institute of the contract in modern conditions, the civil contract is considered universal remedy of the sphere of private law and self-control in the contractual sphere. The civil contract is capable not only to settle independently of the relations at the conclusion of the contract at discretion, but also can solve and fix problems in the civil legislation (the P. 3 of Art. 6 of Civil Code of Ukraine).With the development of the market relations and the subsequent integration of Ukraine into the international economic space according to plan administrative influence of the state on the property relations is leveled, and freedom of the contract which is expressed also in the choice of contractors on own discretion extends.In the conditions of globalization certain differences in legal regulation of the contractual relations in the different countries will be leveled., В статье: определяется роль договора в различных сферах жизни, в том числе - в рыночных отношениях; исследуется эволюция договора и выясняется влияние общественных отношений на эволюцию договорных конструкций., У статті зроблено висновок, що розвиток, еволюція цивільно-правового договору є наслідком зміни суспільства, економічних відносин, які, в свою чергу, вимагають від права, а конкретніше — від договірного права, більш гнучкого застосування нових непойменованих, змішаних договорів та удосконалення існуючих договірних конструкцій.З розвитком ринкових відносин і подальшою інтеграцією України в міжнародний економічний простір нівелюється планово-адміністративний вплив держави на майнові відносини, а розширюється свобода договору, що виражається й у виборі контрагентів на власний розсуд.В умовах глобалізації певні відмінності у правовому регулюванні договірних відносин у різних країнах будуть нівелюватися.

The article highlights issues of legal regulation of rental relations, their formation, development, features of the current state of legal regulation and it is justified that the most universal and accessible form to meet the housing needs is a civil contract. As for the leases of housing that are the objects of law for state or municipal property, the grounds, conditions and procedure of conclusion and termination is set by a special law, and in his absence is settled by the Civil Code of Ukraine. В статті висвітлюється питання правового регулювання відносин з найму (оренди) житла, їх становлення, розвиток та особливості сучасного стану їх правової регламентації. Вказується, що в дорадянські часи та до 30-х років минулого століття такі відносини опосередковувалися цивільно-правовими договорами. В подальшому посилюється значення адміністративного впливу на ці відносини, які дещо пом’якшуються з прийняттям Цивільного кодексу УРСР1963 р., проте особливий порядок надання та користування житлом з державного та громадського фондів передбачається в спеціальному законодавстві та закріплюється в Житловому кодексі УРСР 1983 року. Сьогодні житлові відносини врегульовуються вказаним кодексом із відповідними змінами, Законом України«Про житловий фонд соціального призначення» 2006 р. та Цивільним кодексом України 2003 р., які хоча і базуються на принципах міжнародних актів з прав людини, проте передбачають ряд положень щодо умов та порядку укладення цих договорів. Обґрунтовується, що найбільш універсальним є цивільно-правовий договір найму житлового помешкання, як загальна, найбільш доступна форма задоволення житлових потреб особи, що не може претендувати на спеціальну підтримку зі сторони держави.
