34. Theoretical development and empirical evidence on misalignment between investor investment horizon and executive pay duration

Abstract

This dissertation focuses on the issue of misalignment between executive pay duration and investor investment horizon. In Chapter 1, this dissertation works within the agency paradigm with two alternations: First, unlike the traditional agency model, where the shareholders are assumed to be of one kind and prefer long-term value creation, we assume heterogenous time preferences of the investors (short-term investors pursuing short-term trading gains and long-term investors who pursue long-term value creation). We develop a simple three-period model (original period, period 1 and period 2), where there are two types of principals liquidate their holdings at different periods. Second, unlike the standard agency models, in which the management can affect the stock price only through the choice of effort (Spence and Zeckhauser, 1971; Ross, 1973; Holmstrom, 1979), our model assumes the manager can engage in unobservable earnings manipulation, like in Goldman and Slezak (2006), that upwardly biases disclosed information but hurts the long-term cash flows of the firm. The manager chooses a myopic action at the original period that can increase the period 1(short-term) earnings at the expense of the period 2 (long-term) value. Therefore, the unobservable earnings manipulation transfers long-term value of the firm to the current. We first work out the manager's hidden choice that maximizes the manager's payoff based on the contract that has been offered prior to the choice of the action and ownership structure. Then we take a step further to examine the optimal contract scheme by making the contract endogenously set by the current shareholders and argue that the optimal contract should “mirror” the ownership structure of the firm. In Chapter 2, we use empirical method to test the prediction from our model in Chapter 1, that short-termism is a result of optimal compensation contracting, by showing a positive relationship between investors investment horizon, as measured by the reverse of the weighted churn rate of firms’ institutional investors, and CEO’s pay duration, as measured by the weighted average of different components of CEO’s compensation grants, after controlling other factors may affect pay duration industry fixed effect and year effect. Then, we take a further step to develop a measure to quantify the sub-optimality of the compensation contract by measuring the misalignment between investor horizon and executive pay duration. We take the absolute value of the difference between standardized investor investment horizon and standardized CEO pay duration and identify that the misaligned horizons will lead to higher stock volatility and more harmful real earnings management (negative effect on future operating performance). The negative result of misalignment is more pronounced if the pay duration is shorter than the investor horizon. That is to say, the abnormal behavior (overproduction, sales discount, extraordinary expense cut) captured by Roychowdhury's model is more out of opportunistic choice rather than efficient contract when their pay duration is misaligned with investors' investment horizon, especially with the misalignment direction of shorter pay duration relative to investor horizon. Therefore, we argue that what really matters to existing shareholders’ interest is not whether the compensation scheme of the management is long-term or short-term per se, but rather the relative stand of executive pay duration comparing with their own investment horizon.

Abstract

The basic magnetic properties of Co–C60 and Fe–C60 nanocrystalline magnetic thin films and the temperature effects on these properties have been investigated. Experimental results show that the Co–C60 films possess an in-plane magnetic anisotropy, but such an anisotropy is not found in the Fe–C60 films. At room temperature, the magnetic coercivity decreases with increasing C60 concentration in the Co–C60 films while it increases with increasing C60 concentration in the Fe–C60 film. Strong temperature-dependent remanence and saturation magnetization are found in both the Co–C60 and Fe–C60 films with high C60 concentration due to the nanosize grain effects. The effects of temperature on the coercivity of the Co–C60 and Fe–C60 films are different and determined by the intrinsic magnetocrystalline anisotropy energy of Co and Fe, respectively. Abstract

Thermal stability and formation of the nanostructured metal-C[sub 60] films have been studied. Comparative grain growth kinetic studies at 450 °C between Co-C[sub 60] and Co films show higher thermal stability and significantly slower grain growth in the Co-C[sub 60] thin film than in the Co film. Atomic force microscope observation shows that the surface of the Co film is coarsened by severe grain growth and formation of surface thermal grooves after annealing at 450 °C while the surface of the Co-C[sub 60] film remains smooth due to high thermal stability and slow grain growth in the film. A self-assembly grain growth mechanism is proposed to explain the formation of the uniform columnar nanosize grain structures in these ferromagnetic metal-C[sub 60] thin films. Estimated grain sizes based on this mechanism agree with the experimental measurement and give a relationship between the grain size and the C[sub 60] concentration in these films. These results indicate that C[sub 60] has a dual function of forming and stabilizing the nanosize grains in the metal-C[sub 60] films. [ABSTRACT FROM AUTHOR]

Abstract

Oxygen vacancy/Ti3+engineered TiO2nanotube arrays were prepared through electrochemical strategy at high potential (−6 V). The electrons surging from DC power initiate the valance decline of Ti4+, and countless H2bubbles released from TiO2surface lead to the in-situ exfoliation of some TiO2tiny debris, generating point defects containing Ti3+inside the TiO2and oxygen vacancy (OV) embedded on TiO2. The generated Ti3+/ OV help TiO2to increase the harvest toward visible light and serve as active sites for activating molecular oxygen to form superoxide radical (·O2-). Besides, as improved separation of electron-hole pairs endowed by the defects, the yield of hydroxyl radicals (·OH) is enhanced compared with the pristine TiO2. Chloramphenicol (CAP, an antibiotic) molecules can be efficiently degraded with the reduced TiO2under the visible light with its degradation and evolution pathway expounded in detail. Fukui index is employed to anticipate the probable sites that are subjected to oxidation by·OH and the MS spectra evidence that the·OH governs the decomposition routes of CAP molecules. ECOSAR simulation evaluates the toxicity of CAP and the intermediates, demonstrating that the final products from the photocatalysis do not post any hazardous risk on ecosystem.

Abstract

The urgency and importance of organizing a global effort to harmonize clinical assay validation specific to the vaccine industry was identified during the drafting of the 2020 White Paper in Bioanalysis due to the lack of clarity and regulatory guidance/guidelines in vaccine immunoassay validation. Indeed, the Workshop on Recent Issues in Bioanalysis (WRIB) issues the White Paper in Bioanalysis yearly, which is one of the high-profile articles of the Bioanalysis Journal focused on detailed discussions and recommendations on vaccine assay validation. Since 2017, participation in the WRIB working groups by vaccine assay validation experts and regulators has rapidly increased due to its unique format where industry leaders and regulators can meet and exchange ideas on topics of interest to both groups. In early 2021, Vaccine manufacturers approached WRIB for sponsoring/supporting the authorship and publication of an overarching vaccine assay validation document based on the 2017-2020 discussions and consensus starting from immunogenicity assays first and followed by future papers on molecular and cell-based assay validation. Using industry and WRIB vaccine network, a vaccine immunogenicity assay validation working group was assembled consisting of 16 companies. The work on the first white paper started officially in April 2021 focusing on Vaccine LBA Validation (Part 1), and the drafting of Vaccine LBA Development (Part 2) and Vaccine LBA Monitoring & Transfer (Part 3) are presently ongoing and expected to be published shortly after this paper. Moreover, recommendations on Vaccine Cell-Based Assays Validation (ELISpot and Flow cytometry) and Vaccine Molecular Assays Validation (PCR, NGS, NanoString) are also on the WRIB publications agenda and the drafting is planned to start in mid-2024. For too long, vaccine scientists have not had a clear validation guidance for clinical vaccine immunogenicity assays. We hope that this common effort will help close this regulatory gap.
