Die vorliegende Arbeit untersucht drei unabhängige Fragestellungen auf dem Gebiet der Finanzintermediation. Kreditanalysten der drei weltweit führenden Rating-Agenturen stehen in der ersten Studie im Zentrum der Untersuchung. Die empirische Analyse konzentriert sich auf die organisationsinterne Neubesetzung von Kreditanalysten in ihrer beobachtenden sowie untersuchenden Rolle von Emittenten. Insbesondere interessiert uns dabei, welchen Einfluss solcherlei personelle Wechsel auf die Bonitätseinstufung von Emittenten haben. Diesen organisatorischen Veränderungen wird in der andauernden kritischen Auseinandersetzung mit Rating-Agenturen wenig Beachtung geschenkt. Die Ergebnisse zeigen einerseits: Finden Neubesetzungen von Analysten statt, steigt die Wahrscheinlichkeit, dass Bonitätseinstufungen geändert werden. Übergreifend betrachtet zeichnet sich allerdings ein nur geringfügiger Effekt auf die Bonitätseinstufungen per se ab. Unsere Erkenntnisse sind für Gesetzesentscheidungen zu Rotationsvorschriften von Bedeutung. In der zweiten Studie untersuchen wir die Treiber der Finanzierungskosten von Privatplatzierungen. Anhand der Beleuchtung dieser Thematik tragen wir deren gestiegener Bedeutung infolge von Kreditverknappung und quantitativen Lockerungsmaßnahmen innerhalb der Geldpolitik Rechnung. Die Fragestellung, ob Informationsasymmetrien zwischen Kreditgebern und Kreditnehmern die Finanzierungskosten beeinflussen, steht dabei im Fokus. Unsere empirischen Analysen ergeben, dass Informationsasymmetrien mit höheren Risikoaufschlägen einhergehen. Diese Erkenntnisse sind zum einen für Entscheidungen von Investoren und Emittenten von Privatplatzierungen relevant. Zum anderen leisten wir einen Beitrag zur Ausgestaltung von politischen Maßnahmen, die darauf abzielen, Refinanzierungsoptionen für den privaten Sektor zu erweitern. Die dritte Studie kann als Ausgangspunkt für zukünftige Untersuchungen des Einflusses ortsbezogener sozialer Medien auf den Finanzdienstleistungssektor angesehen werden. Ich betrachte hierbei, welche Auswirkungen Konsumentenbewertungen von Bankfilialen auf die dort getätigten Spareinlagen haben. Die Daten eines weit verbreiteten sozialen Online-Netzwerkes dienen als Basis der Analyse. Es lässt sich eine robuste Korrelation dieser Faktoren erkennen: Höhere Bewertungen sind mit höheren Wachstumsraten der Spareinlagen von Bankfilialen assoziiert. In weitergehenden Analysen kann ein kausaler Zusammenhang hingegen nicht bestätigt werden. Meine Erkenntnisse stehen im Kontext der andauernden Debatte zu Chancen und Risiken von sozialen Medien sowie deren Regulierung. Sowohl Banken als auch gesetzgebende Stellen können daraus einen entscheidungsrelevanten Nutzen ziehen., This thesis encompasses three independent studies related to the subject of financial intermediation. In the first study, we explore the credit analyst coverage of corporate debt issuers at the three leading credit rating agencies. In particular, we empirically assess whether analyst changes have an influence on credit ratings. In light of the continued criticism of credit rating agencies, the role of analyst changes might have been overlooked. We demonstrate that analyst changes are associated with increased rating change activism. At the same time, we find that the effect on credit ratings per se is limited. Our results inform legislation mandating analyst rotation as a legal requirement. The second study investigates the role of information asymmetry between borrowers and lenders with regard to the cost of non-bank private placements of debt. Such debt instruments have gained momentum in periods of a credit crunch and quantitative easing in monetary policy. We utilize several measures of information asymmetry. Empirical results reveal higher costs of debt incurred by opaque issuers as compared to their more transparent counterparts. These findings are of relevance for corporate financing decisions as well as policy initiatives attempting to broaden the sources of private sector refinancing. The third study pioneers research on the effects of mainstream location-based social media on the financial services sector. I determine whether consumer ratings of bank branches in a major online social network have an effect on the growth of branch deposits. I conclude that higher consumer ratings are linked to higher deposit volume growth in terms of correlation. Whereas further empirical analysis shows that this is not a causal effect. My findings relate to decision-making not only for bank management but also for legislators in the debate about social media and its potential opportunities and caveats.

Vorliegende Arbeit beschäftigt sich mit Immobilieninvestition in Rumänien im Vergleich zum österreichischen Immobilienmarkt. Der österreichische Markt ist dabei der Ausgangsmarkt, österreichische Investor*innen sind die Betrachter*innen. Der rumänische Immobilienmarkt ist der Vergleichsmarkt und wird aus dem Blickwinkel österreichischer Investor*innen betrachtet. Im Fokus liegen dabei die in den Ländern erzielbaren Renditen und die Frage nach dem Risikoausgleich durch Renditeaufschläge. Da Zins- und Renditebegriffe auf beiden Märkten uneinheitlich verwendet werden, werden die wesentlichen Zins- und Renditebegriffe beschrieben. Um den Leser*innen einen Eindruck von der Wirtschaft Rumäniens und insbesondere vom rumänischen (Immobilien)Markt zu ermöglichen, werden sowohl die aktuelle wirtschaftliche Lage Rumäniens, als auch das Rechts- und Steuersystem der beiden Länder im Vergleich beschrieben. Dadurch soll gezeigt werden, ob Rumänien für österreichische Investor*innen ein interessanter Marktsein kann. Es wird gezeigt, mit welchen speziellen Herausforderungen sich Investor*innen konfrontiert sehen, aber auch welche Möglichkeiten sich ihnen auf diesem Markt bieten. Die aktuell erzielbaren Renditen wurden aus den Marktberichten der größten Immobilien- und Maklerhäuser, die auf den Märkten beider Länder tätig sind, entnommen. Hierfür wurden Marktberichte für die Jahre2013-2019 von mindestens sechs verschiedenen Marktteilnehmern ausgewertet. Die Mittelwerte der aktuell erzielbaren Renditen stellen die Berechnungsgrundlage für das Errechnen des Renditeaufschlages dar. Rumänien hat im Vergleich zu Österreich wesentlich „schlechtere“ Länderratings durch die größten Ratingagenturen erhalten. Es wird daher versucht, einen angemessenen Renditeaufschlag zu errechnen, welcher zumindest das Länderrisiko ausgleicht (ratingbasierter Renditeaufschlag). Hierfür werden die Länderratings ausgewertet und ins Verhältnis gebracht. Zuzüglich zu den Ratings der großen Ratingagenturen wird auch das Ranking der Länder im Competitiveness-Index des World Economic Forums ausgewertet und verglichen. Die Gewichtung dieser Eingangswerte erfolgt grundsätzlich nach den Marktanteilen ihrer Begeber, von dem angenommen wird, dass er im direkten Verhältnis mit der Bedeutung des jeweiligen Ratings für die Wirtschaft ist. Ob der so ermittelte Aufschlag reicht, damit österreichische Investor*innen in Immobilien in Rumänien investieren würden, wird mittels Expert*innen-Interviews geprüft. Begriffsklärung: In der Arbeit wird der Begriff der „österreichischen Investor*innen“ verwendet. Damit sind Investor*innen gemeint, welche üblicherweise oder vorwiegend auf dem österreichischen (Immobilien)Markttätig sind und/oder ihren (Wohn)Sitz in Österreich haben. Der rumänische Marktkann, muss ihnen aber nicht fremd sein. Auf eine Staatsbürgerschaft oder Herkunftsland der Investor*innen wird nicht abgestellt.

Rating agencies state that they take a rating action only when it is unlikely to be reversed shortly afterwards. Based on a formal representation of the rating process, I show that such a policy provides a good explanation for the puzzling empirical evidence: Rating changes occur relatively seldom, exhibit serial dependence, and lag changes in the issuers’ default risk. In terms of informational losses, avoiding rating reversals can be more harmful than monitoring credit quality only twice per year.

This paper discusses the regulatory license view that reliance by regulators on the output of rating agencies in the 1930s caused the agencies to become a central part of the fabric of the US financial system. Exploring pre-1930 court records, we find evidence of a growing reliance on the agencies that pre-dates the regulatory moves of the 1930s. We argue that courts began using ratings as financial community produced norms of prudence, providing a novel interpretation of the emergence of rating in financial systems as a product of trustee law. We remark that this created a legal license problem, creating incentives and conflicts of interest not unlike those which modern observers usually associate with regulation in the subprime crisis.

Gerade in Krisen wie der Asienkrise und der jüngsten Finanzkrise offenbarten sich die Schwächen der Ratingindustrie. Sollten Ratingagenturen eigentlich vor Krisen warnen, gerieten sie nun selbst durch falsche Vorhersagen in eine Krise.Die Ratingindustrie entwickelte sich in ihrer noch recht jungen Geschichte zu einer wichtigen Branche im Finanzsystem. Sie stellt Informationen über das Ausfallrisiko von Schuldverschreibungen bereit und beurteilt die Fähigkeit der Emittenten, zukünftige Zahlungen termingerecht und vollständig zu erfüllen. Als Finanzintermediäre üben Ratingagenturen sowohl auf nationaler als auch auf globaler Ebene eine wichtige Funktion aus. Durch die regulatorische Einbindung in diverse Rechtsvorschriften konnte die Ratingindustrie ihre Handlungsspielräume erweitern und zugleich selbst die Rolle eines Regulierers übernehmen. Dieser quasi-hoheitlichen Funktion wurden Ratingagenturen allerdings insbesondere in Krisenzeiten nicht immer gerecht.Steven Alexandre Brieger beleuchtet die tiefgreifenden Probleme der Ratingindustrie und entwickelt ein Reformpaket zu ihrer Lösung. Er skizziert retrospektiv die institutionelle Entwicklung, zunehmende regulatorische Verflechtung und wachsende Bedeutung der Ratingindustrie und diskutiert die Rolle der Ratingagenturen in vergangenen Krisen. Der Fokus der Arbeit liegt auf der kritischen Diskussion der jeweils im Anschluss an diese Krisenzeiten etablierten regulatorischen Maßnahmen und der neuesten Initiativen - von der Rückkehr zu einem "investor-payment-system", über Clearingstellen bis zu staatlichen Ratingagenturen - zur Regulierung der Ratingindustrie. Zur Schließung von Schwachstellen in der Regulierung entwickelt Steven Alexandre Brieger ein aus fünf Komponenten bestehendes Reformpaket, dessen gesetzliche Implementierung die internationale Koordinierung erleichtern, die Transparenz erhöhen, den Wettbewerb stärken, die Abhängigkeit reduzieren und die Eigenverantwortung festigen würde.

We develop a model of credit rating agencies (CRAs) based on reputation concerns. Ratings affect investors' choice and, thereby, also issuers' access to funding and default risk. We show that - in equilibrium - the informational content of credit ratings is inferior to that of CRAs' private information. We find that CRAs have a pro-cyclical impact on default risk: in a liquidity boom CRAs help resolve investors' coordination problem, and lower the probability of default; in a liquidity crunch CRAs raise the probability of default. Furthermore, rating standards tend to be pro-cyclical, while biased CRA-incentives will ultimately be self-defeating.

Bei der Kritik an den Rating-Agenturen wird häufig missachtet, dass ihre Macht weitgehend politikgemacht ist. Es sind der Staat und die EZB, die über Gesetze und Regulierungen den Ratings eine Multiplikatorwirkung zuschreiben. Dieser Beitrag skizziert anhand der Länder-ratings die einschlägigen Wirkungskanäle.

Die Finanzmarkte reagieren in der gegenwartigen Staatsschuldenkrise offensichtlich auf Meinungsauserungen der marktbeherrschenden Ratingagenturen — selbst wenn diese in scheinbarem Widerspruch zur vorherigen Bewertung okonomischer Fundamentaldaten stehen. Das fuhrt dazu, dass private Interessen staatliche Verschuldungsdynamiken beeinfl ussen konnen und fur sie damit politischer Handlungsspielraum entsteht.

Observed industry-specific leverage ratios in and across financial systems imply the relevance of capital market imperfections. This severely questions the validity of the irrelevance of capital structure decisions for firm value. Moreover, survey studies of CFOs suggest that managers have some target debt ratio or range, which also refutes the irrelevance of capital structure. The number of studies on capital structure is enormous, but to date no universal theory has been formulated for capital structure. It has even been argued that there might not be any reason to expect a universal theory of capital structure. Instead, different theories apply to firms under different circumstances. For that reason, this dissertation on empirical capital structure research aims to discuss and investigate two specific ?firm circumstances? that influence corporate financing choices and seem promising for future research. First, I investigate a determinant of capital structure that has so far received little attention in literature ? credit ratings by the external agencies Standard & Poor?s and Moody?s. Rating agencies play an eminent role in today?s capital markets. It is likely that firms under the scrutiny of such strong external supervisors may follow a different leverage policy to non-rated firms. However, rating agencies? renowned importance is so far not reflected in the capital structure research. Therefore, I thoroughly investigate the financing choices of externally rated firms for managers? rating considerations. Chapter 2 shows that managers follow a more conservative leverage policy if their firm?s credit rating is about to be upgraded or downgraded. While retained earnings are cross-sectional the dominant source of funding, the economics of security offerings has generated considerable empirical research interest over the past two decades. Survey evidence and stock price dynamics around seasoned equity offerings indicate that managers exploit temporary overvaluations of the firm?s stock and therefore time the equity offering. These efforts are possible because of the information asymmetry between managers and investors and the associated incentives for managers to exploit this informational advantage. Externally rated firms, on the other hand, reduce adverse selection problems with the information gathering process of the rating agencies. Therefore, it is questionable if the market timing hypothesis still holds for externally rated firms? seasoned equity offerings. The results of Chapter 3 imply that rating concerns are an important consideration for equity issuing firms. As a second ?firm circumstance? that may alter the composition of the balance sheet, I examine managers? weighting of public versus private equity in the decision to opt out of the public markets and go private. Such a public-to-private transaction (PTP) is an important step in the corporate life cycle, and modifies the capital structure of the firm significantly. However, consensus has not been reached in the literature on the underlying motives, and accordingly the relevant financial theories. Therefore, in Chapter 3 I investigate the characteristics of German firms that opted out of the public equity markets. Studying the public-to-private decision in Germany is of particular interest, because Germany can still be regarded as a prime example of an insider-controlled and relationship-based financial system. Therefore, the transferability of findings from Anglo-Saxon countries is difficult, as the structure of the financial and legal system is known to have a strong influence on corporate decisions. On the whole, I find no evidence of the free cash flow problem in the German corporate governance system. In respect of the respective PTP companies, the PTP phenomenon can be accounted for by a changing corporate life cycle status and a malfunctioning of the public capital markets. Auch mehr als 50 Jahre nach den Irrelevanz-Theoremen von Modigliani und Miller (1958) herrscht in der Literatur kaum Einigkeit darüber, nach welchen Kriterien Unternehmen ihre Kapitalstruktur wählen. Diese Diskussion umfasst sowohl die Suche nach der optimalen Kombination aus Eigen- und Fremdkapital, das Anpassungsverhalten des Verschuldungs¬grades, als auch die Wahl zwischen öffentlich notiertem und privatem Eigenkapital. Empirische Studien haben zahlreiche Faktoren identifiziert, die maßgeblichen Einfluss auf das Verhältnis von Eigen- und Fremdkapital haben und verschiedenen Kapitalstrukturtheorien zugeordnet. Die Ergebnisse der Untersuchungen sind jedoch teilweise konträr und konnten nur einen beschränkten Teil der beobachteten Verschuldungsgrade erklären. Demzufolge gibt es in der Literatur bislang keine durchgängige Kapitalstrukturtheorie und es wird allgemein angenommen, dass Unternehmen in verschiedenen Lebensphasen ihre Kapitalstruktur auch nach unterschiedlichen Theorien steuern. Die vorliegende Arbeit untersucht daher zwei spezifische Unternehmensumstände, welche die gewählte Kapitalstrukturpolitik maßgeblich beeinflussen können. So hat die Bedeutung der organisierten Fremdkapitalmärkte für die Unternehmensfinanzierung in den letzten Jahren stark zugenommen. Der Zugang zum öffentlichen Fremdkapitalmarkt ist jedoch meist nur mit einem Credit Rating durch die externen Ratingagenturen möglich. Pressemitteilungen und Management¬aussagen auf Analystenkonferenzen zeigen, dass die Kapitalstruktur immer häufiger auch im Hinblick auf die Kennzahlen der Ratingagenturen gesteuert wird. Formal betrachtet kann dies mit diskreten Kosten bzw. Vorteilen der einzelnen Ratingklassen erklärt werden. Die empirische Forschung zur Bedeutung von Bonitätsbeurteilungen durch externe Rating¬agenturen in der Kapitalstrukturpolitik ist jedoch bislang unzureichend. Das erste Kapitel dieser Arbeit liefert eine konsequentere Testmethodik des Einflusses von Credit Ratings bzw. deren Veränderung auf den Verschuldungsgrad als bislang in der Literatur vorhanden. Die Untersuchung zeigt, dass das Management eine konservativere Kapitalstrukturpolitik verfolgt, wenn das Credit Rating vor einer Verbesserung oder Verschlechterung steht. Im zweiten Kapitel wird der Untersuchungsgegenstand auf die Entscheidung Eigenkapital am Kapitalmarkt aufzunehmen erweitert. Kapitalerhöhungen sind ein zentraler Bestandteil der Finanzierungsforschung und werden zumeist durch die Market Timing Theorie erklärt. Die Ergebnisse dieses Kapitels zeigen jedoch, dass zum Teil Ratinggesichtspunkte eine größere Rolle spielen als eine Überbewertung des Unternehmens zum Zeitpunkt der Emission. Der zweite Teil dieser Arbeit (Kapitel 3) untersucht einen weiteren wichtigen Schritt im Unternehmenslebenszyklus auf Implikationen für die Kapitalstrukturpolitik. So wird die Börsenrückzugs-Entscheidung, also der Wechsel einer börsennotierten zu einer privaten Eigenkapitalfinanzierung von Unternehmen am deutschen Kapitalmarkt betrachtet. Der Großteil der Studien zu diesem Thema konzentriert sich bislang auf den angelsächsischen Raum. Deutsche Unternehmen bieten dabei mit ihrer traditionellen Finanzierung durch eine beschränkte Anzahl an Banken und einen geringem Streubesitzanteil einen vielver¬sprechenden Gegenentwurf. Die Untersuchung zeigt, dass die Motive eines Börsenrückzugs in den USA bzw. aus den 1980er Jahren nur sehr eingeschränkt auf den deutschen Kapitalmarkt übertragen werden können.

Der vorliegende Beitrag untersucht die Determinanten der Performance europäischer Arbitrage Collateralized Loan Obligations für das Jahr 2009. Der Fokus liegt dabei auf der Bedeutung der performanceabhängigen Vergütung des CLO-Managers, den Eigenschaften des CLO-Managers und der Transaktionscharakteristika als mögliche Einflussfaktoren der Rating Performance. Es wird gezeigt, dass Transaktionen, bei denen dem CLO-Manager eine Incentive Management Fee gewährt wird, mit einer höheren Wahrscheinlichkeit herabgestuft werden als Transaktionen ohne Incentive Fee. Dieser Befund bestätigt die Hypothese, dass durch die Incentive Fee Risikoanreize für CLO-Manager geschaffen werden. Des Weiteren wird ein positiver Zusammenhang zwischen der Erfahrung bzw. der Größe eines CLO-Managers und der Rating Performance festgestellt. Der Einfluss des Managers auf die Performance einer CLO-Transaktion wird auch an den weiteren in der Studie herangezogenen managerspezifischen Charakteristika wie Typ und Unternehmenssitz bestätigt. Für die Transaktionscharakteristika wird hingegen im betrachteten Untersuchungszeitraum kein signifikanter Einfluss auf die Rating Performance nachgewiesen.

Credit rating agencies (CRAs) have not consistently met the expectations placed on them by investors and policymakers. It is difficult, however, to improve the quality of ratings through regulatory initiatives. In the short term, changes to the CRAs' regulatory environment, in a context of high market uncertainty, may add to market stress. The role of credit ratings in regulation should be reduced but eliminating it entirely would have significant downsides, at least in the short term. The transfer of ratings responsibility to public authorities, including the European Central Bank, is unlikely to be a good alternative because of inherent conflicts of interest. The notion of risk-free sovereign bonds is challenged by the crisis, but the most straightforward way to address this challenge in the euro-area context would be the establishment of a euro-area-wide sovereign bond instrument. Credit rating agencies have been under the spotlight since the beginning of the current financial crisis. They failed in their assessment of US residential mortgage- based securities in the mid-2000s. Nevertheless, investors generally consider credit ratings useful to help form their views on credit risks. The global market for credit ratings is very concentrated, ostensibly as a consequence of high natural barriers to entry. All three leading rating agencies have headquarter functions in the US, but there is no compelling evidence that this has created an analytical bias. Tighter regulation of rating agencies can be envisaged but is unlikely to have a material positive effect on ratings quality. Better standardised public disclosures on risk factors by issuers are the most promising avenue for future improvements in credit risk assessments.

Die seit Sommer 2007 anhaltende Krise an den weltweiten Finanzmärkten, welche mittlerweile andere Wirtschaftszweige wie etwa den Automobilsektor infiziert hat, ist auch auf die Tätigkeit zumindest der großen US-Ratingagenturen zurückzuführen. Strukturierte Forderungen wurden zu positiv bewertet, wohl auch, da Ratingagenturen bedeutenden Interessenkonflikten gegenüberstehen und angewandte Ratingmethoden versagten. Neben Forderungen, die Transparenz des Bewertungsgeschäftes massiv zu erhöhen, bestehen Vorwürfe, dass es an einem angemessenen Wettbewerb zwischen Ratingagenturen mangelt und diese ihre Macht missbrauchen. Bemühungen, die dominierende Rolle der großen US-Ratingagenturen zu brechen, sind dabei in den vergangenen Jahrzehnten allerdings mehrmals gescheitert. Diese Arbeit soll aufzeigen, inwiefern das Instrumentarium des europäischen und deutschen Wettbewerbs- und Kartellrechts Möglichkeiten dafür bietet, marktinkonforme Tätigkeiten der Ratingagenturen zu ahnden. Neben den grundsätzlich beanstandeten Verhaltensweisen wie Herabstufungsdrohungen sowie der Nichtoffenlegung von Ratingmethoden geht der Verfasser intensiv auf Kooperationen deutscher Landesbanken zu einem einheitlichen Ratingvorgehen ein. Hierzu aber auch zur Tätigkeit der großen Agenturen gereicht dem Verfasser die mehrjährige Tätigkeit im Bereich Finanzen sowie Finanzierung der DekaBank zu einem aktuellen Erfahrungsbeitrag.

The present analysis sheds light on the setting up a regional rating agency in Asia in the wake of recent financial crisis. We investigate the policy facing a financial regulator while evaluating whether or not to admit new entrants into the credit rating market. In an incomplete contracting framework, we show that an impartial financial regulatory body (represented by a benevolent supranational organization) can facilitate credit ratings of high quality by allowing for the entry of new rating agencies on a non-single basis than it does for a mere single entry. This finding is caused by increased competition among the rating agencies, which induces higher quality of rating services even should rating agencies still exert below their maximum level of efforts.

We model EU countries' bank ratings using financial variables and allowing for intercept and slope heterogeneity. Our aim is to assess whether 'old' and 'new' EU countries are rated differently and to determine whether 'new' ones are assigned lower ratings, ceteris paribus, than 'old' ones. We find that country-specific factors (in the form of heterogeneous intercepts) are a crucial determinant of ratings. Whilst 'new' EU countries typically have lower ratings than 'old' ones, after controlling for financial variables we also discover that all countries have significantly different intercepts, confirming our prior belief. This intercept heterogeneity suggests that each country's rating is assigned uniquely, after controlling for differences in financial factors, which may reflect differences in country risk and the legal and regulatory framework that banks face (such as foreclosure laws). In addition, we find that ratings may respond differently to the liquidity and operating expenses to operating income variables across countries. Typically ratings are more responsive to the former and less sensitive to the latter for 'new' EU countries compared with 'old' EU countries.

Credit rating agencies (CRAs) bear some responsibility for the financial crisis that started in 2007 and remains ongoing. This is acknowledged by policymakers, market participants, and by the agencies themselves. It soon became clear that, given the depth of the crisis, CRAs would not be able to satisfy policymakers by eliminating flaws in their rating methods and improving corporate governance. Although the CRAs were more or less unregulated before the outbreak of the financial crisis, after the crisis started, politicians became increasingly vocal in demanding regulation. Initially, these demands were confined to a more binding form of self-regulation. But as the crisis progressed, the calls for state regulation grew ever louder. It became apparent after the November 2008 G-20 summit in Washington that state regulation could no longer be avoided. In Europe, the course had been set in this direction even before then. Since European policymakers saw the crisis as evidence that the Anglo-Saxon approach to the financial markets had failed, they believed they were now strongly placed to have a decisive influence on shaping a new international financial order. It is remarkable to note the shift in European policy from a self-regulatory approach, which was comparatively liberal in international terms, to quite rigorous state regulation of CRAs. Both the European Commission and the European Parliament drew up far-reaching plans. Although European policymakers knew that only globally consistent regulation would be appropriate for a new world financial order, their initial draft legislation was geared more toward stand-alone European regulation. While the final version of the European Union Regulation on Credit Rating Agencies focuses firmly on the European arena, the key point for all market participants is that this is unlikely to have an adverse effect on the global ratings market. It must nevertheless be recognized that the scope of the selected regulatory approach is extremely narrow. Certainly, it has the potential to improve the corporate governance of CRAs and prevent conflicts of interests. But it can do nothing to address the repeated calls for greater competition or for CRAs to be made liable for their ratings.

Certifiers contribute to the sound functioning of markets by reducing a symmetric information. They, however, have been heavily criticized during the 2008-09 financial crisis. This paper investigates on which side of the market a monopolistic profit-maximizing certifier offers his service. If the seller demands a rating, the certifier announces the product quality publicly, whereas if the buyer requests a rating it remains his private information. The model shows that the certifier offers his service to sellers and buyers to maximize his own profit with a higher share from the sellers. Overall, certifiers increase welfare in specific markets. Revenue shifts due to the financial crisis are also explained.

Die Fehlleistungen der marktbeherrschenden US-amerikanischen Ratingagenturen ließen den Wunsch nach Etablierung einer großen europäischen Ratingagentur laut werden. Erich Harbrecht und Martin Wieland, Deutsche Bundesbank, halten eine Forderung nach einem Gegengewicht zu US-Agenturen nicht für sinnvoll. Die Fehleinschätzungen der Ratingagenturen bei strukturierten Finanzprodukten waren »methoden- und produktspezifisch«, nicht hingegen in einzelnen Regionen besonders ausgeprägt. Wichtig seien international konsistente Rahmenbedingungen, die unabhängig von der nationalen Verankerung der Agenturen Anreize für eine hohe Qualität bei der Erstellung von Ratingurteilen fördern. Auch seien die Nutzer von Ratings – Investoren und Regulierer – in der Pflicht, ihren Umgang mit Ratings zu überdenken. Aus Sicht von Ralf Elsas, Ludwig-Maximilians-Universität München, ist eine Regulierung von Ratingagenturen erforderlich, die Transparenz hinsichtlich der Geschäftsaktivitäten, Vergütungsstrukturen und der Eigenschaften des Produkts Ratings schafft. This paper estimates ordered logit and probit regression models for bank ratings which also include a country index to capture country-specific variation. The empirical findings provide support to the hypothesis that the individual international bank ratings assigned by Fitch Ratings are underpinned by fundamental quantitative financial analyses. Also, there is strong evidence of a country effect. Our model is shown to provide accurate predictions of bank ratings for the period prior to the 2007 - 2008 banking crisis based upon publicly available information. However, our results also suggest that quantitative models are not likely to be able to predict ratings with complete accuracy. Furthermore, we find that both quantitative models and rating agencies are likely to produce highly inaccurate predictions of ratings during periods of financial instability.

We provide a comparison of salient organizational features of primary markets for foreign government debt over the very long run. We focus on output, quality control, information provision, competition, pricing, charging, and signaling. We find that the market setup experienced a radical transformation in the recent period, and we interpret this as resulting from the rise of liability insurance provided by rating agencies. Nicolas Véron argues rating agencies have failed the marketplace in the run-up to the crisis, as their risk assessment processes have been found wanting on a number of counts. It is not clear that conflicts of interests have been the root cause of this serious failure, even if such conflicts may have existed. More regulation of rating agencies will not be a sufficient response to the challenge posed by the agencies recent failings, and carries risks of its own. What is needed is a deeper change in the structure of the market for financial risk assessment services.

In den vergangenen Jahren traten auf den internationalen Kapitalmärkten starke Veränderungen ein. Die Öffnung vieler Länder für den internationalen Kapitalmarkt seit den 1980er Jahren führte allgemein zu einem hohen Anstieg grenzüberschreitender Investitionen. Folgt man der wirtschaftswissenschaftlichen Theorie, sollte aber wesentlich mehr Kapital von Industriestaaten in arme Länder fließen als es tatsächlich der Fall ist. Politische Faktoren bzw. politische Länderrisiken sind entscheidende Faktoren zur Erklärung dieses Phänomens. Hauptgegenstand dieser Arbeit ist die Klärung der Wirkungszusammenhänge zwischen Politik, Kapitalflüssen und Länderrisiken. In der Arbeit werden verschiedene Formen internationalen Kapitals unterschieden. Es ist von entscheidender Bedeutung, wie sich politisches Risiko auf unterschiedliche Kapitalflüsse wie Direktinvestitionen und Schuldenflüsse auswirkt. Dem Kreditmarkt und dem Phänomen des Staatsbankrotts kommt hierbei eine Schlüsselrolle zu. Die Frage, unter welchen politischen Voraussetzungen sich Staaten am internationalen Kapitalmarkt verschulden, ist in der Literatur bislang vernachlässigt worden. Dieser Zusammenhang bestimmt jedoch zu einem hohen Grad die Auslandsschulden eines Landes bei gegebener Kreditwürdigkeit. Die Arbeit konzentriert sich nicht nur auf den Faktor politisches Risiko, sondern beleuchtet die Rolle der „Politik“ als Ganzes. Im ersten Teil der Arbeit Schritt wird der theoretische Zusammenhang zwischen politischen Variablen, Wirtschaftswachstum und verschiedenen Kapitalflüssen untersucht und darauf aufbauend Hypothesen gebildet. Im zweiten Schritt wird gezeigt, wie Investoren Politik bzw. politische Risiken hinsichtlich ihrer Investitionsmöglichkeiten wahrnehmen. Dies geschieht anhand der Länderratings, die von Ratingagenturen veröffentlicht werden, um deren Einschätzung der Kreditwürdigkeit eines Landes dem Markt mitzuteilen. Diese Länderratings sind zu einem wichtigen Element im Wettbewerb staatlicher Akteure um die Gunst von Investoren geworden. Neben ökonomischen Determinanten wird das Länderrisiko auch von sozialen und politischen Faktoren beeinflusst. Es zeigt sich, dass gerade politische Risiken nur schwer voraussehbar und kaum operationalisierbar sind. Außerdem wird deutlich, dass es den Trägern der Analyse an Kompetenz gerade bei der Einschätzung politischer Risiken mangelt. Die Regressionsanalysen bilden den dritten Teil der Arbeit und werden mit einem globalen Datenpanel durchgeführt. Ein zweites Sample wird für Lateinamerika, den regionalen Schwerpunkt der Arbeit, erstellt. Es wird unterschieden nach den politischen Determinanten von Direktinvestitionen, Aktieninvestitionen und Schuldenflüssen. Die politischen Determinanten von Länderratings werden separat untersucht. Fallstudien zu Argentinien und Venezuela vervollständigen die Erkenntnisse der Untersuchung. In einem ersten Schritt wird dabei die jeweilige historische Entwicklung der Kapitalflüsse der Länder im Rahmen ihrer ökonomischen und politischen Geschichte analysiert. Daran schließt sich eine Analyse der Perzeption politischer Risiken während der Schuldenkrise der 1980er Jahre an, die beide Länder betraf. Es wird außerdem gezeigt, welche politischen Institutionen Einfluss auf die wirtschaftliche Leistungsfähigkeit beider Länder haben. Hier wird für Venezuela vor allem die auf Öl basierende Rentenökonomie behandelt und im Falle Argentiniens der Fiskalföderalismus. Am Beispiel der liberalen Reformen Anfang der 1990er Jahre wird gezeigt, warum die Länder mit ihrer Politik trotz ähnlicher Bedingungen unterschiedliche Ergebnisse erzielten. Die Fallstudien schließen mit der Analyse jüngerer Krisen und deren Folgen für die Investoren ab., In recent years there have been strong changes in international capital markets. The access of many countries to international capital markets since the 1980s led to a high increase in cross-border investment. Following economic theory there should be much more capital flowing from developed countries to poor countries than there is actually. Political factors and political risks are key factors to explain this phenomenon. The main goal of this thesis is to clarify the interdependencies between political factors, capital flows and country risks. The first chapter contains an analysis of the political determinants of economic growth and capital flows. The second chapter shows how investors perceive political risks while analyzing their investment opportunities. Therefore sovereign ratings published by credit rating agencies are examined. The analysis of rating agencies shows that they lack the skills to assess political risks adequately. The third chapter contains panel data regressions with a global data panel and second sample for Latin America. Political determinants of FDI, portfolio equity investment and debt flows are analyzed. The political determinants of sovereign ratings are examined separately. The fourth chapter contains case studies on Argentina and Venezuela. The historical development of financial flows is linked to the countries’ political history. Subsequently the perception of political risks during the debt crisis of the 1980s is demonstrated on the basis of newspapers and rating publications. It is also shown how political institutions influence the economic performance of both countries. For Venezuela this is in particular the oil-based rentier economy and for Argentina the fiscal federalism. The liberal reforms in the early 1990s and their different outcomes are compared in the next step. The case studies conclude with the analysis of recent crises in these countries and their consequences for direct and debt investors.

Hybridkapital ist eine innovative Form der Unternehmensfinanzierung. Hybride Finanzinstrumente weisen Eigenschaften von sowohl Fremd- als auch Eigenkapital auf und stellen deswegen ein sehr flexibles Finanzprodukt dar. Aus diesem Grund haben sich in den letzten Jahren hybride Kapitalinstrumente auf den Finanzmärkten in Europa etabliert und gewinnen zunehmend an Bedeutung. Diese Arbeit hat sich zum Ziel gesetzt einen umfassenden Überblick über die am Markt erscheinenden Formen von Hybridkapitalprodukten zu verschaffen. Des Weiteren werden die Gründe analysiert, welche die Emittenten und Investoren zur Teilnahme an diesem Markt bewegen. Besonderes Interesse wird der Betrachtung vom Hybridkapital aus Sicht der Ratingagenturen und Aufsicht gewidmet, da sie einen großen Einfluss auf Marktentwicklung haben. Auf die Analyse der steuerlichen und bilanziellen Aspekte wird aus Grund der Überschaubarkeit verzichtet.

This paper analyzes alternative models for emerging sovereign ratings. Although a small number of economic fundamentals explain ratings reasonably well, variations in those economic fundamentals are themselves explained by a small number of world factors. On the other hand, global financial variables associated with risk aversion are additionally required in order to explain the significant spread compression at the end of 2006. To determine whether ratings matter for spreads, the paper compares results across different methodologies, in particular exploiting differences in opinion between rating agencies. The evidence from this and previous methodologies is that ratings do matter. Finally, the paper finds that global indicators of risk aversion have become less important for emerging market spreads and that the effect of sub-prime news is less than the effect of 'average news' on emerging economy credit default swap (CDS) spreads.

Credit rating agencies (CRAs) very often have been criticized for announcing inaccurate credit ratings and are suspected of being exposed to conflicts of interest. Despite these objections CRAs remained largely unregulated. Based on Pagano & Immordino (2007), we study the optimal regulation of CRAs in a model where rating quality is unobservable and enforcing regulation is costly. The model shows that minimum rating standards increase the social value of credit ratings. The model also analyzes implications for regulation in the presence of conflicts of interest between the CRA and the rated clients by direct bribes and by the joint provision of rating and consulting services.

If rating agencies add no new information to markets, their actions are not a public policy concern. But as rating changes may be anticipated, testing whether ratings add value is not straightforward. This paper argues that ratings and spreads are both noisy signals of fundamentals and suggest ratings add value if, controlling for spreads, they help explain other variables. The paper additionally analyzes the different actions (ratings and outlooks) of the three leading agencies for sovereign debt, also considering the differing effects of more or less anticipated events. The results are consistent across a wide range of tests. Ratings do matter and hence how the market for ratings functions may be a public policy concern.

Generally, information provision and certification have been identified as the major economic functions of rating agencies. This paper analyzes whether the “watchlist" (rating review) instrument has extended the agencies' role towards a monitoring position, as proposed by Boot, Milbourn, and Schmeits (2006). Using a data set of Moody's rating history between 1982 and 2004, we find that the overall information content of rating action has indeed increased since the introduction of the watchlist procedure. Our findings suggest that rating reviews help to establish implicit monitoring contracts between agencies and borrowers and as such enable a finer partition of rating information, thereby contributing to a higher information quality.

We consider 1927 borrowers from 54 countries who had a credit rating by both Moody's and S&P at the end of 1998, and their subsequent default history up to the end of 2002. Viewing bond ratings as predicted probabilities of default, we consider partial orderings among competing probability forecasters and show that Moody's and S&P cannot be ordered according to any of these. Therefore, the relative performance of the agencies depends crucially on the way in which probability predictions are compared.

We use dynamic panel analysis to examine whether credit rating agencies achieve what they claim to achieve, namely, look into the future when assigning their ratings. We find that Moody's ratings help predict individual financial ratios over a horizon of up to five years. Ratings also predict a multivariate credit score, again over five years. The contribution of ratings appears to be economically significant and robust for different specifications.

In this paper we study the determinants of sovereign debt credit ratings using rating notations from the three main international rating agencies, for the period 1995-2005. We employ panel estimation and random effects ordered probit approaches to assess the explanatory power of several macroeconomic and public governance variables. Our results point to a good performance of the estimated models, across agencies and across the time dimension, as well as a good overall prediction power. Relevant explanatory variables for a country's credit rating are: GDP per capita, GDP growth, government debt, government effectiveness indicators, external debt, external reserves, and default history.
