The 2019 Philippine UHC Act provides one of the most recent examples of contractualization of health care. Despite the significant change it brings, it regulates contracting only marginally, so that the purpose and deployment of this mechanism remain largely unclear. This study examines how contracting under the new law can contribute to achieving the reform goals and, to this end, subjects the UHC Act and its Implementing Rules and Regulations to a socio-legal analysis. In the process, it becomes apparent that, contrary to the general trend, the law adheres to a decidedly hierarchical form of contracting, which is in a certain state of tension with the network-like organization it promotes and the use of contracting to realize development-oriented goals. To effectively implement the law's contracting concept, the authors suggest underpinning it with a more relational approach, a stronger management orientation of the executing entities, and the development of appropriate network governance concepts.

The progressive automation of management and production processes is increasingly affecting the way contracts are handled. Although for contract automation more concepts are currently being discussed than actually applied, the outlines of what will be possible in the future have become apparent. They raise the questions of what challenges contract handling will have to cope with in the future and whether the concept of contract lifecycle management (CLM) provides a suitable framework for this task. To give answers to these questions, the present article analyses the impact of the pull-effects of new forms of business and the push-effects of technology on the function, content, representation and usage of contracts. The results indicate that these developments entail major changes in the way contracts are handled and that the CLM concept will only be able to address them with considerable adjustments.

PurposeThe aim of this paper is to pursue three objectives: to assess the extent to which theoretical concepts and corporate practice are reflecting the contract’s risk management dimensions; to identify ways to make full usage of the contract’s risk dimensions for risk management purposes; to overcome the isolation of the contract caused by its perception as a legal instrument by integrating its handling into the overall corporate management processes.Design/methodology/approachLiterature is analyzed regarding the contract’s roles as a source of risk and as a risk management device. Based on the relevant findings, it uses the Contractual Management Model to develop a concept that integrates all contract-related risk management processes in an enterprise.FindingsThe paper redefines the term “contract risk” in the light of modern understanding of contract functions and contract purposes. It shows that only Contractual Risk Management theory takes the management capacity of the contract fully into account. A Contractual Risk Management process is suggested which integrates all contract-related corporate management processes and aligns them to the requirements of transaction risk management and enterprise risk management.Originality/valueThe paper may guide executives to optimize corporate risk management processes through a better understanding of the risk potential of contract and of its risk management capacity. It provides a checklist of redefined contract risks as well as a concept that, for the first time, is aligning all contract-related management processes to support the corporate risk management system.

This part of the book addresses two issues: The persistent complaints in business about the discrepancy between the immense amount of resources consumed by contracts and the rather limited effects they produce; and the neglect and lack of interest the contract faces outside of the legal profession, even though it is an essential working tool for managers. To overcome these shortcomings, Sects. 1.1 through 1.3 survey contract deployment in respect of its concepts, relevance for enterprises, and integration into management activities; furthermore, the causes for the deficits in contract handling are analyzed. The results obtained call for a paradigm shift from management of the contract to management through the contract, what is referred to as the Contractual Management Approach (CM Approach). The latter is explained in Sect. 1.4 together with the Contractual Management Model (CM Model) which instrumentalizes the CM Approach. Thereafter, the benefits and limitations of Contractual Management are evaluated against the objectives of both concepts in order to capture all aspects of contract handling in business. Moreover, its applicability outside of business is tentatively explored to obtain better insights into the immutable conditions under which contracts work. In Sect. 1.5 finally, the core features of Contractual Management are highlighted as well as the contributions it can bring to improve the current shortcomings in contract handling and in contract appreciation.

This case study deals with three situations of unforeseen events disturbing the execution of a large-scale project. It highlights the many functions a contract has to fulfil under such circumstances, its impact on project management as well as the effects of its working environment on contract implementation. Since projects are highly dynamic, the contract’s main purpose is to organize an orderly progression of the project while maintaining the substance of the agreement reached by the parties. The contract thus serves as a manual for project execution under unexpected conditions, and the stakeholders’ potential course of action will largely depend on its content.

Die A-GmbH mochte im Ausgangsfall verschiedene Blogs auf dem Rechner ihres Providers P einrichten, einige mit und andere ohne Moderation. Weiterhin mochte die A-GmbH auf ihren Web-Seiten eine grose Zahl von Links anbieten. Der Geschaftsfuhrer G mochte wissen, inwieweit eine Verantwortlichkeit fur die Inhalte Dritter in den Blogs und auf den verlinkten Seiten besteht.

Im Ausgangsfall mochte die A-GmbH ihren digitalen Stadtfuhrer als CD uber den Buchhandel sowie zum Download von ihren Websites vertreiben. Zudem beabsichtigt sie, rund um den digitalen Stadtfuhrer verschiedene Apps fur mobile Endgerate z. T. entgeltlich, z. T. unentgeltlich zum Download anzubieten. Dabei handelt es sich insbesondere um eine virtuelle Stadtfuhrung und ein Location- und Geschafte-Guides. Auserdem beabsichtigt sie, in einem Sozialen Netzwerk eine eigene Seite anzulegen, auf der sie ihre Leistungen anbieten und die sie entsprechend zu den eigenen Websites verlinken mochte.

Den Schwerpunkt des Buches bildet das „Internet der Dienste“, welches den E-Commerce pragt. Hier stehen Fragen des Vertragsschlusses im Internet, der Haftung fur Inhalte unter Berucksichtigung domain- und markenrechtlicher Fragen sowie der Datenschutz, der Schutz von geistigem Eigentum und der faire Umgang im Wettbewerb im Mittelpunkt. Zunehmend verbindet sich das „Internet der Dienste“ jedoch mit dem „Internet der Dinge“. Auch die mit diesem „Internet der Zukunft“ verbundenen rechtlichen Probleme – wie Big Data oder der Vertragsschluss Mensch-Maschine – werden aufgegriffen. Dieses Buch erschliest das Internet fur den E-Commerce aus rechtlicher Sicht. Es zeigt Unternehmen wie Verbrauchern ihre diesbezuglichen Rechte, Pflichten und Verantwortlichkeiten auf. Zielgruppe sind Praktiker sowie Studierende aus allen Fachrichtungen. Anhand eines durchgehenden Beispielfalls und der aktuellen Rechtsprechung werden die verschiedenen Themen anschaulich dargestellt.

Im Grenzbereich von Kauf- und Werkvertragsrecht ist die Vertragstypisierung und damit das anwendbare Gesetzesrecht uber weite Strecken noch immer nicht geklart. Zudem erweisen sich die durch die Schuldrechtsreform neu zugeschnittenen Vertragsordnungen fur die in diesem Grenzbereich anzusiedelnde Beschaffung von Investitionsgutern mitunter als wenig praktikabel und erfordern vertragliche Korrekturen, die einem Wechsel des Vertragstyps nahe kommen konnen. Im unternehmerischen Verkehr fuhrt beides zu betrachtlichen AGB-rechtlichen Unischerheiten.
