The article discusses efforts to diversify the corporate boardroom in the U.S., as well as the various federal and state laws to achieve the said goal, including California's Senate Bill (SB) 826. Topics include the proposed implementation by major national securities exchanges of gender diversity listing standards requiring publicly traded firms to have minimum number of women board members, and the role of exchanges in corporate governance regulation.

We study the sources of women's underrepresentation in hiring for top management jobs by focusing on the context of executive search. Using data that include proprietary information on 10,970 individuals considered by a search firm, we examine the sources of the low proportion of women placed in senior roles. Contrary to received wisdom, we find limited evidence that demand-side screeners strongly contribute to gender disadvantage in this setting. What gender differences exist tend to play out at the start of the hiring process and are driven both by supply-side and demand-side actors. Once considered for a position, women are no less likely than men to be hired-though they are slightly less likely to be interviewed by the search firm. Our findings highlight the theoretical importance of disentangling candidates' 'self-steering' behavior from the 'pipeline bending' of hiring agents. In this article, we adopt a critical perspective to study how executive search practices reproduce particular understandings of the ‘ideal’ executive body. We show how this disadvantages not only women but also men who are considered not to fit the ‘ideal’, and further demonstrate how search practices are embodied: how aesthetics, the senses and a sensorial way of knowing permeate the practices through which candidates are evaluated. We identify discourses on embodied co-presence, capabilities and voice in search consultants’ talk, and specify how notions of the ‘ideal’ executive body and embodied search practices become intertwined. In this article, we examine the factors determining the representation of women on boards of directors by considering three main questions. The first question deals with the relationship between characteristics of ownership and governance on one side, and female directorship on the other. The second major question concerns the demographic attributes of women directors, such as nationality, foreign experience, educational level, business expertise, and connections to external sources. The third important question refers to women in senior positions on French boards (e.g., as independent members or board subcommittee members) in relation to firm characteristics and women’s demographic attributes. Our study focuses on French large- and mid-capitalized companies belonging to the SBF120 stock market index during a 5-year period running from 2000 to 2004. First, our results give evidence that the appointment of women directors is strongly related to family ownership and board or firm size. Second, the appointment of women directors is related to their professional services, valuable skills, and network links. Furthermore, we show that women face a double glass-ceiling problem, and note that French firms rely more on the demographic attributes of their women directors when they are appointed to senior board positions.
