Shareholders' agreements are, in essence, agreements entered into by all or any of the partners contemplating some topic or question related to the company. Over time, shareholders' agreements have been acquiring greater presence and relevance, becoming a fundamental tool in commercial traffic in Spain, as shown by corporate practice. Article 530 of the Ley de Sociedades de Capital, for its part, provides that «for the purposes of the provisions of this chapter 5, shareholder agreements are understood to be those agreements that include the regulation of the exercise of voting rights in general meetings, or that restrict or condition the free transferability of the shares in listed public limited companies». The art. 531 of the LSC, for its part, deals with the publicity of these agreements. The work deals with the characterization and effectiveness of such pacts in our mercantile system.
