La présente étude qui a porté sur l’annulation totale ou partielle de la rémunération d’un dirigeant social de société anonyme en droit OHADA s’articule autour de deux points. Le premier aborde les notions des administrateurs ou dirigeants sociaux des sociétés anonymes et leurs rémunérations, modalités de fixation et l’organe compétent (point I), tandis que le second porte sur les possibles violations et sanctions liées aux modalités de fixation de ces rémunérations (point II). Ainsi, il s’est révèle qu’il est possible d’annuler totalement ou partiellement la rémunération d’un dirigeant social, par le juge en droit de l’Ohada. Mais, cette nullité doit reposer sur la violation d’un texte, car l’Acte uniforme relatif au droit de sociétés commerciales et du groupement d’intérêt économique consacre en son article 244 le principe selon lequel, « pas de nullité sans texte ».

This article examines the various regional and supranational organisations of emerging countries that could benefit from a codification of private international law rules. They include the Organisation for the Harmonisation of Business Law in Africa (OHADA), the African Union (AU) and the Association of Southeast Asian Nations (ASEAN). In addition, the article analyses the envisaged instruments that may be especially relevant in the context of the abovementioned organisations. These include the Preliminary Draft Uniform Act on the Law of Obligations in the OHADA Region, the proposed African Principles on the Law Applicable to International Commercial Contracts and the Asian Principles of Private International Law. More specifically, the article focusses on the provisions regarding the determination of the law applicable, particularly those rules relating to a tacit choice of law in international commercial contracts.

De toute évidence, la lutte contre le secteur informel en RDC constitue l'un des facteurs de la dynamisation de l'économie nationale. Cette lutte nécessite que les mesures idoines soient prises, entre autres l'engorgement de tous les canaux de facilitation des activités économiques informelles, à travers les règles claires dont la violence est sévèrement sanctionnée de manière à dissuader tous les récalcitrants. En effet, parmi les mesures juridiques prises par le législateur de l’OHADA figure la consécration des sociétés commerciales pouvant fonctionner sans personnalité juridique, c'est-à-dire de façon informelle, dont la société en participation. Et plusieurs se cachent derrière ces formes de sociétés pour légitimer leurs activités informelles, tout en se soustrayant du contrôle étatique. Cette étude vient apporter la lumière quant à ce. Elle précise que la consécration de la société en participation, comme pour les autres sociétés sans personnalité juridique, n'est pas à concevoir comme un moyen d'encourager les opérateurs économiques à y recourir, mais une sanction à l'encontre de ceux qui auraient donné l'impression d'avoir constitué une société commerciale et voudraient se soustraire des obligations qui en découlent, en évoquant l'absence de la personnalité juridique. Ainsi, il est important que le législateur renforce les sanctions contre tous ceux qui s'y livrent de manière à ne pas permettre la dénaturation de sa réforme.

Le droit commercial de l’OHADA a connu d’importantes innovations suite à l’adoption du nouvel acte uniforme portant sur le droit commercial général. Le statut de l’entreprenant figure au rang des institutions qui ont été particulièrement affectées par la réforme. En effet, l’apparition de l’entreprenant dans les dispositions de l’Acte uniforme vise plusieurs objectifs mais principalement la promotion du passage de l’économie informelle à l’économie formelle. Toutefois, la transposition de ce nouvel opérateur économique dans l’espace OHADA, en dépit de toutes les opportunités et avantages que cela offre aux économies des Etats-Parties, se trouve butée aux moult obstacles qui ont empêché son effectivité après une décennie jusqu’à ce jour et constitue un frein au caractère attractif du secteur économique informel. Les efforts conjugués par le législateur communautaire en 2010, se trouvant limités notamment par la difficulté de démarquer l’activité commerciale de l’entreprenant à celle du commerçant tout court. Ce faisant, cet article tombe à point nommé, aborde la problématique de la démarcation des activités commerciales de l’entreprenant à celles de commerçant en proposant une ligne de différenciation. Cette suggestion pourrait contribuer, à juste titre, à une forte mobilité d’adhésion de personnes physiques œuvrant dans le secteur économique informel et éviter ainsi l’insécurité juridique et judiciaire dans l’espace OHADA.

La République Démocratique du Congo a adhéré à l’OHADA en date du 11 juillet 2012. Le Traité, les Règlements d’application et les Actes uniformes sont entrés en vigueur le 12 septembre 2012. Il faudra rappeler ici que cette adhésion est consécutive à la loi n° 10/002 du 11 février 2010 autorisant l’adhésion de la RDC au Traité du 17 octobre 1993 relatif à l’harmonisation du droit des affaires en Afrique. A la suite de cette adhésion, plusieurs mesures ont été prises par le Gouvernement de la RDC pour assurer la mise en œuvre de l’OHADA. La présente réflexion passe en revue certaines de ces mesures en vue d’apprécier leurs incidences dans la sécurité juridique et judiciaire de la RDC.

The European-inspired bilingualism and bi-legal system in Cameroon lead to an irregular profile and may be interesting for the European Union (EU) in its quest for preservation of intercultural processes through translation. The Organization for the Harmonization of Business Law in Africa (OHADA) of which Cameroon is part is only affiliated to Civil Law. However, the two legal systems employed in Cameroon (where both Civil Law and Common Law are used) are based on a balance in what concerns the conceptual, epistemic and stylistic representation. Intercultural dysfunction is the consequence of the lack of methodology in legal translation. Collaboration between legal translators and practitioners is key to adopt an agreed-upon model in multilingualism.

Aujourd'hui plus qu'hier, la médiation suscite l’intérêt tant des chercheurs, des praticiens, que des politiques. Cet intérêt se matérialise notamment par les différents cadres juridiques dont elle bénéficie dans plusieurs législations. Afin de promouvoir la médiation au sein de ses États membres, L’Organisation pour l’Harmonisation en Afrique du Droit des Affaires (OHADA) a adopté le 23 novembre 2017 un Acte Uniforme relatif à la Médiation (AUM). Après avoir adopté depuis plus de deux décennies un Acte uniforme sur l’arbitrage, l’organisation régionale confirme sa volonté de promouvoir les modes alternatifs de règlement de conflits dans le domaine du droit des affaires. Cependant, l’AUM est un instrument juridique particulier attendu qu'il est le premier de son genre à s’appliquer également aux domaines non encore régis par le droit OHADA. Toutefois, si la médiation tend à se développer de plus en plus, il convient de prendre garde à ce que cette évolution, notamment en ce qui concerne son encadrement légal, ne conduise pas à sa dénaturation. Voilà l’un des défis auquel est également soumis le législateur OHADA., Today, more than ever, mediation is attracting the interest of researchers, practitioners and politicians alike. This interest is notably materialized by the different legal frameworks it benefits from in several legislations. In order to promote mediation within its member states, the Organization for the Harmonization of Business Law in Africa (OHADA) adopted on November 23, 2017, a Uniform Act on Mediation (UAM). After adopting a Uniform Act on Arbitration more than two decades ago, the regional organization confirms its desire to promote alternative dispute resolution in the field of business law. However, the AUM is a special legal instrument as it is the first of its kind to apply also to areas not yet governed by OHADA law. However, if mediation is tending to develop more and more, care should be taken to ensure that these developments, in particular with regard to its legal framework, do not lead to its distortion. This is one of the challenges to which the OHADA legislator is also subject.

The Organization for the Harmonization of Business Law in Africa (hereinafter referred to as OHADA) was created on 17 October 1993 to foster economic development in Africa by creating a uniform and secure legal framework for the conduct of business in Africa. In an effort to reform the law of contracts in its Member States, OHADA has prepared the Preliminary Draft of the Uniform Act on the Law of Obligations (hereinafter referred to as the Preliminary Draft). Several provisions of the Preliminary Draft set forth general principles concerning choice of law in international commercial contracts. Indeed, the Preliminary Draft encompasses innovative provisions on party autonomy in international contracts, such as the explicit recognition of the right of parties to choose the law applicable to their contracts and the inclusion of limited exceptions to party autonomy (overriding mandatory rules and public policy). Yet, it still needs to be improved in respect of various issues, including for instance the ability of parties to choose different laws to apply to distinct parts of their contract and the possibility for the parties to expressly include in their choice of law the private international law rules of the chosen law. This paper analyses the provisions of the Preliminary Draft in the light of the Hague Principles on Choice of Law in International Commercial Contracts (hereinafter referred to as the Hague Principles). More particularly, it explores how the Hague Principles can help refine the rules on party autonomy contained in the Preliminary Draft to enhance legal certainty and predictability in the OHADA region. The last reform of the Uniform Act on General Commercial Law OHADA reconsidered several pieces of commercial law. The concept of leasing has not been spared. She, who was accompanied by the "commercial" substantive, has been transformed into "commercial lease". Question of style or simple semantics? Certainly not, because the legislature in 1997, had not previously dared revise the designation commercial lease that no longer fit with the extension of the beneficiaries he had devoted himself. With the reform of December 2010, the institution of the lease has just renamed. Parliament also confirmed the extension of the scope of economic actors involved in the protection of the lease. The regime of former Uniform Act was therefore not fully extended, particularly since we noted another significant change in the new text. Contrary to former Article 69 which devoted two cumulative criteria necessary for the implementation of the lease of the regime, including the situation in a populated city of more than 5,000 people and membership of local under lease to a designated class, the new text retains a single criterion, that of belonging to a local specific category. This mutation disrupts some basics of goodwill theory. Indeed, with the increasing scope of lessees, there is a sliding protection to professional trader. This causes result in a substitution of the lease of the foundation that passes from customer to the profession. The loss of the privileged place of business customers coupled with doctrinal and jurisprudential developments in the theory of civil customers, argue for an assimilation of the different customer categories.

Taking into account the status of spouses by business law of the Organization for the Harmonization of African Business Law (OHADA) is referring to general commercial law and company law. The OHADA legislator values the status of spouses devoting equality between spouses, through the possibility for them to be able to be involved in low risk companies; the recognition of the de facto company between them and the right granted to each power, under the same conditions, benefit from the commercial lease originally attached to privileges. The consideration that the OHADA law grants the quality of husband appears in heritage protection thereof, insofar as it puts it away in case of depletion bad deal made by one of them . This is why the prohibition for spouses to be involved in the unlimited risk firms and the requirement of a separate trade as a condition for the spouse of the trader can also acquire the same status. But the heritage protection system spouse taken from the OHADA business law is supplemented by certain mechanisms of civil law, including matrimonial property regimes, although not all have the same efficiency. Indeed, among the two groups of matrimonial property regimes are known as separation schemes and those of the community property, only the first effectively protect the couple's assets. This objective likely was not assigned to the second from the design. These look more forward the merger of most of the assets of the couple without the slightest idea of calculation.

The Organisation for Harmonisation of Business Law in Africa (OHADA) was established in October 1993 with the ambitious aim of inciting economic development in its Member States. Through the adoption of Uniform Commercial Laws, the organisation is expected to create an enabling environment for business development, thereby providing for a path to economic growth and subsequent development. In light of this professed aim, both the transnational methodological approach and comparative law theories are used in this paper to critically analyse the various processes conducted under the OHADA banner and to engage in discussions on the highly debated role of law as a vehicle for development in sub-Saharan Africa. This exercise, which proves crucial in order to trace its origin within the global governance and law and development theories, allows us to present OHADA as a transnational legal system, while also highlighting both its strengths and limitations. This research provides an overview of agricultural cooperatives (ACs) in Benin's Republic (RB). It describes the history of ACs and provides statistics on their number across time, size of membership, and distribution across the country. The first generation of ACs in RB was developed during the time of colonization. With the advent of independence in 1960 arose the second generation of ACs, marked by poor performances, too much State involvement and compulsory membership.Further, the early 90s marked a turning point in the movement, with the rise of the third generation of ACs in a freer environment. They were mainly made of village groups at the grassroots level, Unions at the communal and departmental echelons, and the Federation of Farmers Union (FUPRO) at the national level, which unfortunately was focused on cotton production for a long time. As a result, the third generation of ACs did not perform well because of inappropriate legal provisions and the considerable importance of the cotton sector, amongst other reasons.However, due to the government's political will, from 2006, to promote new crops, and the entry into force of the nineteenth Uniform Act of the OHADA relating to the Law of Cooperative Societies in May 2011, ACs have gained momentum. The fourth generation of ACs started flourishing in the RB and reached 2439 ACs as of April 2019. Most ACs in RB are single-purpose cooperatives with small membership size and operating within their village limits. Due to the importance of ACs in RB nowadays, sustaining cooperatives' contributions to members and all community becomes essential and then deserves policymakers' attention.

The title of this contribution concerns the sovereignty of OHADA’s States as a solution or a problem of juridical integration. In our analysis, we consider that the States of the OHADA’s area are the main actors of this integration. In fact, the States express their sovereignty towards organs and tools of OHADA. In one hand, the way States express their sovereignty enable to have the same law amongst OHADA’s States. In another hand, by allowing any State to have his own criminal law (as far as sanctions are concerned) the aim of integration (unification) has been jeopardized. The solution of this problem is to have the same penal approach.

Ever since the colonial era, attempts have been made throughout the various regions of Africa at building supranational units chiefly for administrative and legal convenience. Examples of such attempts include the Federation of Rhodesia and Nyasaland, the East African High Commission and the federations in former French West and Equatorial Africa, all of which were attempts at forging a supranational nation state. These experiments laid the foundation for further supranational initiatives in post-colonial Africa. In this respect, every region in Africa has either experimented with or is currently experimenting with the idea of supranational regional organisations. This article aims at investigating selected attempts at supranationalism on the continent, the successes and failures of such experiments, and the lessons to be learnt from them. As Africa embarks on the journey of solidifying its unity through the establishment of leviathan continental institutions, efforts should be geared towards building on the experiences of past and present experiments at the sub-regional level. Such experiments offer instructive lessons as they are rooted in similar historical and social contexts.

The aim of this work is to study concepts that have rights and a regime close to that of the partner but to which the law does not recognize the status of partner. Up to now, doctrine has been content to define and distinguish between partners and non-participants. Indeed, the authors, on the basis of the criteria for qualifying a partner, deny the status of partner to the bearer in the context of a "portage" agreement. There is a doctrinal debate, fuelled by other authors, about the qualification of the usufructuary as a partner. This idea is supported by the textual foundations which also deny the status of partner to holders of securities giving access to the capital and to trustees.The interest of this work is to show that there is a common framework for several of these legal concepts that exist around the notion of partner in French law and in the area governed by OHADA law. The notion of quasi-associate has not yet been examined in either French or OHADA law. Largely inspired by French law, OHADA law has some particularities due to the African context and custom. This comparative work between French law and OHADA law will point out the singularities existing within OHADA law on the notion of quasi associate.Two methodological approaches are used to study the quasi-associate within French company law and OHADA law.The first approach is to compare the criteria for qualifying the partner with the legal concepts used. The second approach is to rely on case law, textual tools and doctrine to identify other criteria.The second approach is to use case law, textual and doctrinal tools to identify other criteria, so that the legal concepts selected act as partners without being qualified as partners.Finally, the work will have the final objective of identifying the conditions and regime for this quasi-associate. In short, to define what a quasi-associate is in the light of French law and OHADA law., Ce travail ambitionne d’étudier des notions ayant des droits et un régime proche de celui de l’associé mais auquel le droit ne reconnaît pas la qualité d’associé. Jusqu’ici, la doctrine s’est contentée de définir, de distinguer l’associé de celui qui ne l’était pas. En effet, les auteurs à partir des critères de qualification de l’associé refusent la qualité d’associé au porteur dans le cadre d’une convention de portage. Il existe un débat doctrinal nourri par d'autres auteurs autour de la qualification d’associé de l’usufruitier. A cette idée, rejoignent des fondements textuels qui refusent également, la qualité d’associé aux titulaires de valeurs mobilières donnant accès au capital ainsi qu’aux fiduciaires.Aussi ce travail a pour intérêt de démontrer qu’il existe un cadre commun à plusieurs de ces concepts juridiques existant autour de la notion d’associé au sein du droit français et au sein de l’espace régit par le droit OHADA. La notion de quasi-associé a été encore peu interrogée aussi bien en droit Français qu’en droit OHADA. Largement inspiré du droit français, le droit OHADA recèle quelques particularités en raison du contexte et de la coutume africaine. Ce travail comparatif entre le droit Français et le droit OHADA relèvera les singularités existantes au sein du droit OHADA sur la notion de quasi associé.Deux approches méthodologiques sont mobilisées pour étudier le quasi-associé au sein du droit des sociétés français et de l’espace OHADA.La première approche est de comparer les critères de qualification de l’associé aux concepts juridiques retenus. La seconde approche est de s’appuyer sur les outils jurisprudentiels, textuels et la doctrine afin d’identifier d’autres critères.les concepts juridiques sélectionnés agissent comme étant des associés sans pour autant recevoir la qualification d’associé.Enfin, le travail aura pour objectif final d’identifier les conditions et le régime pour ce quasi-associé. Bref, définir ce qu’est un quasi-associé à la lumière du droit français et du droit OHADA.

La téléphonie mobile occupe une place importante dans notre société. Nous sommes passés de téléphones n’ayant que pour principale fonction la communication, à de véritables instruments de développement économiques. Désormais utilisées dans le monde entier et adopté par des populations issues de toutes les classes sociales, les transactions effectuées par la téléphonie mobile doivent aujourd’hui indéniablement être astreintes à un encadrement juridique efficace, orienté sur la protection des consommateurs de ces services. Dans le cadre de notre étude, nous avons décidé de nous consacrer à l’analyse des prestations de services de paiements mobiles. Ces dernières, qui sont particulièrement appréciées des populations africaines, nous ont menés à analyser le contrat qui lie les consommateurs de ces services. Malgré l’existence de certaines règles importantes, il est apparu que de nombreuses insuffisances mettant en danger le consommateur pouvaient être relevées. Cette réalité n’est que le fruit de plusieurs obstacles qui se dressent face à l’élaboration d’un cadre juridique adapté aux consommateurs. Ils proviennent essentiellement du fait que le continent africain n’est autre que celui qui accueille cette nouvelle technologie, qui n’a pas encore été appréhendée par d’autres continents dont certains États membres ont longtemps constitué un exemple pour ceux-ci. Même au sein du continent africain, les efforts déployés par certains États d’Afrique de l’Est n’ont pu être textuellement retranscrits, au vu de la particularité de chaque État, et de chaque système juridique. Dans le cadre de notre étude, nous verrons comment le législateur pourrait être en mesure de réduire les inégalités qui existent entre le consommateur d’une part, et les professionnels d’autre part., Mobile telephony has an important place in our society. We have gone from mobile phones having only the main function of communication, to real instruments of economic development. Now used around the world and adopted by populations from all social classes, transactions carried out by mobile telephony must now undoubtedly be subject to an effective legal framework geared towards the protection of consumers of these services. As part of our study, we decided to devote ourselves to the analysis of the provision of mobile payment services. These transactions, which are particularly appreciated by the African populations, have led us to analyze the contract that binds the consumers of these services. Despite the existence of certain important rules, it appeared that many shortcomings which endangered the consumer must be noted. This reality is only the fruit of several obstacles that stand in the way of the development of a legal framework adapted to consumers. They are mainly due to the fact that the African continent is no other than the one which develops this new technology, which has not yet been approved by other continents of which some member states have been an example for them. Even within the African continent, the efforts made by some West African states could not be textually transcribed, because of the particularity of each state, and each legal system. As part of our study, we will see how the legislator could be able to reduce the inequalities that exist between consumers on the one hand, and professionals on the other.

28. The stakeholder theory of corporate control and the place of ethics in OHADA: The case of Cameroon.

The rapid increase in globalisation in the last two and a half decades has resulted in a global culture of doing business. States respond to such flexibility by harmonising their business laws. Some of these laws are further supplemented by global values that are, in most cases, ethical. This article combines the stakeholder theory of corporate governance with ethical positivism to investigate the place of ethics in the OHADA member state of Cameroon. Using in-depth critical content analysis of primary and secondary data, it details the strengths and weaknesses of both models and shows the disconnection between the spirit and letter of OHADA laws. It further asserts that ethics is crawling into OHADA as a result of the forces of nature rather than the foresight of its architects. As such, the article puts forward some recommendations. The last reform of the Uniform Act on General Commercial Law OHADA reconsidered several pieces of commercial law. The concept of leasing has not been spared. She, who was accompanied by the "commercial" substantive, has been transformed into "commercial lease". Question of style or simple semantics? Certainly not, because the legislature in 1997, had not previously dared revise the designation commercial lease that no longer fit with the extension of the beneficiaries he had devoted himself. With the reform of December 2010, the institution of the lease has just renamed. Parliament also confirmed the extension of the scope of economic actors involved in the protection of the lease. The regime of former Uniform Act was therefore not fully extended, particularly since we noted another significant change in the new text. Contrary to former Article 69 which devoted two cumulative criteria necessary for the implementation of the lease of the regime, including the situation in a populated city of more than 5,000 people and membership of local under lease to a designated class
2 , the new text retains a single criterion, that of belonging to a local specific category. This mutation disrupts some basics of goodwill theory. Indeed, with the increasing scope of lessees, there is a sliding protection to professional trader. This causes result in a substitution of the lease of the foundation that passes from customer to the profession. The loss of the privileged place of business customers coupled with doctrinal and jurisprudential developments in the theory of civil customers, argue for an assimilation of the different customer categories. La prédominance des comptes spécifiques de l’activé commerciale, industrielle et agricole dans le plan des comptes de l’OHADA au détriment d’autres activités, accule de scruter les particularités de celles-ci. Car, la portée sociale et économique des autres activités telles que l’activité hôtelière, l’activité associative, l’activité d’enseignement…, nécessite déjà une attention particulière sur le plan comptable. La portée d’un tel exercice a pour objectif non seulement de répertorier les spécificités comptables des activités commerciales, industrielles et agricoles mais aussi et surtout de proposer les particularités des autres activités à forte demande d’intégration dans le plan des comptes de l’OHADA. En premier lieu, cet article montre, classe par classe, les différents comptes qui permettent d’entrevoir les spécificités comptables de l’activité commerciale, industrielle et agricole. En second lieu, l’étude observe des limites sur le principe de parallélisme et de correspondance comptable sur les comptes de l’activité agricole et du compte marchandises hors activités ordinaires, et trouve donc un intérêt certain dans l’appel à l’insertion des comptes spécifiques des autres activités importantes ayant des particularités établies à défaut de créer des plans de comptes spécifiques.

31. OIL IN THE GULF OF GUINEA STATES AND SOUTH AFRICA IN THE MATRIX OF OVERLAPPING MEMBERSHIP OF AFRICAN REGIONAL COMMUNITIES: AN IMPEDIMENT TO REGIONAL INTEGRATION?

The Gulf of Guinea states (GOGs) discussed in this article comprise a diverse group of more than 20 African states bordering on the oil-rich Gulf of Guinea. They are former colonies of Belgium, France, Great Britain and Germany. These states are of strategic importance to the United States, the European Union, India and China because of their tremendous natural resources that include biodiversity, oil, gas and other strategic minerals. But to what extent are they also of strategic importance not only to South Africa but to SADC member states? After all, the GOGs boast of their sea routes being safer and more convenient for sea transport. Post-colonial independence finds these states still adopting a mixture of foreign legal systems side by side with indigenous laws and customs. The region is still underdeveloped, with poor physical infrastructure, weak government structures, an inefficient legal system, and internecine strife and other inter-state disputes exerting a debilitating influence. The NEPAD Plan of Action of 2001 looks to the regional economic communities (RECs) to become the leaders in regional economic co-operation and integration. Although the GOGs are characterised at present by overlapping membership of various communities, they have enjoyed some successes based on the newly found petroleum commodity which, wisely managed, can help to increase intra-African trade and produce a viable extensive African market buttressed by South Africa's economic advances into the rest of Africa. In some of the regions in Africa RECs such as ECOWAS and SADC have been able to transform their economic and monetary co-operation efforts into a powerful driving force for economic policy co-ordination and integration, but a strong, credible, effective and efficient legal framework with sustainable supporting institutions is now needed. South Africa is well poised to assist with deepening the political and economic integration in the GOGs by intensifying foreign direct investment (FDI), capacity-building and training projects, and the transfer of skills and technology. But the RECs' overlapping membership needs to be rationalised, the negative influences of the superpowers need to be resisted, and support is required to maintain peace and stability and ensure the security of the maritime regimes. A strong, independent supra-national body that is also able to supervise and monitor revenues from oil for the benefit of the region as a whole should be established. [ABSTRACT FROM AUTHOR]

- Abstract
Taking into account the status of spouses by business law of the Organization for the Harmonization of African Business Law (OHADA) is referring to general commercial law and company law. The OHADA legislator values the status of spouses devoting equality between spouses, through the possibility for them to be able to be involved in low risk companies; the recognition of the de facto company between them and the right granted to each power, under the same conditions, benefit from the commercial lease originally attached to privileges. The consideration that the OHADA law grants the quality of husband appears in heritage protection thereof, insofar as it puts it away in case of depletion bad deal made by one of them . This is why the prohibition for spouses to be involved in the unlimited risk firms and the requirement of a separate trade as a condition for the spouse of the trader can also acquire the same status. But the heritage protection system spouse taken from the OHADA business law is supplemented by certain mechanisms of civil law, including matrimonial property regimes, although not all have the same efficiency. Indeed, among the two groups of matrimonial property regimes are known as separation schemes and those of the community property, only the first effectively protect the couple's assets. This objective likely was not assigned to the second from the design. These look more forward the merger of most of the assets of the couple without the slightest idea of calculation. Dans un contexte marqué par le développement durable, le législateur OHADA n’a eu de cesse d’être accablé de toutes parts pour son statisme vis-à-vis de la montée des problématiques sociétales. Au lendemain des reformes du système comptable OHADA, les problématiques sociétales ont une fois de plus raté le rendez-vous de la normalisation. Toutefois, de nombreuses entreprises continuent à publier leurs informations sociétales parallèlement à leur communication financière. A cet effet, le problème que soulève cet article est celui de la compréhension des modes de production et de diffusion des informations extra-financières en l’absence d’une réglementation en la matière. Une étude empirique de nature descriptive est menée auprès d’un échantillon de 120 entreprises diffusant leurs informations sociétales au sein de l’espace OHADA. Il en ressort que le site internet et l’implication dans le développement de la communauté locale sont apparue respectivement comme support et thème de diffusion les plus utilisés dans l’espace OHADA en matière de reporting sociétal sous la pression de certaines parties prenantes notamment les associations consuméristes, les départements ministériels en charge de l’environnement, du travail et de la sécurité sociale.

The title of this contribution concerns the sovereignty of OHADA's States as a solution or a problem of juridical integration. In our analysis, we consider that the States of the OHADA's area are the main actors of this integration. In fact, the States express their sovereignty towards organs and tools of OHADA. In one hand, the way States express their sovereignty enable to have the same law amongst OHADA's States. In another hand, by allowing any State to have his own criminal law (as far as sanctions are concerned) the aim of integration (unification) has been jeopardized. In December 2010, the entreprenant made his appearance in OHADA business law. AUDCG presents this new player as an individual entrepreneur who, upon simple declaration, exercises a civil, commercial, craft or agricultural activity. He is a professional who carries out, in his own name, a civil or commercial activity. Compared to other individual entrepreneurs, he is expected to benefit from facilities both in his administrative procedures and in his obligations. It is by drawing inspiration from the auto-entrepreneur (now called micro-entrepreneur) who has had great success in France that the African legislator created this special status. By this means, it hopes to attract operators in the informal sector and encourage them to formalize their activity. Nearly a decade after the adoption of the new statute, very few OHADA countries have made it operational and, unlike the French auto-entrepreneur, it is far from arousing the enthusiasm of informal sector operators. Because of its conditioned access and the innumerable rules to which it is oblige to submit, this status is far from being advantageous for people accustomed to informality., En décembre 2010, l'entreprenant faisait son apparition dans le droit des affaires de I'OHADA. L'AUDCG présente ce nouvel acteur comme un entrepreneur individuel qui, sur simple déclaration, exerce une activité civile, commerciale, artisanale ou agricole. C'est un professionnel qui exerce, en son nom propre, une activité civile ou commerciale. Comparativement aux autres entrepreneurs individuels, il est censé bénéficier de facilités aussi bien dans ses démarches administratives que dans ses obligations. C'est en s’inspirant de l'auto-entrepreneur (désormais appelé micro-entrepreneur) qui a connu un grand succès en France que le législateur africain a créé ce statut particulier. Il espère par ce moyen, séduire les opérateurs du secteur informel et les inciter à se formaliser. Pres d'une décennie après l'adoption du nouveau statut, très peu de pays de I'OHADA l'ont rendu opérationnel et, contrairement à l'auto-entrepreneur français, il est loin de susciter l'engouement des opérateurs du secteur informel. A cause de son accès conditionné et des innombrables règles auxquelles il oblige à se soumettre, ce statut est loin d'être avantageux pour des personnes habituées à I 'informalité.

International audience; In an economic context marked by the gradual collapse of raw material prices, the territories’ attractiveness for investment is a major challenge of economic policies. For Franc zone African countries, the hard hit by the international economic downturn, the time for awaiting investors scrambling at the continent’s gate and to each lay down their regulatory economic standards is passed. On the contrary, in order to attract foreign direct investments and to stimulate domestic investment, it was decided, in conjunction with the Fifth Summit of the Francophonie in Port Louis (Mauritius) to set up an Organization for the Harmonization of Corporate Law in Africa (OHADA).

Elle présente donc un véritable intérêt dans la zone OHADA (I). Cependant, il ne serait pas pertinent de prétendre qu’il s’agit d’une solution miracle, compte tenu de certaines expériences, il faut avoir conscience que le recours à cette technologie comporte des risques qui sont à prendre en compte. Ainsi, sa mise en oeuvre passera par des précautions nécessaires (II).

International audience; Economic violence occurs when an imbalance in the rights and obligations of the parties to a contract results from the exploitation by one of them of the other’s situation of (economic) weakness at the time of conclusion of the agreement. As a growing issue in contractual justice, the phenomenon is increasingly being addressed in modern legislation. In the geographical area covered by OHADA, it remains a matter for domestic law, reinforced by legislation of community origin (WAEMU and CEMAC in particular) in certain specific areas. The two OHADA draft texts intended to standardize the general law of obligations certainly address the issue, but from two different approaches: one associates it with duress, and the other with lesion. This article thus focuses on the legal regime of economic violence within the OHADA area. It begins by assessing this regime which, de lege lata, is not harmonized and proves to be deficient. This observation, combined with other legal and situational considerations, makes it possible to determine, de lege ferenda, the foundations of an optimized uniform legal regime.; Il y a violence économique lorsqu’un déséquilibre dans les droits et obligations des parties à un contrat est la résultante de l’exploitation par l’une d’elles de l’état de faiblesse (économique) de l’autre, au moment de la formation de la convention. Enjeu croissant de justice contractuelle, le phénomène trouve de plus en plus fréquemment réponse dans les législations modernes. Dans l’espace géographique couvert par l’OHADA, il demeure du ressort des droits internes, renforcés par des législations d’origine communautaire (UEMOA et CEMAC notamment) dans certains domaines spécifiques. Les deux projets de textes de l’OHADA destinés à l’uniformisation du droit commun des obligations abordent certes la question, mais suivant deux approches différentes : l’un l’assimile au vice de violence tandis que l’autre l’associe à la lésion. Le présent article s’intéresse ainsi au régime juridique de la violence économique au sein de la zone de compétence de l’OHADA. Il commence par sonder ce régime qui, de lege lata, n’est pas harmonisé et se révèle lacunaire. Ce constat, associé à d’autres considérations d’ordre juridique et conjoncturel, permet de déterminer, de lege ferenda, les fondements d’un régime juridique uniforme optimisé.
