A pesquisa busca demonstrar que a concessão de descontos produz conflitos entre o Fisco e os contribuintes, despertando controvérsias especialmente no que diz respeito à tributação da receita por ele gerada. Para compreensão da natureza jurídica dos descontos, são investigadas as características dos contratos nos quais usualmente são previstos. A identificação dos critérios adotados pelas autoridades administrativas de julgamento e por aquelas encarregadas do lançamento tributário na determinação dos efeitos tributários de abatimentos no preço permite que se reconheçam as diferentes fontes de conflito envolvendo a tributação dos descontos, revelando aspectos juridicamente controvertidos desta prática a serem estudados a partir das normas e princípios que regem a tributação da receita. Por meio desta análise, se identificam os limites à tributação de descontos concedidos impostos pelos princípios da capacidade contributiva, da legalidade, da segurança jurídica, e pelo conceito de receita para fins tributários, com o objetivo de reunir argumentos que possam auxiliar no deslinde das controvérsias relativas à concessão de descontos no âmbito do direito tributário. The research seeks to demonstrate that the granting of discounts produces conflicts between tax authorities and taxpayers, giving rise to controversies especially with regard to the taxation of revenue. In order to better understand the legal nature of the discounts, the characteristics of the contracts in which they are usually provided for will be explored. The identification of the criteria adopted by the administrative courts and authorities in charge of tax assessment in determining the tax effects of price reductions allows the different sources of conflict involving the taxation of discounts to be recognized, revealing legally controversial aspects of this practice, which are studied through the rules and principles that guide the taxation of revenue. Through this analysis, it is possible to find the limits on the taxation of discounts granted imposed by the principles of ability to pay, legality, legal certainty, and by the concept of revenue for tax purposes, aiming to gather arguments that can assist in resolving tax disputes regarding the granting of discounts.

O estudo trata do princípio da não cumulatividade do ICMS e a mitigação do exercício do direito ao crédito do imposto nas atividades da indústria do petróleo e do gás natural. O objetivo consiste em investigar o conteúdo, o sentido e o alcance da norma constitucional que veda à cobrança cumulativa da exação na cadeia econômica. As hipóteses desta pesquisa indicam que as restrições à dedução do ICMS decorrem da regulamentação ordinária e, por conseguinte, da interpretação e aplicação da norma estadual pelas autoridades fiscais, que, por vezes, têm o lançamento tributário confirmado nos Tribunais Administrativos e Superiores. A execução do trabalho, após o referencial teórico da pesquisa, inicia com a análise histórico-evolutiva da não cumulatividade, seguida do exame da doutrina especializada, da jurisprudência administrativa e judicial, das especificidades operacionais da indústria petrolífera e do direito tributário pátrio e alienígena, com destaque da Noruega e da Escócia. O desenvolvimento da pesquisa permite concluir que a norma constitucional da não cumulatividade, dentre as possibilidades jurídicas, assegura o direito ao crédito físico, conforme decidido pela Suprema Corte. Nessa direção, a pesquisa confirma a incompatibilidade do regime de crédito físico com os processos produtivos da indústria do petróleo e do gás natural. Por seu turno, a Lei Complementar nº 87/96 autoriza o crédito do imposto pelo regime financeiro, porém a ausência de definição expressa para o termo insumo demonstra ser uma das causas do litígio presente no âmbito infraconstitucional. As proposições jurídicas apresentadas pelo estudo para solução do caso adotaram como pressuposto a necessidade de regras de natureza nacional com vistas a assegurar a neutralidade fiscal, a uniformização infralegal e a unidade econômica do território brasileiro. This study deals with the ICMS non-cumulative principle and the Tax Credits Mitigation in the oil and gas industry economic activities. This study aims to research the content, the meaning and the scope of the constitutional law which prohibits the cumulative collection of the state value added tax in the economic chain. In this Study, the hypothesis suggests that the restrictions to tax credits stems from each State regulation law and, therefore, from the interpretation and applicability of the law by the fiscal authorities who often have the ICMS infraction notice approved by the Higher and Administrative Courts. To do this, our analysis starts from a historic and evolutionary standpoint of the ICMS noncumulative institute, its specialized doctrine, its administrative and judicial case law, the business operational specificities of the oil industry and its Brazilian and Foreign law Tax fundaments, with reference to Norway’s and Scotland’s own tax laws. This research development allows us to conclude that the constitutional law regarding the noncumulative principle amongst all legal possibilities provides the physical tax credit right as ruled by the Supreme Court. Thus, the research ascertained the incompatibility between the physical credit regime and the productive processes of the oil industry. The Nacional Law n.87/86 in turn authorizes the financial tax credit right. However, the lack of definitions for the input term has been one of the causes for the initial legal disputes to remain unchanged, even after the infra-constitutional law (LC) has been in force. Ultimately, the legal propositions presented in the research results were based on the assumption that there is a necessity for national rules to ensure the fiscal neutrality, the legal standardization and the economic national territory unity.

A dissertação busca identificar a existência de critérios especiais de resolução para planejamentos tributários que envolvam tributos indiretos. Business planning with tax impacts is an issue that generates great theoretical and practical discussions. The theme increases in interest insofar as it abandons an essentially legalistic and formalistic view of what can be done to save on taxes, and it goes on to consider that other vices in the actions and business employed in the 'plan' should be reflected in the analysis of the intended tax purposes. In this scenario of genuine legal uncertainty, one of the main ways for private agents to assure themselves from tax effects (intended), resulting from the planning of their business, is the analysis of cases already tried by administrative or judicial authorities. However, almost all of the manifestations from judicial and administrative bodies for trial relate to transactions involving, basically, direct taxes, lacking the doctrine of specific remarks about cases of plans involving the economy of indirect taxes, defined as those that impact economically on the price of goods and services. Analyzing 'typical' business planning cases involving indirect taxes, one can notice some specific standards to be applied in judgment for the (dis)regard of targeted tax purposes. It was identified that, (i) in the plans that involve the creation of new businesses or new legal entities there is - except for simulation cases - almost a presumption of the existence of the negotiating substance, removing any possible judgments about the abuse of rights or fraud. Similarly, it was observed that, (ii) in the event of planning built with a view to the use of credits arising from non-cumulative situations, this - non-cumulative situation - should be chosen as one of the determining criteria for the resolution of the case study, especially in those situations where an entire plan is carried out to allow for the fruition of already-recorded receivables. Moreover, (iii) the principle of ability also deserves proper consideration in cases where the tax economy that is sought is related to indirect taxes, since it may occur that the gain obtained is passed on to consumers of goods or services. Finally, it seems possible to say that business planning with tax effects for the economy of indirect taxes deserves specific considerations that should be taken into account by law enforcers. O planejamento de negócios com efeitos tributários é assunto que gera grandes discussões teóricas e práticas. O tema aumenta em interesse na medida em que se abandona visão essencialmente legalista e formalista do que se pode fazer para economizar tributos e se passa a considerar que outros vícios dos atos e negócios empregados no 'plano' devem repercutir na análise dos efeitos fiscais pretendidos. Neste cenário de verdadeira insegurança jurídica, uma das principais formas de os agentes privados assegurarem-se dos efeitos fiscais (pretendidos) decorrentes do planejamento de seus negócios diz com a análise de casos já julgados pelas autoridades administrativas ou judiciais. Contudo, a quase totalidade das manifestações do Judiciário e das instâncias administrativas de julgamento referem-se a operações que envolveram, basicamente, tributos diretos, carecendo a doutrina de apontamentos específicos a respeito de casos de planos que envolvam a economia de tributos indiretos, entendidos como aqueles que repercutem economicamente no preço de bens e serviços. Analisando casos 'típicos' de planejamento de negócios que envolvem tributos indiretos, pôde-se constatar alguns padrões específicos a serem aplicados nos juízos de (des)consideração dos efeitos fiscais almejados. Foi identificado que (i) nos planos que envolvem a criação de novos estabelecimentos ou novas pessoas jurídicas há – exceção feita aos casos de simulação – quase que uma presunção da existência da substancia negocial, afastando eventuais juízos acerca do abuso de direito ou de fraude à lei. Da mesma forma, foi observado que (ii) nas hipóteses de planejamentos construídos com vistas à utilização de créditos decorrentes da não-cumulatividade, esta – a não-cumulatividade – deve ser eleita como um dos critérios determinantes para a resolução do caso prático, especialmente naquelas situações em que todo um plano é realizado para permitir a fruição de direitos creditórios já constituídos. Ademais, também (iii) o princípio da capacidade contributiva merece adequada ponderação nos casos em que a economia tributária que se busca é relacionada a tributos indiretos, pois pode acontecer que o ganho obtido seja repassado para os consumidores dos bens ou serviços. É possível afirmar, portanto, que o planejamento de negócios com efeitos tributários de economia de tributos indiretos merece considerações específicas, que devem serem levadas em conta pelos aplicadores do Direito.
