Ticarî yaşamın içinde önemli yer tutan faaliyetlerden biri olan ihale süreçleri hem ihaleyi düzenleyen taraflar hem de ihale sürecinin içerisine dahil olan taraflar açısından son derece önemli bir uygulamadır. İhale süreçlerinin hassasiyeti, aynı zamanda işletmelerin süreci daha iyi anlamalarına ve kendi ticarî hesaplamalarını da buna göre yapmalarına yardımcı olmaktadır. Geçmiş yıllarda çoğunlukla evrak yoğunluğu ve fiziksel olarak bir alanın içerisinde bulunma zorunluluğuna bağlı olarak düzenlenen ihale süreçleri, ticarî yaşamın diğer kısmındaki faaliyetler gibi artık dijital ortama taşınmıştır. Buna göre son yıllarda adı sık bir şekilde literatürde geçen ve bir uygulama olarak kullanılan elektronik ihale, diğer bir adı ile e-ihale süreçlerinden sözetmek olanaklıdır. İhale süreçlerinin zorlu ve yoğun bir şekilde işlemesi, ihaleyi organize eden ve ihaleye katılan tüm taraflar için ciddî ölçekli bir yük olabilmektedir. Son yıllarda olabildiğince pratik uygulamalarla birlikte bu yükün hafifletilmesine çalışılsada genel olarak evrak odaklı ve bürokratik yoğunluk içeren süreçler, ihalenin tüm tarafları için son derece zorlu olmaktadır. E-ihale uygulamaları ise tüm sektörlerde, yoğun bir şekilde uygulanmasa bile yararlanılan tüm sektörlerde ve yararlanan tüm ticarî taraflar için büyük ölçekli kolaylıklar sağlamaktadır.Devlet yönetimleri açısından da e-ihale süreçleri büyük bir önem arzetmektedir. E-ihale prosedürü, devlet yönetimindeki makamların, şimdiye kadar uyguladıklarıklasik ihale prosedürünü elektronik, internet tabanlı bir sisteme dönüştürerek, tedârikçilerinden mal ve hizmetleri de elektronik olarak tedârik etmelerini sağlar. Tedârikçiler, sırayla, ürünlerini internet siteleri üzerinde sunabilme olanağından yararlanırlar. Tedârikçiler, devlet alım sipârişlerineilişkin bilgileri edinebilir, yönetebilir, işleyebilir ve e-ihale sistemini kullanarak devlet kurumlarından online ödeme alabilir. E-ihale süreçleri, iş dünyasının artık çok daha yoğun kullandığı bir seçenek olması ile artık ticarî süreçleri doğrudan ilgilendirmekte ve daha fazla yeğlenmektedir. Bu tercihin temel nedeni, e-ihale süreçlerinin, ticarî anlamda yaratmış olduğu güvenilirlik ile birlikte, ihaleyi düzenleyen ve ihaleye katılım gösteren tarafların çalışmalarını kolaylaştırmakta ve nitelikli duruma getirmektedir. Genel olarak ticarîyaşamda yaşanan güvenilirlik sorununun dünya genelinde varlığı sözkonusu iken e-ihale sistemleri ile birlikteticarîyaşamdaki önemli sorunlardan biri de böylelikle ortadan kalkmaktadır.Türkiye'de e-ihale uygulaması, hukukî anlamda ülkenin gündemine erken bir dönemde giriş yapmış olsa da uygulama açısından uzun bir zaman sonrasında, teknik altyapıların kurulması sonucunda, tam olarak kullanılmaya başlanmıştır. Ancak Türkiye'de e-ihale uygulamalarının kullanımı konusundaki yaygınlık, öncelikli olarak kamu sektöründe başlamıştır. 4458 sayılı Gümrük Kanunu ve 5607 sayılı Kaçakçılıkla Mücadele Kanunu uyarınca tasfiyelik hâle gelen eşyanın satışlarının elektronik ortama taşınarak satışlara katılan kişi sayısı ile rekabetin daha da arttırılması ve bu sûretle tasfiyelik eşyadan elde edilen gelirlerin arttırılması amaçlanmaktadır.Türkiye'nin e-ihale süreçlerine geç uyum sağlaması nedeniyle sistem büyük ölçüde, bu ihale türünü uzun zamandır uygulayan devlet yönetimleri ve işletmelerinkinden daha farklı ve daha dar bir kapsamda işlemektedir. Buna göre Türkiye'de sürece ilişkin belki de en önemli husus, e-ihalenin daha geniş kapsamlı olarak kullanılması ve uygulamanın sağlamış olduğu yararların, ülke genelindeki çevrelere, nitelikli bir şekilde anlatılmasıdır. Bu şekilde, e-ihale uygulamasının kamunun egemenliğindeki ya da kamunun daha fazla kullandığı şeklinden ayrılarak daha geniş bir alanda kullanımının sağlanması gerekmektedir.Türkiye'de genel olarak ön plana çıkan sorun, e-ihale süreçlerinin yeterli sayıda kurumda kullanılmamasıdır. Bu nedenle de e-ihale, Türkiye'de yeterli derecede değeri olmayan bir uygulama olarak değerlendirilebilir. Fakat son yıllarda, bazı özel sektör şirketlerinin süreç içerisindeki uygulamaları, e-ihaleye dair farkındalık düzeyini arttmıştır. Bu nedenle, gelecekte Türkiye'de, e-ihalenin yaygın bir şekilde uygulanmasını beklemek mümkündür. Kamunun da bu süreçteki yoğun çabaları ile sürecin şartlarının iyileşmesi söz konusudur. Bu tez çalışmasında, e-ihale süreçlerinin işleyişi ve hukukî yapısı üzerine odaklanılmıştır. E-ihale kavramıyla birlikte bu kavramın gerçek uygulamalarına değinilmektedir. Çalışmada önce, e-ihale kavramının genel çerçevesi çizilmekte ve e-ihale sisteminin işleyişi değerlendirilmektedir. Ardından, e-ihalenin hukukî boyutu ve uygulama biçimlerine ilişkin bir değerlendirme yapılmaktadır. Son olarak ise faaliyetlerinde e-ihale sisteminden yararlanan ya da e-ihale süreçlerine ihalenin katılımcılarından biri olan, birbirinden farklı sektörlerde yer alan işletmelerin, süreçten sorumlu olan çalışanları ile yapılan derinlemesine görüşme çalışmasına yer verilecektir. Merkezleri İstanbul'da bulunan onbeş farklı işletmeden birer yetkili ile konuya ilişkingörüşmeler yapılmış ve görüşmelerde, e-ihale süreçlerinin neden yeğlendiğineilişkin çeşitli saptamalarda bulunulmuştur.Araştırmanın sonucunda, belirli ve önemli noktalara ön plana çıkmıştır. Buna göre katılımcılar, e-ihale sisteminin kullanımının Türkiye'de hâlen tam olarak yaygınlaşmaması nedeniyle süreç içerisinde birbirleri ile aynı fikre sahiptirler. Fakat katılımcıların şirketlerinin uygulamalarına bakıldığında, işletmelerin e-ihale süreçlerindeki kullanımlarının yaygınlaştığı anlaşılmaktadır. İhaleyi düzenleyen firma yetkilileri ile gerçekleştirilen görüşmeler değerlendirildiğinde, genel olarak birbirleri ile benzer içerikte yanıtların sözkonusu olduğu görülmektedir. Katılımcılar, süreci yönetecek olan işletmelerin temsilcilerinin mutlak olarak e-ihaleye ve şartnamelere hâkim olmalarıdır. Tedârikçi firma olarak e-ihaleye hazırlık sürecinde farklı yaklaşımların ön plâna çıktığı görülmektedir. Katılımcı firmaların içerisinde bulundukları sektör, bu noktada büyük önem arzetmektedir. Onların yaklaşımlarına odaklanılmasından çok, önemli olan, sektörün beklentileri ile birlikte ortaya çıkan kısıtlardır. E-ihaleyi düzenleyen kurumların e-ihale süreçlerinde karşılaştığı sorunların neler olduğuna ilişkin soruya katılımcılar, tekliflerin içeriklerinin birbirlerinden farklı olduğu yanıtını vermektedirler. The sensitivity of the procurement processes also helps businesses better understand the process and make their own commercial calculations accordingly. In the past years, the tendering processes, which are mostly regulated due to the density of documents and the necessity to be physically located in an area, have been moved to the digital environment as the activities in the other part of the commercial life. According to this, it is possible to talk about e-procurement processes in electronic literature, which is frequently mentioned in the literature in recent years and used as an application.The difficult and intensive operation of the procurement processes can be a serious burden for all parties that organize and participate in the procurement. In recent years, as much as possible to reduce this burden with practical applications, document-oriented and bureaucratic intensive processes in general have been extremely challenging for all parties to the tender. On the other hand, e-procurement applications provide large-scale facilities in all sectors, even if they are not implemented intensively, and for all commercial parties benefiting.E-procurement processes are of great importance for the government. The e-procurement procedure enables the state administration authorities to convert their classical procurement procedure to an electronic, internet-based system and to supply goods and services from their suppliers electronically. Suppliers, in turn, benefit from the opportunity to present their products on their website. Suppliers can obtain, manage, process information about government procurement orders and receive online payments from government agencies using the e-procurement system.Since e-procurement processes are an option used by the business world more intensively, they are directly related to commercial processes and are preferred more. The main reason for this preference, along with the commercial credibility created by e-procurement processes, facilitates and qualifies the work of the parties organizing and participating in the tender. While the credibility problem experienced in the commercial world in general exists, one of the important problems in e-procurement systems and e-procurement systems is thus eliminated.E-procurement practices in Turkey, although the legal sense from a practical standpoint logged in at an early stage in the agenda of the country after a long time, as a result of the establishment of technical infrastructure, began to be used fully. However, the prevalence in the use of e-procurement practices in Turkey, primarily in the public sector starts. In accordance with the Customs Law No. 4458 and the Anti-Smuggling Law No. 5607, it is aimed to increase the number of people participating in the sales by moving the sales of the goods that have become liquidated to the electronic environment and to increase the competition and to increase the revenues obtained from the liquidation goods.Turkey's e-procurement process due to the system to adapt now to a large extent, on the type of tender process that implements the state government for a long time and in a different and more narrow scope than Enterprises. Accordingly, perhaps the most important aspect of the process in Turkey, the use of e-procurement to a wider range of applications and the benefits that have provided the country with the environment in general, is described in a qualified way. In this way, it is necessary to separate the e-procurement application from the public-dominated or the more commonly used public sector and make it more widely used.In general, the problems to the fore in Turkey is not using a sufficient number of institutions of e-procurement process. E-procurement therefore be interpreted as an embodiment not enough value in Turkey. However, in recent years, the practices of some private sector companies in the process have increased the awareness level of e-procurement. Therefore, in the future in Turkey, it is possible to expect that e-procurement is widely applied. With the intensive efforts of the public sector in this process, the conditions of the process are improved.In this thesis, the focus is on the functioning and legal structure of e-procurement processes. The concept of e-procurement and the practical applications of this concept are discussed. In the first part of the study, the general framework of the e-tender concept is drawn and the operation of the e-tender system is evaluated. In the second part, there is an evaluation of the legal aspects and the forms of implementation of e-procurement. In the last part of the study, an in-depth interview study with the employees responsible for the process, who are responsible for the e-procurement system in their activities or one of the participants in the e-procurement processes, is involved. In these interviews, interviews were held with one official from seven different companies in Istanbul and interviews were conducted.As a result of the research, certain and important points have come to the fore. According to participants, the use of e-procurement system with each other in the process have not yet become widespread in Turkey still have the same idea. However, when we look at the applications of the companies of the participants, it is understood that the use of the enterprises in the e-procurement processes has become widespread. When the interviews conducted with the officials of the tenderers are evaluated, it is seen that there are generally similar responses. Participants are the absolute dominance of e-procurement and specifications of the representatives of the enterprises that will manage the process. As the supplier company, it is seen that different approaches come to the forefront in the e-tender preparation process. The sector in which the participating companies are located is of great importance at this point. Rather than focusing on their approaches, the most important are the constraints that arise with the expectations of the sector. Participants answer the question as to what problems are encountered in the e-procurement processes of the institutions that issue the e-procurement.
