Diese Arbeit beschäftigt sich mit dem Wegzug und Zuzug natürlicher Personen aus Österreichischer Sicht. Ich bin dann mal weg – oder doch nicht? Persönliche Gründe, klimatische Verhältnisse, Lebenserhaltungskosten, die Faszination eines fremden Landes oder auch steuerliche Überlegungen können Motive für den Entschluss zum Weg- oder Zuzug sein. Doch unabhängig davon, warum eine Person das Land verlässt, ergeben sich daraus steuerliche Konsequenzen. Die vorliegende Arbeit beschäftigt sich eingangs mit den Begriffen unbeschränkte bzw beschränkte Steuerpflicht, Wohnsitz, gewöhnlicher Aufenthalt und Mittelpunkt des Lebensinteresses sowohl auf nationaler wie auch auf abkommensrechtlicher Ebene. In weitere Folge werden die Herausforderungen des Wegzuges aus steuerlicher Sicht näher erläutert. Jeder Staat hat aus seiner Sicht ein berechtigtes Interesse, sein Steueraufkommen zu sichern. Aus diesem Grund wird ein Wegzug dahingehend überprüft, ob dieser das Besteuerungsrecht der Republik Österreich an den stillen Reserven einschränkt. Ist dies der Fall kommt es zur Wegzugsbesteuerung nach § 27 Abs 6 EStG. Stille Reserven aus Kapitalvermögen, die bis zum Wegzug entstanden sind, werden so besteuert, als ob eine Veräußerung stattgefunden hätte. Anders als bei der Übersiedlung in ein Drittland, wird bei Wegzug in einen EU- oder EWR Staat die Steuer (auf Antrag) nicht sofort festgesetzt. Das letzte Kapitel wird dem Thema Zuzug und Zuzugsbegünstigungen nach Österreich gewidmet. Zuzugsbegünstigungen sollen eine Motivation für ausländische Spitzenkräfte (zB im Bereich der Förderung von Wissenschaft und Forschung) bieten. Im Rahmen des Zuzuges gilt als Anschaffungskosten für Kapitalvermögen der gemeine Wert im Zeitpunkt des Zuzuges. This paper deals with the departure and arrival of natural persons from an Austrian perspective. I'm off then - or not? Personal reasons, climatic conditions, cost of living, the fascination of a foreign country or even tax considerations can be motives for the decision to move away or to move in. But regardless of why a person leaves the country, there are tax consequences. This paper deals with the concepts of unlimited and limited tax liability, residence, habitual abode and center of vital interest on a national as well as on a treaty level. Subsequently, the challenges of departure from a tax perspective are explained in more detail. From its point of view, every state has a legitimate interest in securing its tax revenue. For this reason, a departure is examined to determine whether it restricts the Republic of Austria's right to tax the hidden reserves. If this is the case, the departure will be taxed according to § 27 Abs 6 EStG. Hidden reserves from capital assets that have arisen by the time of the departure are taxed as if a sale had taken place. Unlike in the case of a move to a third country, the tax is not immediately assessed (upon application) in the case of a move to an EU or EEA country. The last chapter is devoted to the topic of immigration and immigration benefits to Austria. Incentives to move to Austria are intended to provide motivation for top foreign executives (e.g. in the field of promoting science and research). In the context of relocation, the acquisition cost of capital assets is the fair market value at the time of relocation. Diese Arbeit beschäftigt sich mit der Besteuerung beschränkt steuerpflichtiger natürlicher Personen mit ausgewählten Einkünften gemäß § 98 EStG und den sich daraus ergebenden steuerlichen Konsequenzen. Der Hauptteil der Arbeit widmet sich der Einkommensteuer sowohl im Rahmen des innerstaatlichen Rechts als auch auf zwischenstaatlicher Ebene. Einerseits werden die Voraussetzungen für das Besteuerungsrecht dargelegt, andererseits werden verschiedene Erhebungsformen der Einkommensteuer beschränkt Steuerpflichtiger näher untersucht und Unterschiede herausgearbeitet. Im Nebenthema setzt sich die Abhandlung mit den verfahrensrechtlichen Aspekten der Besteuerung beschränkt Steuerpflichtiger auseinander. Einleitend werden hier zur Negativabgrenzung der unbeschränkten Steuerpflicht die Begriffe des Wohnsitzes und gewöhnlichen Aufenthalts untersucht. Am Ende der Arbeit wird die Möglichkeit der Steuerentlastung im Rahmen der Rückzahlung einbehaltener Abgaben beleuchtet. Die Arbeit erläutert einerseits theoretische Grundlagen, andererseits bedient sie sich zur Herstellung eines Praxisbezugs etlicher Beispiele sowohl aus der Judikatur als auch aus der Literatur. This thesis deals with the taxation of individuals with limited tax liability with selected types of income under Section 98 of the Income Tax Act and the resulting tax consequences. The main part of the thesis is devoted to income taxation both within the framework of domestic tax law and on an international level. On the one hand, the legal prerequisites for the right of taxation are presented, and on the other hand, various forms of levying income tax on limited taxpayers are examined in more detail and differences are elaborated. In the sub-theme, the thesis deals with the procedural aspects of the taxation of persons with limited tax liability. As an introduction, the concepts of domicile and habitual place of residence are examined for the negative delimitation of unlimited tax liability. At the end of the paper, the possibility of tax relief in the context of repayment of withheld taxes is examined. On the one hand, the paper explains theoretical principles, on the other hand, it uses several examples from case law and literature to establish a practical reference.

Diese Arbeit untersucht die Thematik der Entstehung von Betriebsstätten im internationalen Personaleinsatz mitsamt den sich daraus ergebenden steuerlichen Folgen für die betreffenden Unternehmen. Die derzeitigen Entwicklungen, teilweise beschleunigt durch die COVID-19 Pandemie, im internationalen Personaleinsatz, wie zum Beispiel Home-Office, geben dem Thema der Begründung einer Betriebsstätte durch einzelne Mitarbeiter/innen eine noch nie da gewesene Aktualität. Die vorliegende Masterarbeit soll sich daher zum einen im Detail mit den aktuellen Regelungen zur Begründung einer solchen Betriebsstätte im internationalen Personaleinsatz und zum anderen mit den sich daraus ergebenden steuerlichen Folgen auseinandersetzen. Nach der Einführung der allgemeinen notwendigen Begriffsdefinitionen im Zusammenhang mit dem internationalen Personaleinsatz sowie den notwendigen Begrifflichkeiten der beschränkten Steuerpflicht von Unternehmen in Österreich, wird bereits im Detail auf die aktuelle Rechtslage hinsichtlich der Begründung einer Betriebsstätte im internationalen Personaleinsatz eingegangen. Es werden hierzu sowohl die nationalen, wie auch die internationalen Regelungen beleuchtet. International soll vor allem das OECD-Musterabkommen in seiner derzeit gültigen Fassung beleuchtet werden. Im Anschluss daran wird sich diese Arbeit konkret mit den steuerlichen Folgen für Unternehmen bei der Begründung einer Betriebsstätte in Österreich beschäftigen. Hierzu wird, wie auch schon im vorhergehenden Kapitel, sowohl die nationale Rechtslage als auch die internationale Rechtslage beleuchtet. Im Detail soll vor allem auf das Thema der Verrechnungspreise im internationalen Personaleinsatz eingegangen werden. Dadurch soll klar herausgearbeitet werden, welche und wie hohe steuerliche Folgen für Unternehmen dadurch tragend werden. In einem letzten Absatz soll auch noch kurz auf die praxisrelevante Frage der steuerlichen Compliance aus Unternehmenssicht eingegangen werden. Hierbei soll vor allem das Thema der Verrechnungspreisdokumentation aufgegriffen und dessen Relevanz für die Praxis aufgezeigt werden. Ziel ist es, durch all diese Ausführungen ein Verständnis für die Herausforderungen zu vermitteln, denen Unternehmen bei der Begründung einer Betriebsstätte im internationalen Kontext gegenüberstehen. This Master´s thesis examines the issue of the creation of permanent establishments in the cross-border use of personnel, together with the resulting tax consequences for the companies concerned. The current developments, partly accelerated by the COVID-19 pandemic, in international personnel deployment, such as home office, give the topic of establishing a permanent establishment by individual employees an unprecedented actuality. This master’s thesis will therefore deal in detail with the current regulations on the establishment of such a permanent establishment in international staff deployment and with the resulting tax consequences. After the introduction of the general necessary definitions in connection with the international assignment of personnel as well as the necessary terminology in connection with the limited tax liability of companies in Austria, the current legal situation in connection with the creation of a permanent establishment in the international assignment of personnel will be dealt with in detail. Both national and international regulations will be examined. Internationally, the OECD Model Convention in its currently valid version will be examined. Subsequently, this paper will deal specifically with the tax consequences for companies when establishing a permanent establishment in Austria. As in the previous chapter, the national legal situation as well as the international legal situation will be examined. The topic of transfer prices in the international deployment of personnel will also be dealt with in detail. This will clearly show of which nature as well as how high the tax consequences are for companies. In a final paragraph, the question of tax compliance from a company's point of view will also be briefly addressed. In particular, the topic of transfer pricing documentation will be addressed and its relevance for practice will be shown. The aim of all this is to provide an understanding of the challenges that companies face when establishing a permanent establishment in an international context. Diese Arbeit beschäftigt sich mit der Begründung von Betriebsstätten und deren Besteuerung. Das Ziel dieser Arbeit ist es die Betriebsstätte und ihre verschiedenen Ausprägungen zu umschreiben. Nach einer kurzen Analyse werden etwaige Auswirkungen auf die steuerliche Behandlung aufgrund der COVID-19 Pandemie erläutert. In diesem Zusammenhang soll auch ein Vergleich zwischen der OECD-Empfehlung und dem gewählten Weg im DBA Deutschland-Österreich dargelegt werden. In einem ersten Schritt wird der Begriff der Betriebsstätte erklärt. Hier wird auch auf die unterschiedlichen Begriffsdefinitionen zwischen innerstaatlichem Recht und dem OECD-Musterabkommen eingegangen. Dabei werden kurz - auch als Überleitung auf die nächsten Kapitel - die Arten von Betriebsstätten erörtert. Speziell soll auf jene eingegangen werden, die auch in den folgenden Kapiteln Thema der Arbeit sind, da diese aufgrund der COVID-19 Pandemie eine spezielle Würdigung durch die OECD erfahren haben. Nach diesem allgemeinen Teil wird auf die unterschiedlichen Arten der Betriebsstätten näher eingegangen. Diese werden zuerst in der bisherigen Rechtsauslegung umschrieben und analysiert. Danach werden die wesentlichen Neuerungen, die durch die COVID-19 Pandemie hervorkamen, dargelegt. Speziell wird hier auf die Empfehlungen der OECD eingegangen und auch die teils kontroversen Ansichten in der Literatur dargelegt. Darüber hinaus soll wesentlicher Bestandteil in jedem Kapitel auch die Analyse zwischen dem DBA Deutschland und Österreich und anderer österreichischer DBAs sein. Besonders soll hierbei auf die Konsultationsvereinbarung zwischen Deutschland und Österreich eingegangen werden. Bevor es zur Conclusio und zu den zusammenfassenden Erläuterungen kommt, wird ergänzend die in der OECD-Empfehlung zur Auswirkung der COVID-19 Pandemie behandelte Verlegung des Ortes der Geschäftsleitung erörtert. Folgende Forschungsfragen sollen in der Arbeit analysiert und erörtert werden: 1. Wie wird grundsätzlich eine Betriebsstätte nach innerstaatlichem und zwischenstaatlichem Recht begründet? Welche Rechtsfolgen hat dies für ein Unternehmen? 2. Welche Änderungen ergeben sich durch die von der OECD veröffentlichte Empfehlung im Zusammenhang mit Betriebsstätten? 3. Wie wurde diese OECD-Empfehlung in Österreich umgesetzt? Wie ist der allgemeine Weg Österreichs aufgrund der OECD-Empfehlung im Zusammenhang mit Betriebsstätten? 4. Welchen Weg geht Österreich mit Deutschland aufgrund der Pandemie für die Begründung und Besteuerung von Betriebsstätten? This paper deals with the establishment of permanent establishments and their taxation. The aim of this work is to describe the permanent establishment and its various forms. After a brief analysis, any implications for tax treatment due to the COVID-19 pandemic will be explained. In this context, a comparison between the OECD recommendation and the chosen path in the double taxation treaty Germany-Austria will also be presented. At start, the concept of permanent establishment is explained. There will be the differences of the definitions of domestic law and the OECD Model Convention discussed. At the same time, the other types of the permanent establishments are briefly discussed. Particular attention will be paid to the types of permanent establishments that will also be the subject of the following chapters, as they have received special attention from the OECD due to the COVID-19 pandemic. After this general part, the different types of permanent establishments will be discussed in more detail. These are first described and analyzed in the previous legal interpretation. Afterwards, the main innovations that have emerged as a result of the COVID-19 pandemic will be presented. In particular, the recommendations of the OECD will be discussed and the partly controversial views in the literature will be presented. Furthermore, the analysis of the double taxation treaty between Germany and Austria and other Austrian double taxation treaties will be an essential part of each chapter. In particular, the consultation agreement between Germany and Austria will be discussed. Before moving on to the conclusion and summary comments, there is a complementary discussion of the change in place of management addressed in the OECD recommendation on the impact of the COVID-19 pandemic. Die steuerliche Klassifizierung der Einkünfte von entsendeten Mitarbeitern stellt aufgrund ihres grenzüberschreitenden Charakters eine komplexe Materie dar. Im Zuge der COVID-19 Pandemie wurden von den Regierungen Maßnahmen gesetzt, welche die Bewegungs- und Reisefreiheit von Personen einschränkten und somit direkten Einfluss auf Entsendungen nahmen. Diese Arbeit beschäftigt sich daher mit den dadurch entstandenen Fragestellungen wie zB dem Stranden in einem Land oder den Auswirkungen von Homeoffice auf Entsendungen. Nach der Einführung der allgemeinen Begriffsdefinition und der Erläuterung der verschiedenen Arten einer Entsendung in Kapitel 2, werden die Besteuerungsrechte der beteiligten Länder beschrieben. Obwohl Auslandsentsendungen einen grenzüberschreitenden Sachverhalt darstellen, müssen in einem ersten Schritt die innerstaatlichen Aspekte im Zusammenhang mit der Begründung der Ansässigkeit einer natürlichen Person evaluiert werden. Dies wird ausführlich in Kapitel 3 beschrieben. Danach befasst sich der vierte Teilbereich der vorliegenden Arbeit mit den Auswirkungen einer Auslandsentsendung auf Ebene des Mitarbeiters unter Berücksichtigung des internationalen Steuerrechts. So ist bei einer Entsendung stets zu prüfen, inwieweit der Tätigkeitsstaat die Bezüge des Mitarbeiters einer Besteuerung unterwirft, wobei eine derartige Steuerpflicht nach dem innerstaatlichen Steuerrecht des jeweiligen Staates einzuordnen ist. Die Systematik der allgemeinen Besteuerung von entsendeten Mitarbeitern wird daher jeweils zuerst anhand des Regelfalls und in weiterer Folge um die Auswirkungen der COVID-19 Pandemie erweitert beschrieben. The classification of taxable income of expatriates is a complex matter due to its cross-border nature. In the course of the COVID-19 pandemic, governments took measures that restricted the freedom of movement and travel of persons and thus had a direct impact on secondments. This paper therefore deals with the resulting issues such as being stranded in a country or the impact of home office on assignments. After introducing the general definition of the term and explaining the different types of secondments in Chapter 2, the taxation rights of the countries involved are being described. Although expatriation is a cross-border issue, the first step is to evaluate the domestic aspects related to the establishment of residence of an individual. This is described in detail in Chapter 3. Afterwards, the fourth sub-section of this thesis deals with the effects of a of being sent on foreign assignment at the level of the employee following international tax law. In the case of a secondment in a foreign country, it must always be examined to what extent the country of employment subjects the employee's remuneration to taxation, whereby such a tax liability must be classified according to the domestic tax law of the respective country. The system of general taxation of expatriates is therefore first described for standard case. Afterwards the standard case is then extended to include the effects of the COVID-19 pandemic. In the Australian case of Bywater Investments Ltd v Commissioner of Taxation; Hua Wang Bank Berhad v Commissioner of Taxation (the Bywater case) the Australian High Court dealt with the question of whether certain companies were resident in Australia for income tax purposes. The majority answered this question by applying Australian domestic law. In a separate but concurring judgement, Gordon J also discussed the interpretation and application of the relevant double taxation treaty. This contribution analyses Gordon J's judgment to extract guidance from it for the South African courts on their interpretation of double taxation treaties. It is submitted that South African courts should also follow the "first step" proposed by Gordon J when interpreting double taxation treaties. South African courts may find Gordon J's judgment "instructive" when dealing with the interpretation of the "place of effective management" concept in both domestic law and double taxation treaties. In his judgment Gordon J favours the goal of common interpretation and it is argued that South African courts should follow this example and explicitly support this notion in applicable cases. From Gordon J's judgment and the judgement in Krok v Commissioner, South African Revenue Service, it is deduced that the positions in South Africa and Australia are similar in that the courts in both countries will be bound by the principles of Articles 31 and 32 of the Vienna Convention on the Law of Treaties when interpreting double taxation treaties. Moreover, Gordon J's judgment indicates that the domestic principles of interpretation should not be used in the interpretation of double taxation treaties. Recent South African cases have suggested that there are no differences between the South African domestic principles of interpretation and those contained in Articles 31 and 32 of the Vienna Convention on the Law of Treaties. This contribution submits that there are many similarities between the two, but that the rules are not exactly the same. South African courts should be aware of these differences and rather apply the rules of public international law, including those contained in the Vienna Convention on the Law of Treaties, when they interpret double taxation treaties. Gordon J specifically identifies the category of the Vienna Convention on the Law of Treaties in which he places the Commentary on the OECD Model Tax Convention, to rely on it for his interpretation of the relevant double taxation treaty. South African courts may well learn from this approach, to create more certainty in the process of interpreting a double taxation treaty.

Ausschüttungen von Kapitalgesellschaften an ihre Gesellschafter unterliegen steuersystematisch einer Mehrfachbelastung, die sich daraus ergibt, dass sowohl auf Gesellschafts- als auch auf Gesellschafterebene grundsätzlich Steuerpflicht gegeben ist. Auf nationaler Ebene wird dieser Mehrfachbelastung durch Beteiligungsertragsbefreiungen entgegengewirkt. Bei international verbundenen Unternehmen kann sich zusätzlich das Problem der Doppelbesteuerung von Dividendenzahlungen (Ausschüttungen) stellen, was die internationale Wettbewerbsfähigkeit der Unternehmen schwächen würde. Mit Hilfe der jeweils anzuwendenden Doppelbesteuerungsabkommen und die von der Europäischen Union erlassene Mutter-Tochter-Richtlinie, soll dieser Thematik entgegengewirkt werden. Das Ziel dieser Bachelorarbeit ist es, einen Überblick zu der derzeit geltenden Rechtslage, betreffend die Vermeidung der Mehrfachbelastung bzw. internationalen Doppelbesteuerung von Dividendenzahlungen, zu schaffen. Zu Beginn werden die gesetzlichen Normen der „nationalen“ Beteiligungsertragsbefreiung des § 10 KStG, welche ab 2011 auf alle ausländischen Beteiligungen erweitert wurde, erläutert. Da mit der Mutter-Tochter-Richtlinie der Europäischen Union (MTR) eine wesentliche Maßnahme zur Harmonisierung gesetzt wurde, wird sie in dieser Arbeit umfassend analysiert und ihre Auswirkungen auf nationales und DBA-Recht dargestellt. Im Speziellen wird auch auf die Ausnahmen von der Kapitalertragsteuerabzugspflicht gem. § 94 Z 2 EStG eingegangen. Distributions from corporations to their shareholders are subject to a multiple tax burden, which results from the fact that tax liability is fundamentally given at both company and shareholder level. At the national level, this multiple burden is counteracted by exemptions from participation income. In the case of internationally affiliated companies, the problem of double taxation of dividend payments (distributions) can also arise, which would weaken the international competitiveness of the companies. With the help of the applicable double taxation agreement and the parent-subsidiary directive issued by the European Union, this issue is to be counteracted. The purpose of this bachelor thesis is to provide an overview of the present legal situation regarding the avoidance of multiple taxation or international double taxation of dividend payments. At the beginning, the legal norms of the "national" exemption from participation income of §10 KStG, which was extended to all foreign participations from 2011, are explained. Since the parent-subsidiary directive of the European Union (MTR) is an essential measure for harmonization, it is comprehensively analyzed in this work and its effects on national and double taxation agreements are presented. In particular, the exceptions to the withholding tax according to § 94 Z 2 EStG are dealt with.

Mediante el presente trabajo se procederá a examinar el reparto de la potestad financiera de cada Estado en los Convenios de Doble Imposición que suscriba, prestando especial atención a tal distribución de la soberanía fiscal en lo referente a la tributación de los rendimientos económicos que obtienen los profesionales por cuenta propia en el ejercicio de su actividad profesional independiente. Para ello, se tendrá en cuenta la globalización como fenómeno básico en la actualidad para la Fiscalidad Internacional, se hará un estudio acerca de la potestad fiscal de los Estados y se procederá a examinar de modo más prolijo cómo se produce ese reparto de soberanía y con qué criterios tanto en el MC OCDE como en otros Modelos de Convenio desarrollados por diversas Organizaciones Internacionales en el ejercicio de sus funciones. Del mismo modo, se examinarán de modo más sucinto diversas instituciones jurídicas de Derecho de la Unión Europea que limitan en este sentido nuestra soberanía fiscal, al ser España un Estado miembro de la misma. This work will examine the allocation of the financial power of each State in the Double Taxation Treaty that it subscribes to, paying particular attention to such a distribution of fiscal sovereignty with regard to the taxation of economic returns that self-employed professionals derive in the exercise of their independent professional activity. To this end, globalization will be taken into account as a basic phenomenon at present for International Taxation, a study will be carried out on the fiscal power of States and more thorough consideration will be given to how this sharing of sovereignty occurs and criteria in both the OECD’s Model Convention and other Model Convention developed by various International Organizations in the exercise of their functions. Similarly, a number of legal institutions of European Union Law which limit our fiscal sovereignty in this regard, as Spain is a Member State of the same, will be examined more succinctly.

The paper evaluates the effect of Double Taxation Treaties (DTTs) on Spain’s inward and outward Foreign Direct Investment (FDI) for the period 1993–2013. Estimates produce positive and statistically significant coefficients. However, there are some differences between the inbound and outbound samples, the type of DTT and the group of developed and developing FDI partner countries. Moreover, interpretation of results differs depending on the fixed or random effects estimation technique used. The paper also analyses the effect on FDI of the rules agreed in DTTs and applied by the investors’ residence country in order to correct international double taxation. The authors conclude that the tax saving derived from the application by Spain of the territorial system is positively related to investment from this country to abroad. However, the tax saving provided by the application by the partner countries of the territorial system does not have a significant effect on the investment of these countries into Spain.

Employing a panel gravity model and Generalized Least Squares (GLS) estimation technique, this study documents the effect of double taxation treaties on the bilateral trade of Vietnam with ASEAN member states, thereby making an extensive comparison with its EU partner countries. Our findings indicate the significant contributions of the tax treaties to Vietnam&rsquo, s trade performance, not exclusively with ASEAN but also with EU partner countries. Nevertheless, under some circumstances, the conclusion of tax treaties seems ineffective in strengthening export capacity or narrowing trade deficits for Vietnam. This is primarily due to the unidirectional movement of trade associated with tax treaty conditions, viz., imports from the advanced economies into Vietnam. Besides, the role of tax treaties as a dynamism of Vietnam&rsquo, s export growth remains opaque during recent years.

The present paper evaluates the effect of Double Taxation Treaties and the Territorial Tax System of countries on Spain's inward and outward FDI for the period 1993-2013. Estimations produce a positive and statistically significant effect of Treaties for both samples when using a simple binary variable for measuring the effect of the mere existence of the same. These outcomes keep for old and new Treaties and for the sub-sample of developed partner countries of Spain. However, regarding developing countries, the positive result exists only for the outbound sample. Also for the global samples and the sub-samples of developed countries, there is an additional positive effect on investments for countries applying the Territorial Tax System for taxing foreign income.

Mestrado em Contabilidade, Fiscalidade e Finanças Empresariais O presente estudo analisa o conceito de Estabelecimento Estável (EE) previsto nas Convenções para evitar a Dupla Tributação (CDT) já celebradas por Portugal, comparando-o com o conceito estabelecido no Modelo de Convenção da OCDE (MCOCDE, 2011) e com o direito interno. Numa primeira fase avaliam-se as recentes recomendações da OCDE para melhorar a interpretação e aplicação do conceito de EE. Posteriormente procede-se à identificação das diferenças existentes entre o direito interno e o MCOCDE (2011). Finaliza-se confrontando os diferentes conceitos, identificando-se as diferenças que podem ser problemáticas para a interpretação e aplicação do conceito de EE em Portugal e aquelas que se podem traduzir em oportunidades de gestão fiscal para grupos empresariais não residentes que queiram atuar em Portugal sem EE. O estudo mostra que existem diversas recomendações da OCDE que devem ser integradas nos comentários do MCOCDE para facilitar a interpretação e aplicação do conceito de EE. Conclui-se existir um conceito de EE mais alargado no direito interno do que no MCOCDE (2011), penalizador para um residente em país com o qual Portugal não celebrou CDT. Os resultados evidenciam que o conceito estabelecido em algumas das CDTs revelam características que podem ser aproveitadas em termos de gestão fiscal, permitindo que uma entidade não residente, que seja residente em país com o qual Portugal celebrou CDT, não seja obrigada a possuir um EE em Portugal para aqui exercer determinada atividade empresarial. The present study investigates the Permanent Establishment (PE) concept envisaged in the Double Taxation Treaties (DTT) already signed by Portugal, comparing with the concept established in the OECD Model Convention (OECDMC, 2011) and with internal law. In a first stage are evaluated the recent OECD recommendations to improve the interpretation and application of the PE concept. Afterwards we compare the existing differences between internal law and OECDMC (2011). We finalize by confronting the different concepts and by identifying the differences that may be problematic to the interpretation and application of the PE concept in Portugal and those that could arise as tax management opportunities for non-resident corporate groups of companies which intend to develop business activities in Portugal without a PE being deemed to exist. The study shows that there are several OECD recommendations that must be integrated in the OECDMC comments in order to ease the interpretation and application of the PE concept. We conclude that exist a wider PE concept in the internal law than in MCOCDE (2011), which penalizes a resident in a country with which Portugal has not entered into a DTT. The results show that the concept established in some DDTs has characteristic?s that can be exploited in terms of fiscal management, allowing a non-resident, which is resident in a country with which Portugal has concluded a DTT, not being obliged to have a PE in Portugal in order to undertake a certain business activity.

This paper examines the impact of bilateral investment treaties (BITs) on Swiss foreign direct investment (FDI) flows. It also investigates the role of BITs as protective tools of Swiss investment. This paper is based on secondary data analysis; data is obtained from various official entities. This study uses statistical and machine learning techniques in order to detect meaningful relationships between BITs and FDI flows. Our findings suggest that the implementation of BITs have an insignificant impact on the increase of Swiss FDI flows. However, from our examination, two interesting findings have emerged suggesting that the completion of BITs may have an impact on the increase of political stability and role of law of host countries.

The thesis is focused on holding companies legislation in the Czech Republic and related issue of tax optimization in the international business environment. First aim of this thesis is to map control and influence relations and therefrom arising legal obligations within Tescoma Group. Second aim is to explore Tescoma Group from the point of view of tax optimization and to compare advantages and disadvantages of alternative structures of the group.

Taxation of permanent establishments is one of the most complicated areas within international tax law. The system of permanent establishment is based not only on the national legislations of relevant states, but also (mainly) on the international double taxation treaties. This diploma thesis analyses those issues in the taxation of permanent establishments, which are the most up-to-date or can be considered as the key questions of the whole concept and therefore can be significant for the future development of the permanent establishments. However the technically perfect system of permanent establishments should come hand in hand with the practical feasibility and overall efficiency. This assumption is nowadays challenged by several trends like the growing popularity of offshore tax heavens or the development of information technologies, which complicate the determination of (fixed) place of business through which the business of an enterprise is wholy or partly carried on. The technical analyses in this thesis are, therefore, supplemented by the objective evaluations from the perspective of valid legislation, possible approaches of the tax authorities, as well as of the enterprise considerations and also the global international taxation picture. This involves also the aspects of tax policies at the level of sovereign states, especially the Czech Republic.
