A 12-month study of 21 companies reveals, contrary to popular belief, that a strategy of nonsynergistic acquisitions can be profitable. The companies studied represent a variety of businesses, and their nonsynergistic acquisitions resulted in 18% to 25% annual returns. Such acquisitions, however, do require several planning and management procedures if they are to be successful. Innovative operating plans, manager evaluation, and the offer of executive incentives are some of the recommended procedures.

Matched samples of merged and nonmerged firms were studied to determine factors which contribute to mergers of rural electric cooperatives. Differences between groups were examined by using univariate t-tests and logit analysis. Merged firms showed lower profitability, efficiency, debt service, liquidity and activity during periods prior to the merger. Analysis revealed specific variables which distinguish merged from nonmerged firms. While merged firms had decreased capacities for cost control, nonmerged firms had higher overhead and maintenance costs.

The value of strategic consistency among business units in diversified firms is examined. Superior corporate performance is hypothesized for firms that adopt similar financial resource allocations among their lines of businesses. This approach emphasizes the importance of resource management toward sustainable competitive advantage, as opposed to the conventional product-market approach to diversification. This hypothesis is tested using 1984-1990 data from the COMPUSTAT data base. The results support the hypothesis that industry-adjusted return on assets is negatively related to variances in R&D intensity across diversified business units. These findings suggest that the resource-based view of diversification strategy is useful in identifying elements of consistency that contribute to sustainable competitive advantage.

The deregulation of financial markets has led to severe challenges for bank management and banking strategy. Investment banking is a sector that has experienced important and well-publicized changes. London's celebrated 'Big Bang' helped to stimulate new banking strategies that were characterized by the formation of so-called 'bank financial conglomerates'. The October 1987 stock market crash, however, has precipitated strategic and organizational crises for many of these banks active in securities business and capital market products. Financial management of conglomerate companies has changed drastically from the 1980s to the 1990s. In the 1980s, shareholder wealth seemed to be generated by the chief financial officer in spinoffs, share buybacks and recapitalizations. However, in the 1990s, companies that restructure are usually finding ways to enhance their operations. Companies are divesting subsidiaries that are not in their main line of business. The diversified companies that are more focused on earnings growth are a better investment than those that retain the financial management strategies of the 1980s.
