Combining data on share repurchases conducted by Chinese listed companies in the public market, this study explores the impact of corporate share repurchases on capital market information efficiency. The research results show that share repurchases effectively improve the information efficiency of the capital market. The mechanism test finds that share repurchases improve the capital market information efficiency by increasing stock liquidity and improving the market information environment. In addition, the heterogeneity test finds that the positive impact of share repurchases on the information efficiency of the capital market is more significant after the launch of the new Company Law in 2018 and in a bear market. Overall, this study provides a theoretical reference on the government's efforts to improve the basic capital market system with the aim of high-quality capital market development. National Company Law Tribunals (NCLTs) form the backbone of the institutional setup of the corporate law mechanism. The tribunals though were initially given a minimal role in the judicial procedure of the corporate world and were seen with scepticism, their significance could not be ignored for long. With the increase in insolvency disputes, the NCLTs were even given the jurisdiction to handle the cases regarding the Insolvency and Bankruptcy Code (IBC) and Corporate Insolvency Resolution Process (CIRP). However, the efficiency of these tribunals has to be inspected with respect to CIRP cases for knowing the clear picture. In this paper, an economic analysis of the working of the NCLT Ahmedabad is undertaken to get a better understanding of the efficiency of the NCLTs in general. The study relies on qualitative tools such as interviewers conducted by relevant stakeholders and observing NCLT court proceedings to capture the measurement reality of NCLT efficiency. The article examines the potential effects of interested voting by corporate directors, arbitrageurs, institutional investors, and other stakeholders on the operation of a corporation. Also cited are how corporation laws can offer remedies against said voting by controlling shareholders and acquirers in mergers and acquisitions (M&A), as well as other topics like bright-line rules and open-ended standards.

The article discusses several business litigation cases decided from October 1, 2021 to September 30, 2022 at federal circuit courts, state appellate and supreme courts in the U.S. Topics include the subject matter and issues addressed in the cases such as arbitration and mediation and breach of contract actions, and the ruling of the Fifth Circuit in MDK Sociedad De Responsabilidad Limitada v. Proplant Inc. wherein MDK accused Proplant of breach of contract and tort theories of recovery.

The article explores the role of agency in corporate group from the early days of English company law. It describes three tests for agency that can be identified from English precedents including a parent company's control over its subsidiary, an overseas corporation with a business representative, and a corporation acting directly on the instructions of its members. It examines the current of English law and proposes a test for agency in the corporate context, and general agency principles.

This article asks „What is gay sexuality?“ and attempts an answer by starting from literary formulations of gay sexuality. It identifies two central traits in literary formulations: literary texts formulate gay sexuality in proximity to death and in figures of transgression. This constellation is interpreted by reference to the history of modern homosexuality and to the psychoanalytic concept of jouissance. The article’s answer to the question is: Gay sexuality is that sexuality in which jouissance is articulated. In conclusion, the article discusses the political consequences of this answer. The article analyzes the reform project of the Uruguayan Commercial Companies Law No. 16.060, which seeks to make substantial changes to the current regime regarding commercial companies. Two important changes are highlighted: the possibility of genetic singularity in the anonymous society and the limited liability company, and the consolidation of autonomy of will as a general principle in the design of contracts or social statutes. The project was presented by senators Lilian Kechichian and Carmen Sanguinetti, and senators Carlos Camy and Raúl Lozano, and was developed by commercial law professors Ricardo Olivera García, Alicia Ferrer Montenegro, and Alejandro Miller Artola. American corporate law has remained remarkably stable for decades. The stakeholder movement of recent years has unleashed extensive discussions about environmental, social, and corporate governance ("ESG"); corporate purpose; diversity; and benefit corporations. Yet change in actual legal rules has been slow to appear. Against that backdrop, two Delaware decisions of the 2020s suggest a significant adaptation in a more traditional part of corporate law. These decisions reinterpret key aspects of Unocal Corp. v. Mesa Petroleum Co., a foundational case in the current corporate law paradigm. The first is the absorption into Unocal of what has been the separate (and more intense) Blasius Industries, Inc. v. Atlas Corp. standard of review of director acts impeding shareholder voting. The second is the narrowing of several Unocal elements that increase the likelihood that some director governance decisions, such as implementing or declining to redeem a poison pill, will fail judicial review. This Article examines the corporate law template that gave rise to Unocal and other standards of review, the changes in that template evidenced by recent Delaware decisions, and how these changes reflect a reshaped role for shareholders in the face of recent technological innovations and market changes. This article explores the evolution of corporate laws in major Arab economies with emphasis on the role of state in these laws. The article argues that the dominance of the state in these laws is reflected in the absence of substantial number of default rules. These laws are overwhelmed with mandatory rules that are undermining the freedom of parties in companies to structure and manage their companies effectively. The policy background that led to the current Arab corporate laws is also analysed in this paper as the paternalistic nature of Arab states has shaped the policies that led to the current corporate laws in the Arab world. The interventionist nature of political and economic systems in the Arab world is also reflected in their corporate laws. The article argues for the need to reform current corporate laws in the Arab world and liberate these laws from their paternalistic nature and move forward with more enabling rules and empowering freedom of contract to become the governing philosophy of these laws. The paper proposes throughly grounded answers to some of the most difficult questions raised in practice by the 128 article requiment. Starting from what the right to vote constitutes and how it is transpoted in practice, we will analyze the controversial problem of the general meetings, implicitly article 128 from the Law of companies 31/1990, that is, that the right to vote cannot be ceded at the same time, the situation and more complicated, if the shareholder is in a conflict of interest situation. The paper analyzes voting agreements in Romanian company law, from the perspective of the possible legal qualifications that can be granted to them, as well as from the perspective of the specific limits of company law, which must be taken into account when concluding agreements. Comparative references are made to the doctrine of German law, which deals extensively with the subject of shareholder agreements in general and voting agreements in particular. A legal qualification within the institution of the promise to contract is argued, and a variant known to German law, that of voting consortia - a long-term contract with successive execution, will be presented. From the point of view of the validity of the agreements, the limits set by Romanian law and doctrine are identified and questioned, such as the prohibition of the transfer of the vote, or the principle of respect for the social interest.
