The article considers a provision of the 2012 U.S. JOBS Act, legislation on new business enterprise finance, which would allow such businesses to submit confidential drafts of documents to the Securities & Exchange Commission (SEC) related to initial public stock offerings (IPO). Concerns by critics that had the legislation would have prevented investors in the IPO of Internet industry firm Groupon Inc. from learning of possible accounting irregularities by Groupon are examined.
