The article presents an analysis of the impact of the tools and methods utilized to improve merger and acquisition (M&A) outcomes in the U.S. It provides an M&A process model which gives a comprehensive, end-to-end, description of transaction phase and the key activities during each phase. It focuses on areas where OD professionals can positively contribute.

Using a comprehensive sample of 2,361 public U.S. corporate defendants and 715 public foreign corporate defendants in U.S. federal courts in the period 1995-2000, we find that the market reaction at the announcement of a U.S. federal lawsuit is less negative for U.S. corporate defendants than for foreign corporate defendants. We find that this market reaction is rational; U.S. firms are less likely to lose than are foreign firms when we control for year, industry, type of litigation, size, and profitability. This finding may still reflect a sample selection bias. We control for this bias, and the results remain unchanged. We thus cannot rule out that U.S. firms have a home court advantage in U.S. federal courts. [ABSTRACT FROM AUTHOR]

The human side of farming has received attention in the U.S. since 1908, when former President Franklin D. Roosevelt woke the nation to give the farmer a larger share in the social dividends of life. Better living on the farm for man, woman and child has since then become the slogan of country life. In this article, the author focuses on the people and the life of the people engaged in agriculture. Names of men and women who contributed to the idea of a better country living in America are acknowledged. The human side of farming is influenced by the following factors: a) the roll of country life workers; b) unorganized and organized community life; c) reason for the lack of rural organization in some communities; d) need for a scientific knowledge of country life conditions; e) principles of organization of rural community life; f) search for the best social achievements of rural communities; and g) the type of rural art which will interpret scientific agriculture.

In this article the author shares the story of his drift into rural sociology. The author followed his friend H.C. Taylor, to Washington, to develop a unit of research in the U.S. Department of Agriculture, to study various sociological phases of the farmer's life. His division was to be known, for a while, as farm life studies. Taylor was to be chief of the office of farm management, an economic research arm of the U.S. Department of Agriculture. The author always had a warm place in his heart for the younger men teaching rural sociology at various colleges and universities who undertook pieces of research in co-operation with his division. Their spontaneous delight in their studies, their loyal work-with-mess, their carrying-through ability left a mark on his own personal stability and equilibrium. The author narrates that it was a great day for rural sociology when the Social Science Research Council offered those handsome annual scholarships to young men of promise who purposed to enter the rural sociological career. It was also a high honor for him to hold for five years a place on the selecting committee. It virtually became his responsibility to pick annually six young men to spend a year or more at some university in graduate study in rural sociology.

As the college of agriculture is the intellectual center of the new agriculture in each state, so is it the potential center of American rural art. The college of agriculture is rapidly expanding. The schools of art are entrances into American art circles. Certainly it is possible for these schools to give chance for a voice, even though it be at first an alien voice so far as art is concerned to plead. It is by no means a chimera to look forward to a national conference and exhibition, too, of new rural art. This way trod rural education, rural religion, rural recreation.
