In the context of the internationalization of Spanish companies, it is usual that partners, directors or employees of the Spanish parent companies are appointed as directors of foreign subsidiaries, who, often, are not resident in the countries where such subsidiaries are incorporated. The appointment as director implies a number of obligations and responsibilities, which, although in many cases are similar to those foreseen in Spanish law (and which are more familiar to those persons), in other cases have distinctive features or peculiarities, which have to be taken into account to avoid situations of liability due to inadequate knowledge of such circumstances.
