De Hoge Raad heeft in zijn uitspraak van 9 april 2021 (Van Dooren q.q./Holding) art. 3:262 BW, dat betrekking heeft op de rangwijziging van hypotheekrechten en beperkte genotsrechten op hetzelfde registergoed, analoog van toepassing verklaard ten aanzien van pandrecht. In dit artikel wordt ingegaan op de inhoud en strekking van art. 3:262 BW, de discussies in de literatuur over de mogelijke analoge toepassing van dit wetsartikel op pandrecht vóórdat dit arrest in 2021 door de Hoge Raad werd gewezen, alsmede op enkele juridische en praktische kwesties naar aanleiding van dit arrest. Aan de orde komen de vraag of voor de (goederenrechtelijke) rechtsgeldigheid van een rangwijziging medewerking van de pand- of hypotheekgever is vereist, de problematiek van de vaak geringe kenbaarheid van stille pandrechten op niet-registergoederen, de (on)mogelijkheid van rangwijziging tussen beperkte genotsrechten onderling, en herverpanding. Tenslotte wordt in dit artikel kort aandacht besteed aan de opmerkingen van de Hoge Raad ten aanzien van de wijze en reikwijdte van parate executie van pandrechten op vorderingen door de hoogst gerangschikte pandhouder.

In dit artikel wordt de uitspraak van Hof ’s-Hertogenbosch 12 april 2022, ECLI:NL:GHSHE:2022:1171 besproken. Dit arrest is interessant omdat het hof hierin een aandeelhoudersovereenkomst gelijkstelt met een geldig genomen besluit buiten vergadering (art. 2:238 BW). Na een samenvatting, volgen ’s hofs overwegingen die op deze gelijkstelling betrekking hebben, voorzien van een beschouwing. De overwegingen die betrekking hebben op appellants vorderingen tot de aansprakelijkstelling en het ontslag van ‘geïntimeerde 3’ als bestuurder blijven buiten beschouwing omdat die naar de mening van schrijver niet van belang zijn voor de rechtsontwikkeling.

Computer-based communication (CBC) has become an inevitable aspect of our communication infrastructure and a lasting alternative to face-to-face conversations. Yet, CBC (e.g. video conferencing) is not common practice for victim-offender mediation (VOM). Based on eighteen semi-structured interviews with adult victims, offenders and mediators, we provide a heuristic assessment of CBC applicability in VOM. Interviewees associated CBC with higher environmental safety compared to face-to-face mediation, and with richer emotional information compared to indirect VOM (e.g., letter exchange). Risks comprised technical and privacy concerns. Our findings provide insight into stakeholder perceptions of the usability of CBC-VOM and thus directions for effective employment.

6. Which Honesty Test for Trademark Law? Why Traders’ Efforts in Avoiding Trademark Harm Should Matter When Assessing Honest Business Practices

This article argues that the honest practices proviso should be more empirically based. Judges should focus on the efforts made by the competitor to avoid detriment to the trademark and on whether consumers perceive the potentially infringing sign differently because of these efforts. If the defendant has taken sufficient measures to minimise possible harm to the trademark owner but some confusion still exists or some advantage is taken, the use of the trademark should be allowed when these side effects are outweighed by overarching market values, such as furthering freedom of competition and enhancing consumer information and consumer choice. This conduct-based approach ensures that not only the legitimate interests of the trademark owner but also those of third parties are taken into account. In this way, trademark owners cannot prevent honest use of the trademark if the defendant has taken sufficient efforts to minimise harm, and at the same time third parties must respect trademark owners’ interests to the largest extent possible if they want the trademark limitations to apply.

Het is echter niet altijd even duidelijk wanneer de notaris ‘zo nodig’ op de gevolgen moet wijzen, zeker als hij onderdeel is van een omvangrijk traject waarbij meerdere deskundigen betrokken zijn.

When something goes wrong in healthcare, it is important that patients are informed in an open and honest manner. This dissertation focuses on the question: what is the role of law when something goes wrong in health care? To answer this question, research was conducted in three domains: action research with Dutch hospitals that want to become more open and practice being open in a better way; quantitative questionnaire research into the impact of medical disciplinary procedures on doctors who received a disciplinary measure, and traditional legal research into openness and the settlement of complaints and claims under the Quality, Complaints and Disputes in Health Care Act (Wkkgz). This study shows that openness requires policy, such as assistance for patients and support for care providers. At the institutional level, it is important to strive for a just culture, in which open discussion and learning from mistakes is the norm. The law appears to have adverse side effects in all three domains. The organisation of openness in hospitals is compartmentalised in procedures that make it difficult to pay attention to the full range of needs of the people involved; medical disciplinary law has a negative impact on the professional practice of defendants and rarely leads to learning; in principle, the Wkkgz has the potential to improve the settlement of both complaints and claims. Restorative justice, as a legal perspective on the principles of a just culture, has been explored as a way of realising that potential. Reflecting on these findings in a broader sense, it appears that the problems described here are not an isolated phenomenon. What can be learned from this dissertation is that when solving problems, it is important to strive for participation of those who are affected; in this dissertation patients and caregivers. In line with the principles of a just culture, restorative justice has been studied as a legal perspective for the settlement of incidents. The challenge this dissertation poses is how a restorative response after a medical incident can be organized concretely. Three methods were used in this thesis: action research, quantitative questionnaire research, traditional legal literature and case law research. As such, this dissertation is in line with the development towards a more empirical approach to law. Action research in particular offers potential for (legal) scholars who want to contribute to the improvement of an undesirable situation. The legal method does not lose its added value in this approach; on the contrary, it is one of the methods that action researchers will need in order to understand and change a problem in its entirety.

In deze procedure is beslist dat daar waar een nationale autoriteit een toezegging heeft gedaan die in strijd is met een duidelijke Unierechtelijke bepaling, waardoor het Unierechtelijke beginsel buitenspel komt te staan, het niet strijdig is met het Unierecht dat de justitiabele die heeft vertrouwd op die toezegging op basis van het nationale vertrouwensbeginsel alsnog een schadevergoeding kan claimen op nationaal niveau.

Uit het recente Danske Bank-arrest van het HvJ volgt dat een Deens hoofdhuis dat onderdeel is van een Deense fiscale eenheid en haar Zweedse filiaal voor de btw twee te onderscheiden belastingplichtigen zijn. Als gevolg daarvan wordt het mogelijk ‘interne’ prestaties in de btw-heffing te betrekken. Het arrest lijktop het eerste gezicht een eenvoudige toepassing van het eerdere Skandia-arrest maar roept een aantal fundamentele vragen op rond onder meer de belastingplicht, belastbare handelingen en de fiscale eenheid in de btw. De auteurs gaan op een aantal van deze vragen in.

14. Network analysis in legal history: an example from the Court of Friesland

This article focuses on the references (allegations) made by the lawyers in a selected number of cases to Roman and customary law as well as to court decisions when arguing their case. The analysis focuses on three similar civil litigation records from the Court of Friesland from 1716, 1718 and 1720. Network analysis was used to examine whether certain sources were more dominant (i.e. more central) in the network than others and to explore the relationship between the references. The lawyers in the three cases from the Court of Friesland appear to have used some references in common when arguing whether security rights (i.e. mortgages) included a right of pursuit and whether the auctioneer could recover the object if the buyer failed to pay.

Making archives searchable by digitalisation and applying artificial intelligence to this will not only generate new information, but opens also the door for new questions. On basis of a case study from the Court of Friesland, the importance of this digital unlocking and method is shown: network analysis in three similar cases demonstrates and visualises the dominance of certain sources (allegations) in the network over other sources and by that the different working methods of the involved lawyers. This type of analysis is very useful to expose patterns which cannot be discerned otherwise when dealing with large quantities of civil litigation records from the Courts of Holland and Friesland. In this way until now hidden relations between names, places, dossiers and allegations, and even interprovincial links, may be revealed and lead to new investigations.

In the Netherlands, concerns about the negative experiences of patients with legal procedures following adverse medical events have led to potentially profound changes in the field of procedural complaint- and compensation law. This chapter offers insight into the Dutch legal framework of compensation for damage caused by healthcare. We start by presenting the traditional framework in the paragraph on the Dutch landscape of medical liability. Having laid the groundwork, we try to explain the innovations that have recently been introduced, in the paragraph dealing with efforts for reform. We elaborate on the problems patients experience when they claim for compensation, the impact legal procedures can have on both patients and healthcare professionals, the recent changes in legislation trying to address these problems, and how these changes might entail a new reality force both healthcare and legal professionals.

This contribution focuses on the res judicata of arbitral awards. What is actually the purpose of the res judicata of an arbitral award? Should an arbitrator or a court verify ex officio whether an arbitral award had become res judicata or should this be invoked by the parties? As the parties are free to determine the manner in which and by whom dispute resolution takes place, the question arises as to which applicable law should determine the issue of an arbitral award becoming res judicata. Although the existing instruments, such as the 1958 New York Convention, deal with the recognition and enforcement of arbitral awards, these instruments leave this question unanswered. These instruments are based on the principle that the Contracting States recognize the arbitral awards and that a recognized arbitral decision is binding. This contribution discusses the different approaches to determining the res judicata effect of an arbitral award.

Those involved in a motor vehicle accident often have emotional needs that are not being met within the current framework of personal injury settlement. These needs include sharing one’s (side of the) story, getting in touch with the other person(s) involved and offering or receiving apologies. Following Nils Christie’s theory of ‘stolen’ conflicts, the fact that the people involved are often represented by lawyers or insurance companies is problematic because it alienates them from each other and it thwarts proper recovery. Incorporating restorative justice could offer a solution to this ‘theft’ of conflict, as it focuses on bringing all involved together to restore any of the harm done by concentrating on their needs. The central question to this dissertation is: how can restorative justice play a role in the sustainable resolution of conflicts after motor vehicle accidents so that the current insurance and liability system can better meet the immaterial needs of victims and perpetrators? Via several projects, the role of lawyers and insurance companies is studied. How beneficial or adversarial are their influences on victims and offenders? And can they incorporate restorative justice in their practice? The first publication is expected at the end of this year.

Background A large number of studies are devoted to medical errors, but only a few focused on the problem’s victims of these errors face. Prospective comparative studies on this topic are absent. The aim of this prospective comparative study is to fill this gap of scientific knowledge that may help to improve the care for victims. Methods Data were collected in the Longitudinal Internet studies for the Social Sciences panel, based on a random sample of the Dutch population. Surveys were conducted in March–April 2018 (T1response = 82.1%) and March–April 2019 (T2response = 80.1%). We assessed medical errors and potentially traumatic or stressful events between T1 and T2, and mental health, work, financial, religious, family, legal/administrative and physical problems at T1 and T2 (Ntotal = 4711). Results In total, 79 respondents were affected by medical errors between T1 and T2, and 2828 were not affected by any event. Of the victims, 28% had high PTSD symptom levels at T2. Stepwise multivariate logistic regression entering all problems at T1 and demographics showed that victims compared with controls significantly more often had all assessed problems at T2, except family problems. For instance, victims more often had mental health problems (29.5% vs. 9.3%; adj. OR = 3.04, P = 0.002) and financial problems (30.4% vs. 6.6%; adj. OR = 4.82, P Conclusions Victims of medical errors more often face various non-physical problems than others. Care for victims should therefore, besides physical health, also include the assessment and targeting of their problems regarding mental health, work, religion, legal issues and finance.

In theAdidas/Marcacase, the CJEU ruled that the need to keep signs freely available for other economic operators cannot be a relevant factor in the infringement analysis. This is particularly problematic in relation to appealing signs such as stripe motifs. These signs not only serve as a source identifier, but also appeal to consumers and therefore give trademark owners an advantage over competitors on the market. In order to offer sufficient room for the concerns of trademark owners and competitors (and ultimately also consumers), it is essential to apply normative corrections not only in favour of trademark owners but also in favour of competitors. The current analysis of confusion in EU trademark law already contains a normative correction in favour of trademark owners. From an empirical perspective, the more distinctive the trademark, the less likely consumers are to be confused when confronted with a similar sign. The CJEU, however, assumes that consumers are more likely to be confused when confronted with signs that are similar to a highly distinctive trademark. In a trademark system where this normative correction is possible in favour of trademark owners, similar steps should be taken to give sufficient weight to the interests of competitors. In this light, this article concludes that theAdidas/Marcadecision should be overruled.

Copyright law offers creators several opportunities to lawfully copy existing works without permission from the copyright owner, including copyright exceptions. As an essential part of the copyright system, exceptions are intended to allow uses that the legislator considers to be socially, culturally, politically or economically beneficial, such as education or the creation of parodies, among others. However, due to the complexity and ambiguity of legal notions embedded in these provisions as well as the lack of or limited case law around them, the scope of application of exceptions is often uncertain. As a result, exceptions are often not a viable option for creators. The ReCreating Europe project ‘Developing best practice codes for creative audiovisual reuse’ aims to help creators make informed decisions around the lawful reuse of audiovisual works while giving sector-specific meaning to some of the ambiguous notions embedded in European copyright exceptions. The project has developed codes of best practices for two creative communities across two jurisdictions: documentary filmmakers and creators of immersive experiences based on digital cultural heritage in the UK and the Netherlands. The authors will present the methodology and the main findings of the project, and discuss the role that these initiatives can play in making copyright flexibilities a viable option for creators.

In my dissertation with the title European tax law aspects of cross-border pensions, a study based on Dutch tax laws and regulations regarding employees and pension providers, I investigate whether there are any unjustified obstacles with regard to cross-border pensions in Dutch tax laws and regulations regarding employees and pension providers. If there are any, I will present a solution to eliminate these obstacles. I will focus on the member states of the European Union (EU) and the countries that belong to the European Economic Area (EEA). The central question of my dissertation is the following: “Tax impediments can be a major obstacle to the internal market for occupational retirement provisions. Are there such obstacles in Dutch tax laws and regulations? If so, to what extent are they justified and proportional and what are possible solutions to eliminate the unjustified or disproportional impediments?” I will answer the questions arising from this problem for both the cross-border employee and the cross-border pension provider. The following European freedoms are relevant in answering the questions: the free movement of workers (Article 45 of the Treaty on the Functioning of the European Union (TFEU)), the freedom of establishment (Article 49 TFEU), the freedom to provide services (Article 56 TFEU) and the free movement of capital (Article 63 TFEU).

Boëtius Epo is a jurist whose life reflects all areas of tension and all contrasts typical of the sixteenth century. Born in Friesland, in the Northern Netherlands, which were soon to struggle out of the grasp of the Spanish king, he was to find his ultimate destination in Douai, situated in the Southern Netherlands still under Spanish rule. In his young life attracted to the enticing approach of the awakening Reformation toward the primitive church, he nevertheless retraced his footsteps, recognizing the orthodox Catholicism in which he had been raised. More than that, he revealed himself as belonging to the considerably radical wing of the Counter-Reformation. In his scholarly attitude there was a certain ambiguity between, on the one hand, being inclined to adhere to a re–foundation (ressourcement) of the sources of canon law, especially the texts compiled in the Decretum Gratiani, and, on the other, still adhering to spurious texts, maybe because from an ideological viewpoint their content was dear to him.

Die actio quasi Publiciana im byzantinischen Recht. In literature, D. 17,1,57 has been extensively discussed. In this fragment the former owner could reclaim his property by using the actio Publiciana, notwithstanding that the defendants had in good faith acquired ownership by acquisitive prescription (usucapio). The actio Publiciana in D. 17,1,57 should be interpreted as a special form of the actio Publiciana, which was normally given to a possessor in good faith. From Basilica-scholia it can be deduced that this special action, mentioned as actio quasi Publiciana, also applies in other cases. In Justinianic and Byzantine law the judge had to evaluate whether it was right that the defendant could raise an exceptio iusti dominii against this special form of the actio Publiciana.

Summary Nowadays it is generally held, that the owner who brought an actio legis Aquiliae usually claimed no more than his loss, perhaps already in Ulpian’s time, for certain in Justinian’s. For the sum of condemnation based upon the estimation-clauses of the lex Aquilia would only then exceed his damages, if either the injured object’s value had decreased in the last year or 30 days (Inst. 4,3,9) or the wrongdoer had denied having caused the damage (C. 3,35,4). There is, however, a third reason, which the Roman texts fail to mention: a possible residual value of killed lifestock, wounded slaves, and damaged objects, which benefitted the owner. Only a few later jurists took this into account: in medieval times Jacques de Révigny and Pierre Jacobi, Johann Oldendorp in the Early Modern era. The notion prevailed that the lex Aquilia obliged to pay at least the object’s full value.

The proposed directive meets a real necessity for regulation on a European level and pursues an ambitious agenda. While the general approach is excellent, there is room for improvement on some issues of importance.

Zeger-Bernard van Espen was born in Leuven 8 July 1646 as son of the legal practitioner Joannes van Espen and his wife Elisabeth Zegers. He was the youngest of nine children. In 1656 he began attending the college of the Oratorians in Temse. In 1663 he entered ’t Varken (Pig College) in Leuven to study Philosophy at the Faculty of Arts. In 1665 he assumed clerical status, received a scholarship at the Heilige-Geestcollege (Holy Spirit College) and pursued his studies at the Faculty of Law. In 1670, after five years of studying canon law, he obtained the licentiate in both laws. In 1673, he was ordained priest and one year later he was appointed to the chair of the so-called ‘six weeks lectures’, an extraordinary professorship, meant for teaching an annual course during the academic holiday (August and September). In 1675 van Espen took his doctoral examinations and was promoted to doctor in both laws. From 1677 until 1703 he also delivered a weekly lecture in Church History in the Pauscollege (Pope’s College).

Ever since the change in the place of supply rules in the EU VAT Directive in 2010, the outline of the concept of the fixed establishment in EU Value Added Tax (‘EU VAT’) has been unclear and cause for confusion. The recent Dong Yang-case, in which the Court of Justice of the European Union (‘CJEU’) ruled that a subsidiary may well qualify as a fixed establishment for VAT purposes, can be seen to propel this conceptual obscurity to new heights. Based on an analysis of the CJEU’s judgment in the Dong Yang-case in light of the Council Implementing Regulation and previous judgments, the authors substantiate in what way the fixed establishment lacks conceptual clarity and thus gives rise to consequences that are directly contrary to its purpose: to prevent jurisdictional disputes between Member States.

Dit artikel is een verslag van een empirisch onderzoek naar de vraag hoe de feitenrechter omgaat met private regelgeving bij de invulling van de maatschappelijke betamelijkheid uit art. 6:162 lid 2 BW. De auteur heeft de op www.rechtspraak.nl gepubliceerde uitspraken geanalyseerd. Uit het onderzoek blijkt dat de rechter in de grote meerderheid van de gevallen oordeelt in overeenstemming met een voorhanden zijnde private norm en dat hij daar doorgaans een groot gewicht aan toekent. Er lijkt een discrepantie te bestaan tussen de door de onderzoeksresultaten geduide rechtspraktijk en de bestaande opvatting dat private regelgeving op zichzelf niet beslissend is bij invulling van de maatschappelijke betamelijkheid, maar dat zij slechts een aanwijzing voor de rechter vormt.

IntroductionDisciplinary procedures can have a negative impact on the professional functioning of medical doctors. In this questionnaire study, doctors’ experience with open culture and support during a disciplinary procedure is studied to determine whether open culture and support are associated with perceived changes in the professional practice of doctors.MethodsAll doctors who received a warning or a reprimand from the Dutch Medical Disciplinary Board between July 2012 and August 2016 were invited to fill in a 60-item questionnaire concerning open culture, perceived support during the disciplinary procedure and the impact of the procedure on professional functioning as reported by doctors themselves. The response rate was 43% (n=294).ResultsA majority of doctors perceive their work environment as a safe environment in which to talk about and report incidents (71.2% agreed). Respondents felt supported by a lawyer or legal representative and colleagues (92.8% and 89.2%, respectively). The disciplinary procedure had effects on professional practice. Legal support and support from a professional confidant and a professional association were associated with fewer perceived changes to professional practice.ConclusionOur study shows that doctors who had been disciplined perceive their working environment as open. Doctors felt supported by lawyers and/or legal representatives and colleagues. Legal support was associated with less of a perceived impact on doctors’ professional practice.

36. The Fairy Tale of the Average Consumer: Why We Should Not Rely on the Real Consumer When Assessing the Likelihood of Confusion

The present article considers whether the confusion analysis in trademark law is at risk of being used strategically as a self-servicing mechanism by the industry to obtain trademark rights to descriptive, cultural and non-traditional signs. In this context, two features of the trademark system are particularly worrisome. First, trademark owners can strengthen the distinctive character of their marks by investing in marketing and branding campaigns. Second, trademark owners can afford expensive surveys demonstrating the high distinctiveness of their marks and strengthening their position in an infringement case. A study of 189 Dutch cases reveals that in the likelihood-of-confusion assessment, the degree of a mark’s distinctiveness and corresponding empirical findings can have a deep impact. However, the study also shows that descriptive, cultural and non-traditional signs were not often disputed. In practice, the risk of misappropriating these signs might therefore be limited. In some cases, however, trademark owners did succeed in achieving a broad scope of protection regarding descriptive, cultural and non-traditional signs. Therefore, national courts should have more room to make normative corrections in favour of freedom-of-competition interests. This would allow judges to prevent trademark owners from achieving unjustified economic advantages flowing from these signs.

The role of the victim in the criminal trial process has evolved considerably in recent decades. On a European level, an important driver has been the EU Directive 2012/29/EU, according to which European countries are legally bound to afford certain rights to crime victims. In the Netherlands, the EU Directive has instigated several extensions of existing victims’ rights, and in the Code of Criminal Procedure a separate section has been devoted to the victim. The current study specifically addresses one of the victims’ rights, that is, the right to be legally represented. The Dutch government has financially invested in access to and specialization of victim lawyers in order to promote the realization of victims’ rights, specifically for victims of serious crimes and sex offences. The goal of the current study was to investigate the added value of victim lawyers and the extent to which they contribute to the fulfilment of victims’ rights in the criminal law process. A literature study was conducted to examine legislation pertaining to victims’ rights; a questionnaire study was conducted to investigate the perspective of victim lawyers ( n = 148); and interviews were conducted to examine the perspective of the police, Victim Support Netherlands, Public Prosecuting Service, and criminal courts ( n = 17). The results show that victim lawyers were important to the realization of victims’ rights. They were considered most necessary with respect to the right to claim compensation and with respect to the right to gain access to the case file. They were also required because victims’ rights have not yet been smoothly incorporated into legal practice. In addition, victim lawyers’ presence in the courtroom was considered important because it contributes to victims experiencing that they are taken seriously. It has been concluded that the support of victim lawyers is an important contribution to victim participation in criminal proceedings.

Summary The Seventeen Statutes is one of the oldest classical texts of Old Frisian Law. In its late fifteenth century edition, as part of the Frisian Land Law, it was provided with Latin glosses. Analysis of these glosses, which were scarcely investigated until now, enables us to pronounce with more certainty upon the date of both the Frisian Land Law, as a compilation, and its Gloss. Moreover, the glosses to the Seventeen Statutes reflect a considerable increase of ecclesiastical competence, point to certain principles of Romano-canonical procedure and use Roman law texts when applying provisions of indigenous law. This all may indicate a stronger presence of learned law in late medieval Friesland than previously assumed.

Er wordt gecategoriseerd in welke relaties met andere EU-lidstaten een keuze voor een bepaald geschilbeslechtingsmechanisme dient te worden gemaakt. Hierbij wordt ingegaan op de materiële (de betekenis en reikwijdte van geschilpunt) en op de formele overwegingen voor een dergelijke keuze. De bijdrage besteedt verder aandacht aan de relatie van de Wet fiscale arbitrage met het EU-recht (het Achmea-arrest) en het Handvest van de grondrechten van de EU. Met name wat betreft rechtsbescherming en betrokkenheid van de belanghebbende in de procedure, wordt een aantal kwetsbaarheden van de Wet fiscale arbitrage gesignaleerd.

Commissarissen zijn onafhankelijk. Dat is het uitgangspunt van ons vennootschapsrecht. De realiteit is echter dat commissarissen soms gelieerd zijn aan specifieke stakeholders, of zelf stakeholder zijn. Zij zijn dan nog steeds gehouden te handelen in het belang van de vennootschap en alle stakeholders, maar verkeren door hun relatie desalniettemin in een bijzondere positie. De Corporate Governance Code bepaalt dat een commissaris die een aandelenpakket van ten minste 10 procent houdt in de vennootschap dan wel vertegenwoordiger is van een rechtspersoon die dit percentage aandelen direct of indirect houdt, niet als onafhankelijk wordt beschouwd (Principe 2.1.8). In lijn met market practice is een dergelijke ‘afhankelijke’ commissaris in de raad van commissarissen geoorloofd, maar om de onafhankelijkheid van de raad van commissarissen als geheel te waarborgen is in de Corporate Governance Code als uitgangspunt opgenomen dat meer dan de helft van de commissarissen onafhankelijk moet zijn. In deze bijdrage zal worden ingegaan op het leerstuk tegenstrijdig belang en de vraag hoe aan te kijken tegen en om te gaan met mogelijke belangenconflicten van een lid van de raad van commissarissen die tevens aandeelhouder is respectievelijk die gelieerd is aan een aandeelhouder.

Can Roman law still be a useful part of the compulsory curricular programme for legal education in the Netherlands? At the beginning of the nineteenth century Roman law taught the student a further systematization of private law. Later it was seen as an introduction to present-day private law, irrespective of whether it was taught in a pandectistic or a more historical way. For the second half of the twentieth century three divergent approaches could be discerned i.e. a ‘pandectistic’, a ‘neo-humanistic’ and a ‘legal historical’ one. Given this until recently existing state of legal education, various premises can be formulated, which preferably should underlie the teaching of Roman law in the near future, viz. an applicative approach, a connection with legal historical research, the awareness that the civilian tradition is not the only one and that it only started with the glossators, and avoiding anachronisms.

In Ἐντολή (mandatum) in den Basiliken Hylkje de Jong deals with the way the Byzantine jurists of the early period (6th and early 7th century) and later period (11th and 12th century) dealt with the law of mandate as they found this in respectively Justinian’s compilation and in the 9th century Basilica. Commonly characterised as consistent Byzantine dogmatics, the remarks of these Byzantine jurists appear to be in reality individual approaches, coloured by each jurist’s own methodology of interpreting.Based upon the Basilica texts, the law of mandate is set out thematically: the mandate’s object, the liability of parties, actions, remunerations. De Jong proves convincingly that the Byzantine remarks provide a better understanding of Justinian Roman law.In der Studie Ἐντολή (mandatum) in den Basiliken beschäftigt sich Hylkje de Jong mit der Art und Weise, wie sich die byzantinischen Juristen des 6. und frühen 7. aber auch des 11. und 12. Jahrhunderts mit dem Auftragsrechts befassten, das sie in Justinians Kompilation bzw. in den Basiliken des 9. Jahrhunderts fanden. Die Äußerungen dieser byzantinischen Juristen werden in der Regel als einheitliche byzantinische Rechtslehre aufgefasst, erweisen sich aber in Wirklichkeit als individuelle Ansätze, die von der Methodik des jeweiligen Juristen geprägt und gefärbt sind.Basierend auf den Basilikentexten wird das Auftragsrecht thematisch dargestellt: Gegenstand des Mandats, Haftung der Parteien, Klagen, Vergütungen etc. Überzeugend weist De Jong nach, dass die byzantinischen Darlegungen ein besseres Verständnis des römischen Rechts von Justinian vermitteln.

IntroductionDisciplinary procedures can have serious consequences for the health, personal life and professional functioning of doctors. Until recently, specific disciplinary measures (reprimands) were publicly disclosed in the Netherlands. The perceived additional impact of disclosing reprimands on the professional and personal life of doctors is unclear.MethodsAll doctors who received a disciplinary measure from the Dutch Disciplinary Board between July 2012 and August 2016 were invited to partake in a 60-item questionnaire concerning the respondents’ characteristics, the complaint, experience with the procedure and perceived impact of the procedure on health and professional functioning as reported by doctors themselves. The response rate was 43% (n=210). 21.4% received a reprimand (disclosed); the remainder received a warning (not disclosed). Differences between the two groups were calculated.ResultsRespondents with a reprimand reported significantly more negative experiences and impact on health and work than respondents with a warning. 37.8% of the doctors said their health was very good. A small percentage reported moderate-to-severe depressive complaints (3.6%), moderate-to-severe anxiety disorder (2%) or indications of burnout (10.8%). The majority reported changes in their professional practices associated with ‘defensive medicine’, such as doing more supplementary research (41%) and complying more with patients’ wishes (35%).ConclusionThe Dutch disciplinary procedure has strong negative side effects, that disclosing measures seems to increase. Dutch disciplinary law aims to contribute to the quality of professional practice. A safe environment is a basic condition for quality improvement and therefore, disclosure of disciplinary measures should be carefully considered. Disclosure of disciplinary measures has always been controversial and the results of this study has rekindled this debate. Recently, a majority in the Dutch House of Representatives has voted against disclosure of reprimands, leaving disclosure of reprimands a discretion of the disciplinary board when deemed appropriate or necessary.

This article provides critical reflections on the 2017 revision of article 4(3) of the OECD Model Convention and its Commentary regarding dual residence of persons other than individuals. These changes and their implementation warrant an assessment of their desirability, including an in-depth review of their impact on other provisions of the OECD Model, as well as the (re)consideration of alternative mechanisms to resolve dual-residence situations. In the light of the above, this article provides a comprehensive analysis of the evolution of rules governing dual residence of companies formed by incorporation and addresses, from a policy as well as a legal perspective, the main criticalities associated with the above-mentioned revisions, most notably the overarching legal uncertainty that such amendments may generate, the potential instances of international double taxation that may arise therefrom and the excessive discretion with which competent authorities would be entrusted in dealing with the matter, a circumstance against which taxpayers may be left with very limited judicial remedies.
