The COVID-19 outbreak is not the first nor last series of recent real or potential catastrophes - be they natural disasters, terrorist attacks or pandemics - that have taken by surprise governments, globalised firms and the citizenry. 1Yet, due to its near-unprecedented impact on the highly interconnected but vulnerable systems that define the modern world, this pandemic has been testing our ability to govern risk more than any other crisis before. The last time the world responded to a global emerging disease epidemic of the scale of the current novel coronavirus without having access to vaccines was the 1918-1919 H1N1 influenza pandemic. 2Ironically, the measures mobilised today to counter COVID-19 - the so-called “non-pharmaceutical interventions” 3- are essentially the same as those deployed a century ago, and that despite significant social, technological as well as governance differences between 1918 and today. 4

How do banks remunerate risk managers and what are the implications for risk-taking? Studying 127 German banks during the years 2003 to 2007, we show that risk managers' remuneration is positively aligned with performance-linked pay in front offices (FOs). When bonuses in FOs increase by one Euro, the bonus of a risk manager increases by 13.6 to 33.5 Cents, depending on the risk manager’s seniority. Risk-sharing among employees or labor market competition do not explain this finding. Banks with more aligned incentive pay between risk management and FOs during the years before the crisis of 2008-2009 performed better in the crisis.

How can non-profit organizations improve their governance to increase their social impact? This study examines the effectiveness of a bundle of governance mechanisms (consisting of pro-social incentives and auditing) in the context of a randomized governance program conducted in the Democratic Republic of Congo's healthcare sector. Within the program, a set of health centers were randomly assigned to a governance treatment while others were not. We find that the governance treatment leads to i) higher operating efficiency and ii) improvements in social performance (measured by a reduction in the occurrence of stillbirths and neonatal deaths). Furthermore, we find that funding is not a substitute for governance—health centers that only receive funding increase their scale, but do not show improvements in operating efficiency nor social performance. Overall, our results suggest that corporate governance plays an important role in achieving the non-profits' objectives and increasing the social impact of the funds invested.

Recent contributions in the domains of governance and regulation elucidate the importance of rule-intermediation (RI), the role that organizations adopt to bridge actors playing regulatory or “rule-making” (RM) roles, and those adopting target or “rule-taking” (RT) roles. Intermediation not only enables diffusion and translation of regulatory norms, but also allows for the representation of different actors in policy-making arenas. While prior studies have explored the roles that such RIs adopt to facilitate their intermediation functions, we have yet to consider how field-level structuring processes influence (and are influenced by) the various and changing roles adopted by RIs. In this study, we focus on the mutually constitutive relations between field-level change processes and the evolving roles of RIs by studying the rise of ICLEI (International Council for Local Environmental Initiatives/Local Governments for Sustainability), an RI serving as a bridge for sustainable urban development policies between the United Nations and urban authorities. Using ICLEI as an illustrate case, we theorize four different processes of regulatory field consolidation and fragmentation including: problematization, role specialization, marketization and orchestrated decentralization. We discuss their implications for the RI roles in the field and further theorize the changing dynamics of trickle-up intermediation processes as an RI gains power and influence. This paper was presented for the first time during the 2018 SASE Annual Conference that was held in June 2018 at Doshisha University. A revised version of this paper is to be published in The Japanese Political Economy.; This paper aims at finding out how the shareholder-value pursuit has affected labor policies at large Japanese listed enterprises. It concentrates on the issue of labor bifurcation, whereby the proportion of nonregular employees has grown rapidly over the last two decades, currently approaching the numbers of regular employees.In Japan, corporate governance reforms became key to structural macroeconomic changes according to the 2013 “Japan Revitalization Strategy” formulated by the Cabinet Office. This document mandated the creation of the JPX-Nikkei Index 400 – an index called to accommodate the most investor-friendly joint-stock companies. The move towards a shareholder model has been further reinforced through a rapid surge in foreignstockholding that started during the post-bubble period of the mid-1990s. At the same time, the externalities of increased returns to stockholders have been the changes in the related domains of management and labor, which I explain through the application of the political economic theory. This theory underlines the importance of inclusion into a “political bloc” for being eligible for economic benefits. Consequently, I argue that increased returns to politically privileged shareholders have been achieved at the expense of a growing proportion of unprivileged nonregular employees.The evidence yields support to the argument about the positive correlation between shareholder value and the proportion of nonregulars. On the other hand, foreign stockholding does not appear to be significantly correlated with the increase in nonregular employment. In turn, the study has found that the proportion of nonregular employees is significantly correlated with domestic ownership that characterizes higher managerial entrenchment.

International audience; In this paper, the authors compare the financial and associate membership data over the 2007-2012 period of the three French mutual and cooperative banking groups [Crédit agricole, Crédit mutuel, and BPCE (Banques populaires and Caisses d’épargne)] (see in the Appendix) with those of the two “capitalist” banking groups (BNP-Paribas and Société générale). This study is part of a broader research including other dimensions of the cooperative model. All the data used come from the annual reports of the five banking groups analyzed over the 2007-2012 period, and not from a database. Indeed, a database may raise many relevance problems related to difficulties of consolidation that are specific to cooperative groups. Even if the way to create earnings may imply the same business as in capitalist banks (loans, deposits, shareholdings, investment banking, etc.), the way to do it may be different in cooperative banks (fair conditions of borrowing, shareholdings in order to finance the economy rather than simply make capital gains, etc.). Thus, the difference between the two types of banks, as cooperative banks say, is both their final goal and the way to reach it. Meanwhile, a major external difficulty is that cooperative banks have to obey the same prudential rules as other banks whereas these norms were created for a capitalist organization and governance model. In the same way, the indivisible reserves, the steadiness of the share value, or the impossibility of external takeovers is among the main characteristics of the cooperative model and they are not taken into account by the financial analysis.

International audience; Promoting tropical forest sustainability among corporate players is a major challenge. Many tools have been developed, but without much success. Southeast Asia has become a laboratory of globalization processes, where the development and success of agribusiness transnationals raises questions about their commitment to environmental concerns. An abundance of literature discusses what determines the behavior of Asian corporations, with a particular emphasis on cultural factors. Our hypothesis is that financial factors, such as ownership structure, may also have a fundamental role. We analyzed the audited accounts of four major Asian agribusiness transnationals. Using network analysis, we deciphered how the 931 companies relate to each other and determine the behavior of the transnationals to which they belong. We compared various metrics with the environmental commitment of these transnationals. We found that ownership structures reflect differences in flexibility, control and transaction costs, but not in ethnicities. Capital and its control, ownership structure, and flexibility explain 97% of the environmental behavior. It means that existing market-based tools to promote environmental sustainability do not engage transnationals at the scale where most of their behavior is determined. For OPEN ACCESS Forests 2015, 6 1455 the first time, the inner mechanisms of corporate governance are unraveled in agricultural and forest sustainability. New implications such as the convergence of environmental sustainability with family business sustainability emerged.

Exit theory predicts a governance role of non-managerial blockholders’ exit threats; but this role could be ineffective if the managers’ potential private benefits exceed their loss in stock-price declines caused by non-managerial blockholders’ exit. We test this prediction using the Split-Share Structure Reform (SSSR) in China, which provided a large, exogenous, and permanent shock to the cost for non-managerial blockholders to exit. Using a difference-in-differences design combined with propensity-score matching, we find that firms whose non-managerial blockholders experience an increase in exit threat have a greater improvement in performance than those whose non-managerial blockholders experience no increase. The improvement is as much as 37.2% of the average pre-SSSR treatment sample operating performance. Moreover, the governance effect of exit threats becomes ineffective in the group of firms with the highest concern for private benefits of control. Finally, a battery of theory-motivated tests show that the documented effects are unlikely explained by non-managerial blockholder intervention or some well-known intended effects of SSSR.

Using securities lawsuits related to M&A as an industry shock, we examine whether litigation risk acts as an external governance mechanism by disciplining managers' investment decisions. In the two years following an M&A lawsuit (a lawsuit where plaintiffs allege that the firm hid poor performance related to a prior acquisition), we find that industry peers experience higher bidder announcement returns, choose more adequate methods of payment, and engage in fewer diversifying and smaller takeovers. Collectively, this evidence is consistent with post lawsuit deals being of higher quality. Furthermore, we find that peer firms respond to the increased litigation risk by reducing abnormally high investment expenditures. Finally, the reactions are stronger among firms with fewer anti-takeover provisions. Overall, our results show that M&A lawsuits can have an industry-wide deterrence effect on firms' suboptimal investment behavior.

The position of an internal audit function as a “servant of two masters” (i.e. management and the audit committee) may lead to a conflict of priorities. In this setting, the tone at the top set by the Chief Audit Executive (CAE) plays a critical role in balancing the potentially competing preferences of management and the audit committee. We examine whether the emphasis in the CAE’s communication with internal auditors influences their judgments. We also test whether such influence is more pronounced in an internal audit task where potential for justification created through task complexity and ambiguity is high, as compared to low. We test two hypotheses in a mixed experimental design with the communicated preferences of the CAE to subordinates (cost reduction vs. effectiveness of internal controls) as a between-subjects factor, and levels of opportunity for justification (low, medium, high) manipulated within subjects. Findings suggest that the emphasis in the CAE’s message can bias internal auditors’ judgments, and such influence is more pronounced when the opportunity for justification is high, resulting in the elimination of a significantly greater number of internal controls and the design of less effective processes.

This paper presents future scenarios of Irish energy-related CO2 emissions to 2020, using a combination of multi-sectoral decomposition analysis with scenario analysis. Alternative development paths, driving forces and sectoral contributions in different scenarios have been explored. The scenarios are quantified by using decomposition analysis as a Divisia Index SCenario GENerator (DISCGEN). The driving forces of population, economic and social development, energy resources and technology and governance and policies are discussed. A set of four integrated or ‘hybrid’ qualitative and quantitative baseline emission scenarios are developed. It is found that sectoral contributions and emissions in each scenario vary significantly. The inclusion of governance, social and cultural driving forces are important in determining alternative development paths and sustainability is crucial. Our empirical results show that decomposition analysis is a useful technique to generate the alternative scenarios.

International audience; Coastal area is always a zone with complex problems. Due to the attraction they exert, are facing many social problems. Therefore, a coastal city is usually a city with problems. Its extension, caused by the influx of people from different backgrounds, creates an increased demand for services. One of the problems frequently encountered, especially in Senegal, is access to water. The problem of access to water is poorly treated, without being correlated with the urban evolution, i.e. with increasing population and demand growth. The water resource is facing numerous complications such as the lack of integrated management, integration issues at the governance level, where the local factor is often forgotten. The town of Mbour, object of our study, does not come out of that lot, being an attractive coastal city, from an African country. This indicates the need for an integrated management oriented from local to a global basis and not vice versa. The study presented in this paper indicates that a large proportion of the population has not access to a verified drinking water system and uses water from wells or standpipes. Half of the surveyed population (50%) has no access to a water supply system. The water poverty map of the town overlaps with that of the general poverty excepting few neighborhoods. This means that even areas that are not affected by poverty have a very low or poor access to water, which so far remains the perverse effect of the reform of the Senegalese water sector in 1995.
