Abstract

This open access volume of the AIDA Europe Research Series on Insurance Law and Regulation offers the first comprehensive legal and regulatory analysis of the Insurance Distribution Directive (IDD). The IDD came into force on 1 October 2018 and regulates the distribution of insurance products in the EU. The book examines the main changes accompanying the IDD and analyses its impact on insurance distributors, i.e., insurance intermediaries and insurance undertakings, as well as the market. Drawing on interrelations between the rules of the Directive and other fields that are relevant to the distribution of insurance products, it explores various topics related to the interpretation of the IDD – e.g. the harmonization achieved under it; its role as a benchmark for national legislators; and its interplay with other regulations and sciences – while also providing an empirical analysis of the standardised pre-contractual information document. Accordingly, the book offers a wealth of valuable insights for academics, regulators, practitioners and students who are interested in issues concerning insurance distribution.

5. The 'principle of indemnity' in marine insurance contracts : a comparative study

Abstract

Marine Insurance is considered one of the oldest of the many forms of commercial protection. It has flourished through the establishment of the institution of the so-called "coffee-houses", wherein "underwriting" was being conducted and from where the evolution and dominance of the Lloyd's has stemmed as the world's most famous insurance market. Marine insurance contracts are special in that they have special characteristics and also because they are contracts of indemnity. This thesis examines the principle of indemnity within marine insurance contracts. The legal problems related to the principle, in theory and in practice, are discussed and evaluated through the citation and critical analysis of the relevant case law in the UK as well in some of the most representative common law and continental law regimes, together with an analysis comprising thoughts and proposals on possible extensions, further research options, and a possible future law reform. This thesis comprises of six (6) chapters: Chapter One (1) discusses the history of marine insurance in the UK and the policy reasoning behind the enactment of the various UK statutes as well as the history, legal framework and the way marine insurance is regulated in the other jurisdictions to be examined. Chapter Two (2) discusses the concept and importance of insurable interest in relation to indemnity marine insurance contracts and the coverage offered under such contracts both in the UK and in the other legal systems. Chapter Three (3) discusses types of losses in the UK and the rest of the law regimes examined. Chapter Four (4) discusses valuation and the measure of indemnity available according to the type of contract each time as well as the case of double insurance, both in the UK and in the rest of the legal systems examined. Chapter Five (5) examines the legal issues related to the rights of insurer on payment, in all jurisdictions. Chapter Six (6) draws some general comparative conclusions and also explores the scope and nature of a reform in the area, in light also of the ongoing attempt for unification, undertaken since 1998 by the Comité Maritime Internationale (C.M.I.).

Abstract

Artificial intelligence (AI) has been the subject of much discussion in terms of its applicability to law. This paper focuses on the use of AI in copyright arbitration and dispute resolution for three-dimensional (3D) printing (3DP). Its main argument is that laws relating to digital watermarking will push the utilisation of AI in such alternative dispute resolution (ADR) methods, be it arbitration or mediation, in a particular direction, i.e., one that favours more complex watermarking, and the use of AI in automatically resolving disputes, through ADR methods, i.e. arbitration and/or mediation. In order to make this argument, the article is structured as follows: first, it discusses the existing laws relating to digital watermarks, making the point that the more complex the watermark placed in content, the more likely it is to obtain protection. Next, it outlines the authors' empirical work to apply an existing AI system to copyright case law, to see how an AI system - which may fall under the purview of such protection - can read and understand cases and produce outcomes in disputes concerning 3DP. The conclusion of this research was that complex watermarks will lead to faster and more accurate resolutions. Following that, it considers the existing legal regime for dispute resolution, through ADR methods (i.e. arbitration and/or mediation), and makes the contention that AI systems can fit within the existing legal framework. However, the conclusion argues that certain issues merit closer attention. For example, there should be more explicit consideration in law of how watermarking can influence the direction of AI dispute resolution, through ADR methods, and that the role of the judge in such AI dispute resolution methods needs to be considered further. 8. Bias of arbitrators: a critical analysis on the law post-Halliburton v. Chubb and a comparative approach

Abstract

The principle of independence and impartiality has been formed, over the course of time, into a well-established and simultaneously into a fundamental duty of the arbitrator. However, the question, which arises, pertains to what kind of duty it is, namely either a legal duty or one resembling professional ethics. As the case is with judges, arbitrators also shall not be biased or even give the impression of being biased. Unlike judges, however, arbitrators are nominated by the parties to the arbitration and therefore, concerns with regards to possible bias or lack of impartiality are likely to be raised to a greater extent. The principal triptych, which overrides this multifaceted subject, concerns mainly questions of disclosure, repeat appointments and apparent bias. The arbitrator’s duty to remain unbiased and impartial is stipulated as a soft\ud law rule in the IBA Guidelines of 2014, which serves as the point of reference and according to which there has to be an equilibrium between the principle of party autonomy and the tribunal’s independence. In the present paper, a critical analysis is conducted as to the formation of the\ud landscape regarding arbitrator’s bias, before and after the landmark decision of the Supreme Court in Halliburton Co v Chubb Bermuda Insurance Ltd (2020) UKSC 48. The lessons to be learned from this judgment are comparatively assessed alongside the position of arbitration laws of England, India, and China, and by illustrating how the duty has been\ud incorporated and appeared in arbitration practice through the lenses of the arbitration laws in each of the examined legal regimes. Resultantly, the Arbitration Act 1996, the Arbitration and Conciliation (Amendment) Act, 1996, the Chinese Arbitration Law as well as the China International Economic and Trade Arbitration Commission (CIETAC) Rules,\ud which apply to foreign-related arbitrations, will be analyzed in conjunction with case-law in the above-mentioned jurisdictions.

Abstract

The COVID-19 pandemic has meant that business and contractual relationships have been disrupted. The pandemic has also meant that there are legal liabilities owed to disruption, cancellations, or to the imposed halt of everyday life. We discuss force majeure and frustration in contract in cases where circumstances have changed due to unnatural events such as the COVID-19 pandemic and the impact of the pandemic on business interruption, and liability insurance. The scope of insurance coverage for catastrophic risks and the civil liability insurance as well as business interruption coverage are discussed and conclusions on the role of insurance in the COVID-19 pandemic are drawn, as the body of case law and the pandemic per se continues to sweep humanity in an unprecedented way. La pandemia de COVID-19 ha significado la interrupción de las relaciones comerciales y contractuales. La pandemia también ha supuesto que surjan responsabilidades legales debidas a las interrupciones, cancelaciones o al cese impuesto a la vida cotidiana. En este artículo se analizan la fuerza mayor y la interrupción de contratos en casos donde las circunstancias han cambiado debido a eventos no naturales como la pandemia de COVID-19 y el impacto que esta tiene en la interrupción de los negocios y seguro de responsabilidad. Se discute el alcance de la cobertura del seguro para riesgos catastróficos y el seguro de responsabilidad civil, así como la cobertura de interrupción del negocio y se extraen conclusiones sobre el papel de los seguros en la pandemia COVID-19, ya que los casos y la pandemia per se continúan barriendo a la humanidad de una manera sin precedentes.

Abstract

About two-thirds of the Earth is composed of oceans and is home to hundreds of millions of species of organisms. The oceans also absorb vast amounts of carbon dioxide and play an essential role in mitigating climate change. In addition, the sea provides abundant resources, serves as the most critical transportation route for world trade and has significant value in terms of human economy and industry. As such, the ocean is closely related to our lives, and its importance is indescribable. However, the ocean, which is inextricably related to our lives, is greatly threatened by pollution, and one of the problems is pollution from marine litter. Various marine organisms are physically affected by being entangled in or ingesting marine litter floating in the sea, and the invasion of alien species threatens the ecosystem through floating debris. Marine litter also affects marine industries such as shipping and tourism and has a serious impact on the human economy, society, and health through the sustainability and food chain of the marine environment. However, marine litter that negatively affects the marine environment and human life is becoming more serious. Marine litter has a transboundary nature that moves to an area beyond its jurisdiction by currents, winds, and various natural phenomena. It also has the property of being oxidised and decomposed in the atmosphere and fragmented into fine pieces. It also moves through imports and exports of waste between countries. Waste transported to developing countries is often discharged into the ocean due to insufficient management capability. Therefore, marine litter is a pollutant that may differ between the person who initially generated it and the person who finally discharged it into the sea. In addition, marine litter is a pollutant composed of several polluters and victims, and in fact, it is an environmental issue in which we can all become polluters and victims. Moreover, the damage caused by marine litter often doesn't become immediately apparent. It may only become evident after a certain amount of time has passed and pollutants have accumulated. Therefore, identifying the causal relationship and measuring the damage caused by pollutants can be quite challenging. Even though marine litter that has such a negative impact on the marine environment and human life is a pollutant that must be regulated, there is currently no legally binding treaty at the international level that directly regulates marine litter. In addition, there are many difficulties in determining responsibility for environmental damage caused by marine litter under the current responsibility regime in international environmental law. Therefore, this thesis aims to present the responsibility and allocation of environmental damage caused by marine litter. To this end, this thesis suggests that it is necessary to adopt and apply international environmental principles to overcome the limitations of marine litter reduction, responsibility, and allocation. Moreover, this thesis will not only present a simple argument that marine litter should be reduced for environmental protection and the international community's attention is needed, but it will also constitute a piece of original research that suggests specific measures for the responsibility and allocation of marine litter.

16. The application of Section 69 of the English Arbitration Act 1996 in the shipping industry

Abstract

In its recent consultation paper, the English Law Commission made provisional law reform proposals to ensure that the English Arbitration Act 1996 remains state of art. Contrary to the proposition that where appeals have been allowed on questions of law, in many cases an abuse had taken place as often questions of fact were hidden under the guise of questions of law, the Law Commission did not recommend a reform of s.69 of the Arbitration Act 1996. In light of the above, this article is looking at the manner in which the judiciary scrutinises the questions brought before it and the various findings, especially in shipping law cases whereby an increased resort to the appeal mechanism of s.69 is noticed. Also, the rules of maritime and non-maritime arbitration institutions, offering an appeals or “quasi” appeals mechanism, are examined, to allow more conclusive evidence so as to then reach more holistic overall conclusions.

45. The application of anti-manipulation law to EU wholesale energy markets and its interplay with EU competition law

Abstract

Of the findings, the European Commission established in its report on Energy Sector Inquiry, market manipulation constituted a major concern for the functioning and integrity of EU energy sectors. The Commission argued that the responsibility for high prices in wholesale energy markets could be attributed to manipulative practices of energy incumbents and the trust in the operation of operation of sector was largely compromised, due to these practices. Remedies, EU competition law provided, were considered as insufficient to resolve these shortcomings and thus should be supplemented with regulatory-based tools. The findings of the Energy Sector Inquiry and subsequent consultation documents by multiple EU institutions paved the way for the adoption of the Regulation on wholesale energy market integrity and transparency, REMIT, which incorporated into an anti-manipulation rule, specifically designed to prohibit and prosecute manipulative practices in EU wholesale energy markets. Nevertheless, as EU case law on market manipulation has yet to develop and there are uncertainties with respect to the concept of market manipulation. Furthermore REMIT does not preclude the jurisdiction of EU competition law, questions arise as to the scope and the extent of the application of this prohibition. Throughout its chapters, this book explores the scope of and the case law on market manipulation to determine what types of market practices are regarded as manipulative and thus prohibited under anti-manipulation rules. It also focuses on the interplay between REMIT and EU competition law and evaluates factors and circumstances that determine when and what market misconduct can be subject to enforcement proceedings under both anti-manipulation and antitrust rules. As the development of a single, coherent, rulebook that can be relied upon by market participant is fundamental for the functioning of EU wholesale energy markets, the book, finally, provides proposals and measures that can mitigate and resolve the legal uncertainties regarding the regulatory framework REMIT established.
