Our research seeks to develop understanding of the factors explaining venture capital investment managers' attitudes towards investment in the unique context of academic spin-outs. We provide a novel integration of both VC fund characteristics and investment managers' human capital characteristics with a unique hand-collected dataset of 68 early stage VC investment managers in Europe. Attitudes toward academic spin-out investing are positively affected by the presence of public sector capital and by investment managers who are more intensively involved with the entrepreneur. Specific human capital in investment managers who had worked in an academic environment is more likely associated with investment in academic spin-outs. In terms of general human capital, financial experience is positively related while entrepreneurial experience is negatively associated with investment attitude towards academic spin-outs. Drawing from the resource-based view and transaction costs economics, we develop a theoretical framework to explain why small and large firms face different levels of resource access needs and resource access capabilities, which mediate the relationship between firm size and hybrid governance. Employing a sample of 317 venture capital firms, drawn across six European countries, we empirically assess our framework in the context of venture capital syndication. We estimate a path model using structural equation modeling and find, consistent with our theoretical framework, mediating effects of different types of resource access needs and resource access capabilities between VC firm size and syndication frequency. These findings advance the small business literature by highlighting the trade-offs that size imposes on firms that seek to manage their access to external resources through hybrid governance strategies. In this paper, we employ resource-based and institutional theories to examine the current role of business schools in academic entrepreneurship. In particular, we seek to identify and understand the challenges to business schools contributing to the transfer of knowledge to enable academic entrepreneurship. Employing a case-based method, we present evidence from 42 interviews with technology transfer officers (TTOs), business school deans, business school entrepreneurship faculty and scientists in eight UK universities. Our empirical analysis is focused on analyzing the challenges arising from the links between business schools and three other principal stakeholders of academic entrepreneurship (i.e., the university management, TTOs and academics in science departments). The findings suggest that in addition to concerns about the nature of their human capital, the ability of business schools to fill knowledge gaps in the development of academic entrepreneurship is constrained by the institutional structures of universities which influence: the strategies of the university and the business school; links between business schools, TTOs and scientists; and process issues relating to differences in language and codes, goal differences, incentives and rewards, expertise differences and the content of interactions. We conclude that if business schools are to play a more prominent role in academic entrepreneurship there is a need to develop internal university processes and policies that promote rather than hinder internal knowledge flows between business schools, TTOs and science departments. In this study we examine how venture capital (VC) firms influence the export behavior of their investee companies. VC firms perform an important governance function for investee companies by providing monitoring and value-added activities. Drawing on agency theory, the resource-based view of the firm and governance life-cycle theory we hypothesize that the relationship between VC governance resources and investee exporting behavior is moderated by investment stage. Employing a sample of 340 VC-backed firms, our results confirm this hypothesis. Monitoring resources are most effective in promoting export behavior for late-stage ventures and value-added resources in promoting export behavior in early-stage ventures. [ABSTRACT FROM AUTHOR]

Board composition in large organizations has been subject to much empirical research, however, little attention has been focused on board composition in start-ups, and more specifically high tech start-ups. This lack of research is surprising given that many high tech start-ups have multiple equity stakeholders such as venture capitalists or public research organizations, such as universities. Given that high tech start-ups are commonly resource-poor these external stakeholders may play an important role in accessing critical external resources. Drawing on agency theory, resource dependence theory and social network theory we examine the tensions that exist between the founding team and external equity stakeholders in determining the presence of outside board members. In particular we focus on whether or not the outside board members have either complementary or substitute human capital to the founding team. We test our model on a sample of 140 high tech start-ups in Flanders. Our results indicate that high tech start-ups with a public research organization as an external equity stakeholder are more likely to develop boards with outside board members with complementary skills to the founding team. We examine the neglected area of internationalisation by VCs. Using a representative sample of 195 VCs, we show that the decision of a European VC firm to invest internationally is driven by its human resources. Having more VC executives in general and more VC executives with previous international experience in specific, results in a higher probability of investing internationally. In contrast, more VC executives with experience in the VC industry or with an engineering background lead to a higher probability of remaining domestic. [ABSTRACT FROM AUTHOR]

This paper uses a large multi-country sample of venture capital firms to compare the approaches to investee valuation and sources of information used by venture capital investors in English, French and German legal systems as well as geographical regions. Different legal systems are significantly associated with the valuation mechanism used. In particular, compared to English-based Common Law systems, VC firms operating in a Germanic legal system are significantly more likely to use DCF based measures and significantly less likely to use PE comparators. This latter result is also the case for VC firms operating in a French legal system who are also significantly more likely to adopt historic cost valuation methods. VC firms in Europe and Asia are significantly less likely than US VC firms to make use of liquidation value methods but significantly more likely to use PE comparators. European firms are significantly less likely to adopt DCF methods compared to US VC firms. VC firms operating under a Germanic legal system are less likely to utilise information from the financial press but significantly more likely to use interviews with entrepreneurs. VC firms operating under a French legal system are more likely to utilise interviews with company personnel as well as sales and marketing information. VC firms in Europe and Asia are significantly more likely than US VC firms to use financial press. VC firms in Asia are significantly less likely to make use of interviews with entrepreneurs or business plan data. We explore the joint venture route to commercializing university owned intellectual property. We present comparisons between two spinouts formed as joint ventures between universities and industrial partners and two spinouts where this was not the case. The research employs a resource-based framework, with new high tech spinout firms (or firms in gestation) facing severe resource and capability constraints. We show that spinouts typically lack the financial means and managerial expertise to acquire the resources and develop the capabilities they need in order to fully exploit the commercial potential of their technologies. We argue that creating a spinout company as a joint venture with an industrial partner, may be a means of overcoming some of the potential problems associated with managing resource weaknesses and inadequate capabilities that may be difficult to achieve as a freestanding spin-out company with or without venture capital backing. Universities have two options when they formulate policies to develop new technology-based start-ups. One approach is to encourage faculty members to engage in this activity. Another avenue is to encourage surrogate (external) entrepreneurs to assume a leadership role. Based on a survey of technology transfer/business development officers at 57 U.K. universities, we examine perceptions regarding the advantages and disadvantages of each approach. We also analyze whether there are significant differences in these attitudes between universities that have launched many start-ups and those that have been less active in this arena. Our results imply that the most significant barriers to the adoption of entrepreneurial-friendly policies are cultural and informational. We also find that universities that generate the most start-ups have more favorable attitudes towards surrogate entrepreneurs. It appears that a combination of academic and surrogate entrepreneurship might be the best approach for universities that wish to develop successful technology-transfer based start-up companies.
