Abstract

The article discusses Florida's fiduciary duty law in relation to the legal aspects of the state's limited liability companies (LLCs) as of 2017, and it mentions the Florida Revised LLC Act and changes involving the state's statutes. The New York duty of loyalty case Meinhard v. Salmon is addressed, along with the concept of un-cabining fiduciary duties under Florida law. A duty to disclose and a Revised Uniform Limited Liability Company Act (RULLCA) are assessed.
