7. A functional derivative action framework for Pakistan

Abstract

Company law in Pakistan does not recognise shareholders’ right of derivative action. This situation raises the question as to what extent derivative action, if recognised under the company law in Pakistan, can promote good corporate governance and contribute to reinforce enforcement powers of shareholders as to safeguarding their rights? The purpose of this thesis is twofold. First, this thesis argues that an effective derivative action system could act as a means of disciplining corporate management in Pakistan. Second, it presents it argumentations that other legal and extra-legal managerial disciplinary mechanisms have limitations of their own that support the introduction of a statutory derivative action system in Pakistan. The methodologies used in this thesis are doctrinal, historical, case study, comparative and semi-structured interviews. Doctrinal analysis has been employed when analysing statutes and case law. Case study methodology has been used to exemplify problems of directorial misconduct and providing empirical evidence for carrying out further analysis. A comparative approach has been utilized for which the UK has been chosen for comparative purposes to identify lessons that Pakistan can learn from the UK derivative action system while finding ways for effective use of derivative action system in Pakistan. Semi-structured interviews are aimed at providing an evaluation of the reform proposals. This study contributes to the subject of derivative action in three key ways. First, it provides an in-depth examination of the regulatory framework pertaining to shareholder protection in Pakistan in order to highlight the inherent challenges presented by un-updated legal framework. Second, based on the findings from this thesis, reform proposals are made as to codifying derivative actions, clarifying the procedural route for derivative proceedings and providing a funding mechanism to attract shareholders to bring derivative actions to enforce corporate rights. Third, suggestions proposed in this thesis are supported by both the opinions of the interviewees and original research on judicial experience of other jurisdictions, particularly the UK. The findings made in this study and proposals have implications for law reforms and are expected to inform practitioners, academics, legislators and policy makers on the way forward in reforming shareholder protection in Pakistan. Thus, this thesis would inform reforms in the company law in order to strengthen the enforcement power of shareholders and ensure corporate accountability in Pakistan.

Abstract

SMEs always need survival tools or strategies such as orientation and capabilities to survive in the competitive market, as they can help in improving performance. Therefore, this research has highlighted important capabilities and orientations influencing SMEs' performance in Oman. It has examined the effect of supply chain orientation and market orientation on SMEs' performance with mediating role of innovation capabilities and operational capabilities. Moreover, it investigated the role of strategic flexibility as a moderator between innovation capabilities and SMEs' performance in Oman. The survey method was used to collect primary data from managers and supervisors of SMEs functional in Oman. Data analysis was done using AMOS, and structural equation modeling (SEM) was conducted. The moderation was examined by using the Hayes process macro on SPSS. The results revealed that market orientation and SC orientation positively influence SMEs' innovation capabilities, operational capabilities, and performance. These capabilities also help in enhancing performance. Moreover, they mediate the relationship between "supply chain orientation and SMEs' performance" and "market orientation and SMEs' performance." Furthermore, strategic flexibility does not moderate the effect of innovation capabilities on SMEs' performance. [ABSTRACT FROM AUTHOR]

20. Role of Emotional Intelligence in Students’ Learning at Secondary Level

Abstract

Current study was to examine role of emotional intelligence of a child for students’ learning at secondary School level. 1) Determine how emotional intelligence affects secondary school students' learning; this was the study's main goal. 2) Investigate the connection between secondary residents' academic achievement and emotional intelligence, taking into account demographic factors such as geography and gender. 3) To compare educational attainment and emotional intelligence between private and public secondary schools. 4) For pupils studying science, arts and contrast emotional intelligence with secondary education. This Correlational descriptive study examined emotional intelligence and student learning as two separate factors. There was one inventory i.e., Emotional Quotient Inventory (EQI) (5-point likert scale) with consistency (Cronbach’s Alpha 0.96). This study was conducted at MULTAN district at secondary level. 3379 students were selected as sample from public and private schools, with 1763 males and 1616 females and selected schools were surveyed to collect the data. After data collection, the data has been analyzed and main interpretation has been made from the data analysis. The statistics showed that students who did well had a high mean value, whereas those who fared poorly had a low mean value. The findings imply that in attendance is a link among emotional intelligence and academic achievement between students. Furthermore, it has been found that, independent of a student's gender or place of residence, their emotional intelligence is intrinsically linked to their academic success. But private schools have more mean value as compare to public schools which means that private schools have increased the emotional intelligence level for effective learning. It is also concluded that science students have high mean value which means selection of subject also influence directly the emotional intelligence for effective learning. Abstract

Sexually transmitted diseases (STDs) are a major public health concern of the 21st century, affecting more than one million populations globally (Unemo et al., 2017). These STDs differ in their course and prognosis, as most STIs remain asymptomatic and do not progress while few of these infections result in life-long complications ranging from pelvic inflammatory disease (PID), infertility and carcinomas of the reproductive tract to oral cancers (NIPS, 2018). The present research study aimed to explore knowledge and misconceptions, cultural barriers regarding STDs knowledge, lack of sexual health care services availability for STDs and also lack of knowledge update in men impacting women sexual health. A systematic review was conducted on electronic data bases that include PubMed, Google Scholar, EMBASE, CINAHL and Med Line. The researcher has included qualitative and quantitative research studies of male and female participants of reproductive age focusing on STDs knowledge and awareness in Pakistan. Therefore, a narrative synthesis approach was used with thematic analysis method. Research studies between 2006 -2022 was included based on inclusion and exclusion criteria. Three main themes of the study are identified that includes poor knowledge and misconception, cultural barriers regarding STDs knowledge and awareness and lack of sexual healthcare services availability among male and female of Pakistan. Findings of the research study revealed that the majority of participants had inadequate knowledge of STDs, with significant misconceptions regarding their transmission, symptoms, and treatment. Cultural barriers, such as conservative attitudes towards sex and limited access to sexual health education, were identified as significant obstacles to STDs awareness. Furthermore, lack of sexual healthcare services availability, particularly in rural areas, further compounded the problem. The study highlights the urgent need for targeted interventions aimed at promoting STDs awareness, improving access to sexual health education and services, and addressing cultural barriers and misconceptions. Effective and culturally sensitive interventions, including community engagement and education campaigns, could reduce the burden of STDs and improve sexual health outcomes in Pakistan. 42. A CROSSWISE EXPLORATION TO ASSESS ENDOCRINE CONFRONTATION BETWEEN THE VICTIMS OF CHRONIC RENAL FAILURE (CRF)

Abstract

Objective: To assess endocrine confrontation between CRF victims was the objective of this exploration research. Victims and Methods: All the recruited victims did not show any dialysis or diabetes history. This crosswise exploration was carried out on a total of 50 victims being treated for structural renal abnormalities or deranged renal functions at Sir Ganga Ram Hospital, Lahore (December 2018 to November 2019). All the victims were screened for lipid profile, renal function tests, complete blood count (CPC), antiserum endocrine stages and fasting plasma glucose. Another fifty healthy controls were also included in the exploration of the same age Set. We made a statistical examination of exploration outcomes on SPSS software. HOMA-IR method was used for the calculation of endocrine confrontation. Results: Men dominated ladies in number in cases. We enrolled controls and cases having fifty in each Set. On the other hand, in controls 26% were ladies and 74% were men. Total of 34% of the cases were ladies; whereas, 66% were men. CRF victims showed higher stages of fasting endocrine and importantly higher HOMA-IR in comparison to controls (P-Value 0.001). The lipid profile showed an important difference in the stages of triglycerides in statistical examination. The Average age of controls and cases was respectively (49 ± 9) years and (50 ± 10) years. Conclusion: HOMA-IR was importantly higher between CRF victims which clearly shows an association between endocrine confrontation and CRF. Abstract

The phenomenon of globalized world has paved the way for international trade which eventually leads to conflicts among parties hailing from different jurisdictions. One of the striking issues which might befall against enforceability of arbitral awards is of overcharging of damages or compensation based on interests. Interests based transactions are questionable on count of changeable rates in different jurisdictions and prohibition of interest in the eye of Islamic states where riba (interest) is prohibited. Alternative dispute resolution can come to rescue this state of affairs under the supervision of courts in order to allay ambiguities pertaining to commercial arbitration in Pakistan. This paper succinctly discusses developments pertaining to commercial arbitration and the emerging jurisprudence in this regard in Pakistan.
