Het opstellen van regels ter bescherming van burgers tegen de schadelijke gevolgen van klimaatverandering is een taak van de wetgever. De civiele rechter heeft op dat terrein in beginsel geen rol. Als echter sprake is van reguleringsfalen en de overheid daardoor tekortschiet in de bescherming van de burger kan dat anders zijn. Nu de doelen uit de Klimaatwet stelselmatig niet worden gehaald kan betoogd worden dat er, zeker op het moment dat de Shell-zaak speelde, sprake was van zo’n reguleringsfalen. Aan het daaropvolgende civiele oordeel kan echter wel de eis worden gesteld dat het feitelijk de mensenrechtelijke positie van de (toekomstige) bewoners van Nederland dient. Want als het optreden van de civiele rechter niet effectief is, corrigeert het dat reguleringsfalen niet. Die effectiviteit is in de Shell-zaak op voorhand niet evident.

De Hoge Raad heeft in zijn uitspraak van 9 april 2021 (Van Dooren q.q./Holding) art. 3:262 BW, dat betrekking heeft op de rangwijziging van hypotheekrechten en beperkte genotsrechten op hetzelfde registergoed, analoog van toepassing verklaard ten aanzien van pandrecht. In dit artikel wordt ingegaan op de inhoud en strekking van art. 3:262 BW, de discussies in de literatuur over de mogelijke analoge toepassing van dit wetsartikel op pandrecht vóórdat dit arrest in 2021 door de Hoge Raad werd gewezen, alsmede op enkele juridische en praktische kwesties naar aanleiding van dit arrest. Aan de orde komen de vraag of voor de (goederenrechtelijke) rechtsgeldigheid van een rangwijziging medewerking van de pand- of hypotheekgever is vereist, de problematiek van de vaak geringe kenbaarheid van stille pandrechten op niet-registergoederen, de (on)mogelijkheid van rangwijziging tussen beperkte genotsrechten onderling, en herverpanding. Tenslotte wordt in dit artikel kort aandacht besteed aan de opmerkingen van de Hoge Raad ten aanzien van de wijze en reikwijdte van parate executie van pandrechten op vorderingen door de hoogst gerangschikte pandhouder.

De pseudowetenschappelijke ‘klimaatwaakhond’ Clintel en lobbyclub ‘Bezorgde Energiegebruikers’ (BEG) rammelen aan de poort van de rechtszaal. Deze partijen willen zich in hoger beroep van de klimaatrechtszaak van Milieudefensie tegen Shell voegen aan de zijde van Shell. Dat is zorgwekkend, want Clintel en BEG bedienen zich van eenzijdige, misleidende en onwetenschappelijke argumenten. Daarmee kunnen ze het partijdebat ernstig verstoren: je komt namelijk niet toe aan een juridische discussie over de reductieplicht van energiebedrijven, wanneer twee van de vier procederende partijen betwisten dat broeikasgasreductie nodig of wenselijk is.

In dit artikel wordt ingegaan op de vragen of subsidie-vorderingen onoverdraagbaar en onverpandbaar kunnen worden gemaakt door middel van een beding zoals bedoeld in art. 3:83 lid 2 BW, en of het wetsvoorstel Opheffing verpandingsverboden tevens betrekking heeft op subsidie-vorderingen.

Digitale platformen als Amazon, Facebook en Apple gebruiken algemene voorwaarden om hun bedrijfsmodel vorm te geven. Dit artikel bespreekt hoe het EU-mededingings- en contractenrecht door toetsing van algemene voorwaarden de platformeconomie begrenst. Deze begrenzing corrigeert marktfalen als gevolg van marktmacht, informatieasymmetrie en contractuele afhankelijkheid. Billijkheid en verantwoording op grond van een belangenafweging en een zorgplicht staan hierbij centraal.

This chapter examines how the EU rules on cartels and dominance abuse (antitrust) are applied to the pharmaceutical sector, focusing on the approach of DG Competition and the Dutch NCA by way of example. After examining traditional enforcement strategies, it advocates a responsive approach, based on the work of John Braithwaite. This is expected to help address capacity problems and make the application of antitrust regarding pharmaceuticals more effective, while preserving its legitimacy. This approach also involves promoting more private enforcement. An additional expected benefit of relying on a responsive approach is that it will allow competition authorities to address currently underenforced related areas like medical devices and information technology in healthcare.

Although still contested by some, the application of excessive pricing in the pharmaceutical sector has emerged as a relevant and useful tool for competition authorities in the European Union. Not aiming to be a price regulator does not stand in the way of acting against clearly unmerited high prices. Arguably the main concern of the application of excessive pricing is its potential harmful effect on innovation. This explains why exploitation abuses so far have been found in cases where innovation played at most a marginal role. In an earlier book chapter we argued that excessive pricing may also be applied in the context of regulatory exclusivity (e.g. patents and orphan protection), as long as innovation incentives are taken into account. The first theme of the present book chapter concerns how innovation has been dealt with methodologically in the excessive prices cases under EU law so far, and to what extent there might be a risk of hampering innovation incentives. The second theme in this chapter will be the relationship between excessive pricing and regulation in pharma. Specifically, we will look at what the cases may teach us on regulation. Rather than thinking of regulation and competition policy as alternative routes to tackle unfairly high prices, we think they should be seen as complementary. Regulation in pharma has among others to strike a balance between innovation incentives and affordability. Incidence of excessive pricing can be seen as a signal of unbalance that ultimately needs to be redressed in regulation.

This chapter looks at the case law on (reverse) patent settlement and pay for delay regarding pharmaceuticals at EU level, based on the antitrust cases pursued by the European Commission and the relevant decisions by the CJEU. The pay for delay cases are at the interstices of patent protection and competition law, and demonstrate the parallel applicability of these two legal systems. Until recently they formed the core focus of the Commission's enforcement activity concerning pharmaceuticals. Following appeals before the General Court in Lundbeck and Servier, the preliminary ruling in Paroxetine set out the CJEU's approach to the questions when reverse payments are objectionable and when by object infringements are concerned. This approach was confirmed in the ruling on the further appeal in Lundbeck. The chapter looks forward to the further appeal in Servier, which is likely to be the Court's final word on this type of infringement.
