This paper examines the "Impact of acquisition on Stakeholders of Flipkart Private Limited" empirically by taking the case of acquiring Flipkart Private Limited by Wal -- mart International Holdings, Inc. In past few years corporate restructuring has become a trend to make the business corporations more viable and competitive. As now -- a -- days, all industries are taking interest in the either forms of corporate restructuring. Whether it is a telecom company or it is information technology industry, everyone wants to expand their business and reduce their competition by opting the forms of corporate restructuring. So, when all industries are indulging in the restructuring so why not the online business should take this opportunity to earn more profits than its competitors. In this case, Amazon is the only biggest competitor of the Walmart in this scenario. So, to capture Indian market more than Amazon, Walmart has decided to acquire the business and customers of Flipkart. In this paper, the author analyzes the tax impact on investments by shareholders of private corporations, and in particular the new rules involving the use of corporate profits by shareholders. He discusses the complexity added by the new rules with respect to splitting income and tracking dividends. He also considers the various types of tracking rules for dividends, the applicable penalties for incorrect tracking and excessive dividend designations, and compliance and tax policy concerns. Corporate social responsibility is a significant factor that has the power to either make or break the organizations. We cannot negate its importance in the light of increasing focus on addressing environmental concerns and giving back to the society. The goal of this paper is to determine the influence of corporate social responsibility on organizational performance in the business world. We have reviewed corporate social responsibility by looking at its dimensions and conceptual background, as well as its strategic types. Furthermore, we have explored organizational performance by dividing it into financial and non-financial measures, as well as focusing on two interrelated constructs, organizational commitment, and organizational citizenship behavior. This paper proposes that engaging in CSR activities may lead to improved organizational performance, because of a good social standing in the society and excellent shareholder management. Similarly, both organizational commitment and organizational citizenship behavior enhance organizational performance because they correspond to employees' high level of identification with the organizational goals and interests. We have summarized this linkage by using a theoretical model of CSR, Organizational Commitment, and Organizational Performance. The paper also gives direction for future research by identifying gaps, which correspond to the downside of engaging in numerous CSR activities and the impact this can have on organizational performance. During the last years, limited or non-renewable natural resources, pollution limiting life on earth, global warming, have been the subject of major researches. People like Bowen, Davis, Friedman, Carroll or Schwartz tried several times to design a definition for Corporate Social Responsibility concept, but not even today do we have a general accepted definition for this concept. The main objectives of the present article are to trace the evolution of the concept from its first beginning until today. The paper represents the first step of a research project that is meant to investigate the consumers' perceptions of the socially responsible activities that companies communicate through corporate communication and the way this perceptions influence consumers' buying behaviour. For the present paper a theoretical research has been done, in order to determine the level reached by the specialty literature in the area and to understand the component parts of corporate social responsibility, which are very needed in order to implement the research project that we already mentioned. Practically it represents the documentary phase of the research project. In the same time, the most important models designed by the authors mentioned before, the models that best represent the dimensions of the Corporate Social Responsibility concept, will be analyzed, presenting the pros and cons for each of the models. The It was modeled a market where alliances are fundamental for complementing competences and abilities. The firms need those alliances to exploiting new opportunities. The strategic enterprise behavior must affect the alliances and their intensity and fragility levels. Enterprises facing market opportunities which request strategic alliances can or cannot cooperate on the others according to their strategic behavior profiles and according to the historical cooperation evaluation of their potential partners. The model of agent-based simulation proposed for such essay, uses roles based on Sugars cape, on prisoner dilemma for n-players and concepts existents about cooperation, stakeholders and shareholders theories and enterprise alliances. This section presents several conference paper abstracts on social issues in management, including a study of the emphasis of firms' learning processes to integrate stakeholder management into their business models, a paper that examines the relationship between espoused moral principles and behavioral outcomes, and an examination of the relationship between personal values and the ethical dimension of decision making using partial least squares analysis.

Accounts of the history of shareholder activism focus on the rise of social issue activism during the 1970s, governance activism of the 1980s, and, sometimes, the surprising investor activism instigated by organized labor in the 1990s. The corporate gadflies, so prominent in the years after World War II, if mentioned at all, tend to be patronized, dismissed, or, at best, regarded as premature forerunners of the modem efforts. An examination of contemporary accounts of their activity reveals a different picture. During the 1940s, a handful of gadflies confronted corporate managers on the issue categories that mobilize shareholders today: board structure and composition, executive compensation, moderate and militant views on corporate social responsibility, and the settling of labor disputes. Moreover, while they certainly failed to achieve their entire agendas, the gadflies did achieve a number of procedural and substantive successes that go unrecognized today, although these successes made some of the achievements of more recent activists possible. And they accomplished what they did through carefully strategizing that included: confronting management at annual meetings, networking with other like-minded (if more passive) investors, arguing for and defending shareholder rights in the legal system, and garnering favorable publicity in the media. Eventually a political backlash combined with economic growth-induced indifference limited and channeled the activities of the gadflies. But when issues of corporate responsibilities to shareholders and other social groups resurfaced in later years, the new activists, knowingly or not, made use of the intellectual and legal precedents set by these pioneers. Principal-principal conflicts, i.e., disagreements between controlling and minority shareholders, are expected to lead to suboptimal decisions, ultimately affecting firm performance. Previous research results have been mixed. We address the questions of which actors are more prone to cause PPCs through the use of a meta-analytic structural equation model that encompasses 10,210 observations and 92 nations, synthesizing studies from 1980 to 2015. Consistent with our hypotheses, we find that ownership forms have varying implications for principal-principal conflicts. We examine the performance implications of private equity (PE) investors, particularly focusing on expansion capital in the value of publicly listed firms. In a context of multiple significant shareholders, we address two main research questions: Is the presence of private equity investors associated with firm valuation? How does this relation change in the presence of other types of large shareholders? Our findings indicate that the presence of private equity investors is associated with higher valuation. However, in combination with other shareholders, the results are bounded by the type of shareholders they interact with. PE ownership more than offsets the negative effect of non-financial corporations on firm value. However governance ownership diminishes the positive effect that PE ownership has on firm value uncovering a context in which the assumed positive effects of PE investors on the management and governance of firms become less effective. Past studies on corporate reputation have shown the importance of having good reputation. Recently, however, research has started to examine how firms can repair their damaged reputation. Yet, our understanding of reputation damage and repair is still limited because so far studies focus on what firms should do but not what stakeholders might do. For example, do stakeholders change only their evaluation of a compromised firm or actually alter the process by which they evaluate such a firm? In this study we take the perspective of the shareholders and ask whether and how shareholders change their evaluative process following a reputation-damaging event and a reputation-restoring effort. We show that shareholders fundamentally change the process by which they evaluate a firm following certain signals but do this in a rather sophisticated way to maximize their interests, and that shareholders seem to keep track of a firm's past wrongdoing and reverse all their earlier reactions following positive signals from the firm.
