Thesis title: Reorganization under Czech legal regulation Main goal of this diploma thesis is to describe and to analyze the applicable legal regulation of reorganization, contained in Act No. 182/2006 Coll., on insolvency and modes of its solutions. Reorganization, as governed today, represents one of the rescue modes of resolution of insolvency, suitable mainly for the mid-sized to large enterprises. Although even after meeting of all the conditions for its allowance by court, it cannot be understood as a solution for everybody, it represents an interesting alternative to the bankruptcy, leading to the winding-up of the particular company. The diploma thesis is divided into fourteen chapters in total. The first two chapters are dedicated to general issues, i.e. to the definition of the concept of the insolvency proceedings and of its legal regulation, as well as to the legal regulation of reorganization. The emphasis therein is given to the character and goal of the insolvency proceedings, with focus on the interpretation of the concept of "principally proportionate satisfaction of creditors" as one of the key concepts determining the main purpose of insolvency proceedings. After the split of Czechoslovakia, the bankruptcy law in both countries evolved their own way. The original Act No. 328/1991 Coll. Bankruptcy and Settlement in the Czech Republic and its equivalent form in the Slovak Republic was necessary due to changing economic and political situation to change with new regulations. In the Slovak Republic in 2006, the Act no. 7/2005 Coll. Bankruptcy and Restructuring and two years later, in the Czech Republic Act No. 182/2006 Coll. Bankruptcy and Settlement came into force. The aim of this thesis is the comparison of the bankruptcy law in the Czech Republic and Slovakia. It compares individual legal adjustments with regard to their pros and cons. The Master thesis is based on statistical data on bankruptcy proceedings, explaining the reasons for the different developments in individual countries. The main focus of thesis is in reorganization and debt relief. The difference in debt relief of each country is explained in case study. Part of the work is also a practical example of the reorganization of the selected company.

The aim of this thesis is to describe and apply selected prediction models as a part of a financial analysis of a Pilsen Steel company, which ended up in a bankruptcy. 15 models are being applied on the Pilsen Steel altogether, 10 bankruptcy (prediction) and 5 creditworthiness. Their development tracks the period between 2007 and 2012. The thesis evaluates the performance of models, comments on their development and examines what influenced them the most. Author presents his subjective opinions and observations about the pros and cons of each model, at the end of the practical part of this thesis.

As of 1 January 2008 Act No. 182/2006 on Bankruptcy and its Settlement (Insolvency Act) has become effective. This statute has completely reformed bankruptcy law in the Czech Republic including but not limited to by implementation of new legal institute of discharge of a debtor. Discharge of a debtor is designed to be a mode of solution of consumer's bankruptcy for non-business individuals and non-business legal entities. Being modeled by foreign legal forms this institute has acknowledged a relief from debts and hence new start for economic life of the subject. New form of solution of consumer's bankruptcy has proven its need of existence also by the fact that discharge of a debtor is by far the most frequent mode of bankruptcy solution in the Czech Republic. The aim of this thesis is to deal with entire issue of discharge of a debtor from filling bankruptcy petition through the very process of discharge to debts relief of a debtor. The thesis text itself is divided into six chapters. First chapter introduces the matter by traditional historical digression of the bankruptcy form in Czech territory, by clarification of the bankruptcy term itself and by provision of basic information on new Insolvency Act. The Master thesis provides a comparison of the solution of the bankruptcy in the Czech Republic and in Slovakia. The Insolvency Act and the Act of bankruptcy and restructuralization represent the current legal acts governing the relationship between the creditor, the debtor and the other interested persons. The aim of the thesis is to analyze the insolvency environment and ways of the solution of the bankruptcy in both states (to identify disadvantages and advantages of the particular cases). Furthermore, it aims to analyze the key and critical factors influencing the whole recovery process in the company on the practical examples.

The main objective of this diploma thesis is to outline the role and position of the bankruptcy administrator in the bankruptcy process. The role of the administrator is specified as a set of rights and obligations that the administrator has got according to the law in every part of the bankruptcy process. The insolvency law assigns administrative, surveying, finding and consulting duties to the administrator. The core of this thesis is a look at the position of the administrator in the liquidation bankruptcy. It means the process beginning with the appointing of the administrator and ending by the approval of the final report and the implementation of the paying timetable. Bonus chapters are devoted to other manners of the bankruptcy process, requirements for the administrator appointment and possibilities of the administrator rewarding.

The bachelor thesis deals with the new Insolvency Act, which changes the legal environment in a significant way. The aim of the thesis is to describe the claims, rights and motivation of the creditors, the debtor and individual concerned persons of an enterprise during insolvency, to compare the new Act on Insolvency and Its Resolution with the old Bankruptcy and Composition Act, to describe the course of the insolvency proceedings in a time sequence and every possibility of solving the bankruptcy of an enterprise. The practical part of the thesis analyses in detail the course of the reorganization of the company CBPS, s.r.o.
