In this paper, we estimate a dynamic panel data model to determine the effect of various institutional factors on the performance of a sample of Colombian companies during the period 2002-2007. Our results indicate that the analysed companies are affected by these factors. Institutions associated with property rights and contract compliance have significant effects on the growth of the firms. On the other hand, financial development does not have a significant effect. Vertical integration in the health sector refers to the government structure designed to coordinate and control attention services in the different states of the value chain, and to facilitate the collaboration and communication between the suppliers. In Colombia, the vertical integration allows insurers (EPS) to provide health services directly through their own centers of attention (IPS). This situation has motivated the EPS to create their own IPS and other modalities of vertical integration or control. This article offers a model of double marginalization for only one EPS and one IPS, and concludes that when the insurance company practices vertical control toward the lender, the benefits are larger than in a scheme of independent firms; also, the final price of the integrated scheme is smaller. Legal positions (such as rights, duties, liberties, powers, liabilities and immunities) are linked together by strong institutional complementarities that differ from the usual institutional complementarities that have been recently considered in economic literature. Legal positions not only satisfy the usual conditions of institutional complementarity stemming from the fact that legal positions that "fit" together are marginally better than those that do not.
